Re:

What Risks Should Investors Consider Before Buying Pipeline Stocks?

Pipeline stocks can still face volume, customer, commodity, financing, regulatory, safety, environmental, and construction risks. Assess the issuer’s filings and assets before investing.

Before buying a pipeline stock, look beyond the idea that pipelines earn steady fees. A pipeline company’s cash flow can still depend on how much its customers move, whether those customers remain financially healthy, what its contracts require, how much debt it must refinance, and what regulators allow it to charge. Safety, environmental, and construction obligations can also require spending or create liability.

These risks differ by issuer, asset, jurisdiction, and customer base. Start with the company’s latest Form 10-K rather than assuming that the word “pipeline” means commodity-proof or predictable income.

Why pipeline stocks can carry more risk than their business label suggests

Pipeline companies own or operate infrastructure used to transport or store energy products. That role can produce contracted or regulated revenue, but neither description guarantees that cash flow will be stable. A contract may depend on customer activity or specified volumes; a regulated rate may be challenged or may not permit full recovery of costs; and a pipeline can be underused if customers move less product or competing capacity wins business.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Companies also differ in what they own and how they earn money. A natural-gas transportation system subject to federal rate oversight does not have the same exposures as a midstream business whose revenue depends more directly on throughput, customer development, or commodity-related activity. A company may operate several kinds of assets and face several kinds of risk at once.

For example, APA Corporation’s 2025 Form 10-K discusses throughput dependence, customer obligations, competition, commodity exposure, project execution, geographic concentration, rate regulation, pipeline safety, and environmental obligations. Plains All American Pipeline, L.P.’s 2025 Form 10-K discusses debt, capital-market access, interest rates, volumes, competition, capacity utilization, maintenance, and legal or regulatory exposure. These are issuer-specific disclosures, not proof that every pipeline company has the same risk profile.

How to evaluate the main risks

Risk area What to examine Why it matters
Throughput and customers Volume sensitivity, customer concentration, customer obligations, contract duration, and minimum-volume protections where disclosed Lower volumes, a customer reduction or suspension, or a weaker customer can put pressure on revenue or asset use.
Revenue and commodity exposure Contracted, regulated, volume-sensitive, and merchant activities; commodity exposure and hedging “Fee-based” does not by itself establish that revenue is insulated from commodity prices or changing service-agreement terms.
Debt and refinancing Debt levels, maturities, variable-rate exposure, liquidity, borrowing capacity, and access to capital markets Financing costs or limited refinancing access can constrain cash available for operations, investment, or other obligations.
Rates and regulation Which regulator and jurisdiction govern each asset, rates, service terms, and construction Regulatory decisions can affect the rates charged, service rules, project approvals, and the ability to recover costs.
Safety and environmental obligations Inspection, maintenance, integrity, operator qualification, environmental compliance, incidents, and disclosed liabilities Compliance and remediation can require expenditure, while failures or noncompliance may expose an issuer to liability or penalties.
Projects and geography Project schedules, budgets, permitting, basin concentration, alternative routes, and competing capacity Delays, cost overruns, operating problems, or concentrated exposure can make expected growth less dependable.

Use these categories consistently when comparing companies. A useful comparison covers leverage and variable-rate debt; debt maturities and refinancing access; contracted versus volume-sensitive revenue; customer concentration and contract tenor; commodity exposure and hedging; asset-basin concentration; applicable rate regulation; maintenance and integrity needs; and project, permitting, schedule, and cost risks. These are comparison axes, not a universal ranking or buy/sell threshold.

Throughput, customer health, and competition

Throughput is the amount of product moving through a system. If a company’s economics depend on customer volumes, the amount transported can matter even when the company charges a fee for service. A decline in customer production or activity, a contract suspension or reduction, or unused capacity can weaken the contribution an asset makes to the business.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Customer health matters as well as customer count. A contract is only as useful as the customer’s ability and willingness to perform its obligations. Read the issuer’s disclosure for customer concentration and exposure to customer activity, and look for discussion of contract changes, suspensions, reductions, renewals, or expirations. Do not assume that a long-lived pipeline asset automatically has long-lived demand.

Competition can affect both volumes and the ability to retain customers. Plains’ 2025 filing identifies competition, capacity underuse, volumes, and customer activity among potential pressures. When assessing an issuer, consider whether alternative routes or competing capacity could serve the same customers, and whether the filing identifies a concentrated basin or customer base. The filings do not establish a universal threshold at which concentration becomes unacceptable; the relevant question is how much the company’s results depend on a particular source of supply, market, or set of customers.

Interconnecting infrastructure can matter too: where disclosed, note whether an asset depends on connections to other systems to move product to customers or markets. A line’s capacity alone does not tell you whether it will be fully used. Consider the issuer’s description of customer activity and capacity utilization together, rather than treating nameplate capacity as evidence of demand.

Contracts and commodity exposure

Revenue described as fee-based should not be treated as automatically risk-free. APA’s 2025 Form 10-K says commodity-price exposure may change and that the company cannot guarantee the terms of existing or future midstream service agreements. That disclosure is a reason to inspect the company’s actual mix of activities and agreements, not to assume that every pipeline issuer has the same commodity sensitivity.

In the business description and risk factors, identify which activities are contracted, which are regulated, and which depend more directly on volumes or commodity-related activity. Then look for disclosed contract terms that affect exposure, such as volume commitments, contract tenor, renewal or expiration timing, and customer obligations. Where the company discusses hedging, note what it says is hedged and for what period; do not infer that a hedge removes all exposure.

A useful comparison is not simply “fee-based” versus “commodity-exposed.” It is whether a particular issuer’s stated contracts, customers, and operations support the cash-flow stability an investor is expecting. The filings cited here do not provide a uniform contract-by-contract dataset across issuers, so investors need to review each company’s own disclosures.

Also distinguish an agreement’s existence from its durability. Check whether the company discusses the term, renewal, expiration, customer obligations, or possible suspension and reduction of service. The source filings do not establish that any one contract feature guarantees revenue; use disclosed terms to understand the exposure and avoid assuming a protection is present when the issuer has not described it.

Debt, interest rates, and refinancing

Pipeline infrastructure can require substantial capital, and debt can make a company more vulnerable when borrowing costs rise or refinancing becomes difficult. Plains’ 2025 Form 10-K identifies debt levels, borrowing capacity, interest rates, and cost of capital as risks. It also reports an average interest rate of 4.6% on its variable-rate debt outstanding during 2025. That is a historical, issuer-specific figure for Plains—not a current borrowing quote, a sector average, or a forecast of future rates.

For the issuer you are considering, review the debt discussion and financial statements for total debt, maturities, variable-rate exposure, liquidity, and stated borrowing capacity. Pay attention to when financing needs arise relative to the company’s planned capital spending and project commitments. A company can have valuable infrastructure and still face financial pressure if it must refinance under unfavorable conditions or if debt service leaves less flexibility to maintain or expand its assets.

Debt comparisons should be made issuer by issuer. The filings do not establish a sector-wide leverage cutoff or a universal “safe” interest-rate threshold. Instead, assess whether the disclosed financing needs appear manageable alongside the company’s operating cash generation, liquidity, and spending plans—and whether the filing describes access to capital markets as a material uncertainty.

Separate current interest expense from future refinancing exposure. Variable-rate borrowing can make interest costs sensitive to rate changes, while debt coming due creates a need to refinance, repay, or otherwise address the maturity. Review both, along with planned capital spending: simultaneous financing needs and project commitments may limit flexibility. Plains’ 4.6% figure describes its average rate on variable-rate debt outstanding during 2025 only; it should not be used to estimate another issuer’s borrowing cost.

Regulated rates and service rules

Regulation can shape both what a pipeline may charge and the terms on which it provides service. Boardwalk Pipeline Partners, LP’s 2025 Form 10-K describes Federal Energy Regulatory Commission oversight of rates and service terms for natural-gas transportation and storage, as well as oversight of construction and facility changes. It warns that adverse action can limit recovery of costs or a reasonable return.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

That example should not be generalized to every pipeline asset. The applicable authority depends on the asset, service, and jurisdiction. Identify which lines and activities are subject to federal or state rules, what the filing says about rate-setting or rate challenges, and whether costs may be difficult to recover. Regulation may provide a framework for service and rates, but it does not guarantee that every cost will be passed through or that a particular return will be achieved.

Boardwalk’s disclosure illustrates why investors should distinguish regulated assets from other parts of a company’s business. A company-level description can obscure differences among assets. Read the relevant regulatory discussion alongside the business description to understand which operations are exposed and how the issuer describes potential effects on costs, revenues, and project decisions. Do not assume that the same authority governs every line or service in a diversified issuer.

Safety, environmental compliance, and liability

Pipeline and storage operations create obligations that can require ongoing inspection, maintenance, and compliance spending. BHP Group’s 2025 Form 10-K describes Pipeline and Hazardous Materials Safety Administration requirements applicable to certain pipelines and storage facilities, including inspection and maintenance plans, integrity management, operator qualifications, public awareness, and control-room management. It also describes potential penalties for noncompliance. These requirements apply to the facilities and circumstances covered by the rules; they should not be read as a claim that every asset has identical obligations.

APA’s 2025 filing identifies environmental compliance and safety regulation as risks. For an individual company, look for disclosures about maintenance and integrity work, environmental obligations, incidents, compliance costs, litigation, and potential liabilities. The practical concern is not only the cost of routine compliance: a safety or environmental issue can also disrupt operations, require additional work, or result in liability.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Do not treat “maintenance capital” as interchangeable with discretionary growth spending. The filings identify maintenance among relevant operating and capital risks, but they do not provide a common measure that allows a simple cross-company ranking. Read how each issuer describes required upkeep and planned investment, and consider whether its stated financing capacity can support both operating obligations and projects.

When reviewing safety disclosures, distinguish obligations that apply to certain facilities from requirements that may apply more broadly. The BHP filing describes examples of PHMSA requirements and possible penalties; it is not a checklist that can be applied identically to every issuer. Look for the company’s own account of applicable rules, compliance, and costs, and note any disclosed incidents, legal matters, or environmental liabilities rather than inferring their absence from a short business summary.

Project execution and geographic concentration

A proposed or expanding asset is not the same as a completed, operating project. APA’s 2025 Form 10-K says new midstream assets may not be completed on schedule or budget, may not operate as designed, and may face additional regulatory, environmental, political, contractual, legal, or economic risks. These factors can affect the timing, cost, or viability of expected growth.

When a company’s plans rely on new infrastructure, examine project schedules, budgets, permitting, and the risks described for completion and operation. Consider how much the business case depends on the project proceeding as expected and whether the company has disclosed dependencies on customers, counterparties, or regulatory approvals. The cited filings do not establish a sector-wide project-success rate, so projected growth should not be treated as certain simply because a project appears in a company’s plans.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Geographic concentration can make a company more exposed to changes in a particular production area or market. APA flags substantial concentration in the Permian Basin. That is a specific disclosure about APA; it does not establish that all pipeline companies share that concentration. For any issuer, map its important assets and customers to the basins or regions the company identifies, then consider whether competing capacity or a change in customer activity could affect several assets at once.

Project execution and concentration should be considered together with financing. A delayed or over-budget project can require additional capital or postpone expected use, while a concentrated footprint can make multiple assets sensitive to the same regional conditions. The issuer filings identify these as potential risk factors, but they do not support a common probability estimate or a universal measure of acceptable concentration.

A step-by-step due-diligence process

  1. Find the latest annual filing. Locate the issuer’s latest Form 10-K and read Item 1A, “Risk Factors.” Then compare those disclosures with the business description and financial statements. The APA, Plains, Boardwalk, and BHP filings discussed above are examples; they are not substitutes for the target issuer’s own filing.
  2. Map how the company earns money. Separate contracted, regulated, and volume-sensitive activities as far as the company’s disclosures allow. Note customer concentration, contract duration and expiration, renewal exposure, volume commitments, and interconnecting infrastructure where disclosed.
  3. Test the financing picture. Review debt levels and maturities, variable-rate exposure, liquidity, refinancing needs, and stated access to borrowing or capital markets. Compare those needs with planned capital spending and project commitments.
  4. Identify rules and obligations by asset. Determine which jurisdictions and rate-setting authorities apply to the issuer’s lines and services. Review disclosures about safety requirements, environmental obligations, litigation, incidents, compliance costs, and potential liabilities.
  5. Challenge the growth and demand case. Assess basin and project concentration, customer production outlook as described by the issuer, competing capacity or alternative routes, and the company’s ability to complete planned projects on schedule and budget.
  6. Compare issuers using the same questions. For each company, record leverage and maturities; contracted versus volume-sensitive revenue; customer and basin concentration; commodity exposure; applicable regulation; maintenance and growth capital needs; and project and permitting risk. Do not turn those comparisons into a universal score without evidence that supports one.

This process organizes the risks an investor should investigate; it does not predict returns or replace individualized investment analysis. A company’s risk factors describe potential exposures, not a guarantee that a particular event will occur.

What the filings can—and cannot—tell you

Annual filings are useful because they identify risks the issuer considers material and describe the company’s own assets, financing, and operations. They are not a promise that the listed risks are exhaustive or that the order of disclosures ranks their likelihood. The examples here also cover different businesses: APA, Plains, Boardwalk, and BHP should not be treated as interchangeable pipeline operators.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The filings cited here do not establish a sector-wide statistic, a common safety or leverage benchmark, a universal buy-or-sell threshold, or a ranking of pipeline stocks by risk. They support an issuer-level approach: understand the company’s actual cash-flow sources, financing profile, regulatory exposure, operating obligations, and project dependencies before deciding whether the investment fits your needs.

Frequently Asked Questions

Are pipeline stocks protected from commodity-price changes?

Not necessarily. Revenue may be contracted or regulated, but a fee-based label alone does not prove that cash flow is insulated from commodity prices, volumes, customer activity, or changing service-agreement terms. Review the issuer’s disclosed activities, contracts, commodity exposure, and hedging.

What should I check first in a pipeline company’s filing?

Start with the latest Form 10-K, including Item 1A risk factors, then compare it with the business description and financial statements. Focus on revenue sources, customers and contracts, debt and maturities, applicable regulation, safety and environmental obligations, and project plans.

Does regulation guarantee a pipeline company can recover its costs?

No. Regulatory authority and rules depend on the asset, service, and jurisdiction. Boardwalk’s 2025 Form 10-K describes FERC oversight and warns that adverse action can limit cost recovery or a reasonable return. Check the issuer’s disclosures for the particular assets you are evaluating.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Is Plains’ 4.6% variable-debt rate a useful benchmark for other pipeline stocks?

No. Plains All American Pipeline, L.P. reported an average 4.6% interest rate on its variable-rate debt outstanding during 2025. It is a historical, issuer-specific figure, not a sector average, current quote, or forecast.

What makes a pipeline project risky for investors?

A project may not be completed on schedule or budget, may not operate as designed, and can face regulatory, environmental, political, contractual, legal, or economic risks. Review the company’s disclosed schedule, budget, permits, dependencies, and financing needs rather than treating planned growth as certain.

The Bottom Line

Pipeline stocks are not automatically insulated from risk because their assets are long-lived or their revenues are described as fee-based. Before investing, assess the specific issuer’s customer and throughput exposure, contracts, commodity sensitivity, debt and refinancing needs, rate regulation, safety and environmental obligations, and project and basin concentration. Use the latest company filing and compare issuers on the same dimensions; the disclosures support due diligence, not a universal risk ranking or a guarantee of returns.
