Qualcomm’s Arm Architecture License Agreement (ALA) lets it create its own processor cores that comply with Arm’s instruction-set architecture (ISA), rather than merely installing an unchanged Arm-designed core. The agreement described by the Delaware federal court is non-exclusive and worldwide, and covers using applicable Arm technology to design and have designed “Architecture Compliant Cores.”
That permission is not a universal pass to use every Arm design or to transfer another company’s contract automatically. Arm’s license category, the exact contract language, assignment provisions and the technology’s provenance all matter. In Qualcomm’s dispute with Arm over technology obtained through the 2021 acquisition of Nuvia, a jury and then the court found for Qualcomm on the issues tried, while a separate case and an appeal remained active in the cited filings.

Arm licenses come in two fundamentally different forms
Arm’s public filings distinguish an Architecture License Agreement from a Technology License Agreement. The distinction answers the first practical question for a chipmaker: is the company building its own implementation of the Arm ISA, or licensing a particular CPU design from Arm?

This table describes Arm’s public category definitions, not every clause in every customer agreement. A company cannot infer its own rights from another licensee’s arrangement without reading its contract, amendments and side letters.

What Qualcomm’s own ALA covered
The court’s description of Qualcomm’s 2013 ALA is the most specific public account of the permission at issue. It granted Qualcomm a “non-exclusive, world-wide right and licence” to “use the applicable ARM Technology to design and have designed . . . Architecture Compliant Cores.” The agreement defined an Architecture Compliant Core as a microprocessor core developed by or for Qualcomm under the ALA.
In practical terms, this is an architecture-level right. Qualcomm could develop a customized processor core that implements the Arm ISA and could engage other parties to design that core for it. “Non-exclusive” means Arm could grant comparable rights to other customers; it does not make Qualcomm’s license a monopoly over Arm-compatible CPUs. “World-wide” describes the geographic reach of the right as the court quoted it, but does not disclose every country-specific regulatory, export or product restriction that might apply elsewhere.
The phrase “applicable ARM Technology” is also contract-specific. It does not establish that Qualcomm received every Arm patent, software package, reference implementation or future Arm product. The court was interpreting the 2013 agreement and the evidence presented in that case, not publishing a standard form for all ALA customers.

Why the Nuvia acquisition created a separate contract question
Nuvia held its own Arm ALA for CPU development. That agreement said an assignment in an acquisition required Arm’s consent. Qualcomm acquired Nuvia in March 2021, so the transaction raised two different questions that are easy to conflate:

- What rights did Qualcomm already possess under its separate 2013 ALA?
- Could Nuvia’s contractual rights, technology and obligations move to Qualcomm under the Nuvia ALA despite the consent condition?
Arm notified Nuvia in February 2022 that it would terminate the Nuvia agreement effective March 1, 2022. Arm later sued for relief that included stopping use of relevant technology and requiring destruction of technology covered by its claims. Qualcomm argued that the challenged use was authorized by Qualcomm’s own ALA. Arm argued that the Nuvia agreement required consent and that termination triggered return-or-destruction obligations.
The assignment clause did not automatically answer the separate Qualcomm-ALA issue. Nor does the verdict establish a general rule that acquiring a company always transfers that company’s Arm rights. The result depended on the wording of both agreements, how the technology was used and the factual record at trial.
What the December 2024 jury trial decided
The December 2024 trial addressed competing claims under the two agreements. The jury found that Arm had not proved Qualcomm breached the relevant Nuvia ALA provision. It also found that Qualcomm proved its challenged use of Arm technology was licensed under Qualcomm’s own ALA.

What the September 30, 2025 court ruling added
On September 30, 2025, the U.S. District Court for the District of Delaware upheld the jury findings, denied Arm’s request for a new trial and granted Qualcomm judgment as a matter of law on the unresolved Nuvia-breach question. The court entered final judgment for Qualcomm and Nuvia in that case.
The court’s explanation of Qualcomm’s license is captured in this passage from its memorandum opinion:
“Among other things, the Qualcomm ALA granted Qualcomm a ‘non-exclusive, world-wide right and licence’ to ‘use the applicable ARM Technology to design and have designed . . . Architecture Compliant Cores,’ which are ‘microprocessor core[s] developed by or for [Qualcomm] under the [ALA].’”

Qualcomm described the judgment in a September 30, 2025 press release as a “complete victory.” That is the company’s characterization; the neutral legal effect is the final judgment and the findings entered by the court.

Build a proprietary CPU implementation
An ALA is intended for a company that wants control over core design choices while remaining compatible with the Arm ISA. The licensee can develop its own microarchitecture, performance features and implementation decisions, provided the resulting core meets the agreement’s definition of architecture compliance and any other contractual requirements.
Use outside designers for work performed for the licensee
The quoted Qualcomm language expressly covers cores designed “by or for” Qualcomm. That supports using internal teams, acquired engineers or contractors to develop the core for Qualcomm, subject to confidentiality, ownership, export-control and subcontracting clauses that are not public in the cited materials.

The court’s description concerns the right to design and have designed cores. It does not publish Qualcomm’s complete manufacturing, distribution, royalty, audit or product-registration terms. A chipmaker must check its own agreement for rules governing fabrication partners, foundries, customers, territories, derivative designs and support obligations.

Keep the right separate from a supplied Arm core
A TLA customer generally receives a specified Arm design. An ALA customer instead receives architecture-level permission to create a compliant implementation. That difference affects engineering investment, verification responsibility, performance differentiation and legal diligence when designs are acquired or combined.
What an ALA does not automatically allow
- It is not a blanket license to every Arm technology. Rights depend on the definition of licensed technology and the products and uses covered by the particular contract.
- It does not eliminate assignment rules. A target company’s ALA may require Arm’s consent before an acquisition or other change in control transfers contractual rights.
- It does not decide ownership of third-party work. An acquired design may involve employee inventions, contractor agreements, confidential information and obligations owed under another license.
- It does not make every use architecture-compliant. A core still has to satisfy the ISA and the agreement’s compliance process; the public record does not state Qualcomm’s complete testing or certification requirements.
- It does not reveal commercial economics. The reviewed filings do not disclose Qualcomm’s current fees, royalty schedule, minimum commitments, product caps or all geographic restrictions.
How chipmakers should analyze an Arm license in an acquisition
- Inventory each Arm agreement. Identify whether the company has an ALA, a TLA or both, and list all amendments, notices and schedules.
- Map the technology to the contract. For every CPU core, design file and derivative, record who created it, under which agreement and for which legal entity.
- Check assignment and control-change language. Determine whether an acquisition requires Arm’s prior consent, notice, novation or another approval. Do not assume that a parent company’s existing ALA cures a subsidiary’s assignment problem.
- Separate design rights from use rights. Confirm whether the contract permits only development, or also fabrication, sublicensing to a foundry, shipment to customers and continued use after termination.
- Review termination consequences. Look for deadlines to stop incorporating a design, return or destroy materials, preserve records and continue manufacturing previously released products.
- Document provenance. Maintain evidence showing which personnel and entities developed each core and which license authorized its use. This is especially important when an acquired team’s work is migrated into a different corporate license.
- Obtain written consent where required. If the contract calls for Arm’s consent, a written closing condition or post-closing waiver is safer than relying on an argument that another agreement covers the same technology.
What remains unresolved after the judgment
Arm appealed the judgment. In a filing dated June 2026, Arm said the appeal was pending in the U.S. Court of Appeals for the Third Circuit. The cited materials do not establish an appellate outcome, so the district court’s judgment should not be presented as the final word on every issue.
A separate Qualcomm lawsuit against Arm Holdings and Arm Limited was consolidated in March 2026. Qualcomm filed an amended complaint against Arm Limited on March 30, 2026, adding a contract claim. Arm disputed Qualcomm’s assertions and said the case was expected to go to trial in the fourth quarter of 2026. Qualcomm’s quarterly filing identified October 5, 2026 as a scheduled trial start. Those filings report a schedule, not a result; the cited sources do not establish what happened at or after that date.
Why the distinction matters beyond Qualcomm
For chipmakers, the dispute illustrates that “having an Arm license” is not a single legal status. An ALA can support an in-house or acquired team building a differentiated processor, while a TLA can provide a specified Arm core for faster product integration. The trade-off is that an ALA usually places more design, verification and compliance responsibility on the licensee, whereas a TLA centers the relationship on the supplied design and its incorporation rules.
For investors, suppliers and customers evaluating a semiconductor company, the relevant questions are contractual rather than purely technical: which entity holds the license, whether a merger or acquisition required consent, whether the design was created under the license being relied upon, and what happens if the agreement is terminated. Qualcomm’s judgment answers those questions for the contracts and evidence in that litigation. It does not convert the outcome into a guarantee for another chipmaker with different documents.
