What Microsoft Wanted From TikTok—and Why Its Bid Failed

Microsoft’s TikTok proposal aimed at more than hosting data: it sought control of the business and technology. The algorithm, China’s export rules and a rushed political process helped sink the bid.

Microsoft wanted to buy and operate TikTok across the United States, Canada, Australia and New Zealand—not merely host its data. The proposed acquisition would have given Microsoft control of the business and, according to contemporaneous reporting, the source code and recommendation technology that made TikTok distinctive. ByteDance rejected the proposal on September 13, 2020. The central obstacle was that a full transfer offered a more convincing answer to U.S. security concerns but was also the hardest outcome for ByteDance and Beijing to accept.

What Microsoft proposed to buy

On August 2, 2020, Microsoft said it was in preliminary discussions to purchase TikTok’s operations in the United States, Canada, Australia and New Zealand. It proposed owning and operating the service in those markets, and said other U.S. investors could participate as minority partners. Those were the geographic and ownership terms Microsoft publicly described, not a completed purchase agreement. Microsoft’s August 2 statement

The assets at stake went well beyond an app’s name and interface: the audience, employees, commercial relationships, local operations, user data, technical systems and ability to make decisions about security and content. Microsoft publicly said it would move U.S. user data to the United States and delete copies and backups held outside the country after the transfer. Microsoft did not publicly itemize every technical asset it sought. GeekWire, citing a person familiar with the discussions, reported that Microsoft wanted control of the U.S. operations, data, source code and recommendation algorithms. Why TikTok appealed to Microsoft

A consumer platform Microsoft did not have

TikTok offered a large, engaged audience and a recognizable consumer brand, especially among younger users. Microsoft had major platforms and communities in LinkedIn, GitHub, Xbox and Minecraft, but not a mass-market short-video social network. GeekWire compared TikTok’s potential appeal with Microsoft’s earlier acquisitions of Minecraft, LinkedIn and GitHub: each brought a substantial community as well as a product. GeekWire

Recommendation technology and AI potential

TikTok’s For You feed made the recommendation engine central to the product’s value. The system’s ability to learn what a viewer might watch next was both a driver of engagement and an important piece of technology. Contemporaneous reporting described the platform’s data and recommendation capabilities as potentially complementary to Microsoft’s artificial-intelligence work and Azure cloud business. That is reported strategic potential, not a publicly confirmed Microsoft business plan or a disclosed revenue forecast. GeekWire’s reporting

Advertising, creators and commerce

A short-video network could have expanded Microsoft’s exposure to digital advertising, brand marketing, creator monetization and social commerce. Those are evident opportunities in a consumer platform with a large audience, but Microsoft did not publish a finalized TikTok advertising or commerce plan. Likewise, Azure could have supported a service operating at TikTok’s scale, but the public proposal did not specify a cloud migration or quantify an Azure benefit.

Why owning the servers would not have been enough

Data localization answers where data is stored; it does not, by itself, establish who can access it, update the software, change the ranking system or make operational decisions. If ByteDance retained control of the recommendation algorithm, code updates, administrative access or content ranking, a U.S. owner could still have lacked authority over important information flows and product behavior.

For Microsoft, that would have created a mismatch: it could inherit the political and reputational responsibility for TikTok while depending on ByteDance for the systems needed to address security, privacy, moderation or disinformation concerns. GeekWire’s account said Microsoft was uncomfortable with an arms-length arrangement and wanted the control to manage those risks itself. GeekWire

The recommendation algorithm became a geopolitical obstacle

The For You algorithm was not just a valuable feature to negotiate over. It was a defining piece of TikTok’s intellectual property, a source of the app’s appeal and a potential national-security concern. China introduced export-control rules covering technologies relevant to recommendation systems. The Congressional Research Service (CRS) concluded that Chinese rules appeared to restrict transfer of TikTok’s recommendation algorithm, while U.S. demands appeared to favor separation or transfer sufficient to reduce ByteDance’s control. That left ByteDance in a bind: it could not readily promise Microsoft the technology Microsoft reportedly considered essential if transferring it required Chinese approval. Washington wanted a remedy that reduced the risk of foreign influence; Beijing had reason to resist exporting a strategically important Chinese technology under pressure. The available sources establish this regulatory conflict, but do not establish that China issued a single formal veto that alone ended Microsoft’s bid.

Political pressure compressed the negotiations

This was not an ordinary corporate auction. The Trump administration threatened restrictions or a ban unless ByteDance divested TikTok’s U.S. operations, placing a potential sale under intense political and national-security pressure. Microsoft’s August statement acknowledged the President’s involvement, the need to address national-security concerns and discussions with the Committee on Foreign Investment in the United States (CFIUS). A timetable measured in weeks left little room for the work required in a complex cross-border technology acquisition: due diligence, valuation, security audits, intellectual-property rights, employee and infrastructure arrangements, data separation, regulatory approval and transition services. It also heightened the risk that the parties and governments would reach incompatible understandings of what had to be sold and what remedy would satisfy U.S. concerns.

Oracle and Walmart pursued a different structure

Oracle presented itself as a “trusted technology provider,” rather than the buyer of TikTok’s U.S. operations and core technology. The proposed TikTok Global arrangement announced by Oracle and Walmart included a combined 20% investment, with Oracle providing cloud infrastructure and Walmart bringing e-commerce, marketplace, fulfillment, payments and advertising capabilities. The companies also described a board with four Americans out of five. Their announcement claimed the plan would create more than 25,000 U.S. jobs and generate more than $5 billion in new tax revenue; those were company claims about a proposal, not verified results. The distinction was substantive. Microsoft sought to buy and control the relevant business and technology. Oracle’s role was framed around cloud security and governance, while Walmart added retail and commerce capabilities. CRS described the Oracle plan as a partnership that could leave TikTok’s source code and recommendation engine with ByteDance. It also described the announced structure as a 20% stake in a new company, with ByteDance retaining the other 80%. CRS report

That narrower approach appeared more compatible with ByteDance’s interest in retaining its business and algorithm, but it raised the question Microsoft’s proposal had tried to answer: could a cloud provider and governance arrangement truly ensure independent control of the technology and data?

Why Microsoft’s bid failed—and why Oracle was not a settled solution

On September 13, ByteDance told Microsoft it would not sell TikTok’s U.S. operations to it. Microsoft said its proposal would have made significant changes to meet high standards for security, privacy, online safety and combating disinformation. Microsoft’s September 13 statement

The immediate issue was not simply that Oracle offered a higher price. CRS reported estimates of roughly $20 billion to $30 billion for Microsoft’s bid, but the public record points to a deeper disagreement over what the transaction had to include. Microsoft’s full-control approach aligned more directly with U.S. security objectives, yet demanded a transfer of assets ByteDance was reluctant—and potentially legally constrained—to surrender. Oracle’s approach was less disruptive and appeared to preserve more ByteDance control, but was less clearly a separation from ByteDance’s influence.

Nor was the Oracle-Walmart proposal a clean, completed sale. Reuters reported conflicting descriptions of who would own TikTok Global’s remaining 80%: ByteDance said it would retain that stake, while Oracle said the stake would belong to ByteDance’s investors rather than ByteDance itself. Reuters also reported unresolved contractual and security details. The proposal therefore should be understood as an announced, contested structure, not proof that the underlying security and ownership questions had been definitively resolved.
