Re:

What Happens When a Bitcoin Treasury Company Cannot Raise Cash?

A Bitcoin treasury company that cannot raise cash may conserve funds, use credit, sell or pledge Bitcoin, restructure obligations—or face default if payments cannot be met. The outcome turns on unrestricted liquidity, debt terms, collateral and timing.

A failed stock or debt offering does not automatically force a Bitcoin treasury company to sell all its Bitcoin, default, or file for bankruptcy. The immediate outcome depends on whether unrestricted cash, operating inflows and committed credit can cover each obligation when it falls due.

Management may preserve cash, slow Bitcoin purchases, draw available facilities, issue a different security, borrow against Bitcoin, sell some holdings, or negotiate with creditors. If those measures do not produce enough liquidity, missed payments can trigger the specific defaults, collateral remedies, restructuring negotiations or insolvency proceedings written into the company’s contracts and applicable law.

A failed fund-raising attempt is not the same as insolvency

“Cannot raise cash” can describe several different situations. An ATM equity program may be authorized but have no recent sales. A proposed bond issue may be withdrawn. A lender may refuse a new facility, while an existing revolver remains drawable. None of those events, by itself, proves that the company is insolvent or even that a payment has been missed.

The decisive question is timing: can the company pay principal, interest, preferred dividends, payroll, suppliers, taxes and other obligations from permitted sources on their due dates? A useful liquidity timeline includes:

  • Bitcoin that is free to sell or pledge, versus Bitcoin already pledged, restricted or otherwise encumbered.

A company can fail to complete a financing and still meet every obligation. Conversely, it can report a large Bitcoin balance and still face a cash shortfall if that Bitcoin is pledged, market conditions prevent an orderly sale, or a lender’s terms limit its use.

What management can do before selling Bitcoin

The sequence is company-specific, but the following responses are common. A board may use several at once rather than follow a fixed order.

Use unrestricted cash and operating inflows

Cash is the least complicated source only when it is genuinely unrestricted. Strategy, Inc.’s June 30, 2026 Form 10-Q describes a USD Reserve policy supporting preferred dividends and debt interest; other uses require board authorization. That distinction matters: a reported cash balance is not necessarily available for every purpose.

Companies with operating businesses may also rely on receivables, subscriptions, mining revenue or other inflows. The amount and timing depend on the business model and existing commitments, so projected revenue should not be treated as cash already in the bank.

Cut or defer discretionary spending

Management can slow or stop new Bitcoin purchases, postpone capital expenditure, delay acquisitions, reduce expansion plans or remove other discretionary costs. These actions protect runway but may reduce growth, mining capacity or the rate at which the treasury accumulates Bitcoin. Fixed contracts, employee obligations and maintenance requirements limit how quickly expenses can be reduced.

Try a different security or financing structure

A company that cannot sell common shares on acceptable terms may consider preferred stock, convertible notes, secured notes or another debt instrument. A new structure can solve a timing problem while creating a different risk:

  • Common equity can raise cash without scheduled principal repayment, but it dilutes existing common shareholders and may be difficult to sell when the share price is weak.
  • Preferred securities can carry dividends, liquidation preferences or other senior rights that compete with common equity for future cash.
  • Convertible notes combine debt repayment obligations with possible future dilution and may include restrictive covenants.
  • Secured debt can be cheaper or more available than unsecured debt, but gives the lender rights in pledged assets.

An ATM authorization or remaining capacity is not money already raised. Investors should check actual shares sold, gross proceeds, fees and settlement dates in the latest filing.

Borrow against Bitcoin or other assets

Collateralized borrowing provides cash without an immediate sale, allowing the company to retain price exposure. It also creates a claim that can become more demanding when Bitcoin falls. Loan-to-value limits, margin calls, additional collateral requirements, interest, maturities and restrictions on selling pledged coins all affect usable liquidity.

Sell Bitcoin

Bitcoin sales can produce cash when securities markets are closed or expensive. A sale reduces the company’s holdings and its exposure to future price increases. Execution depends on market depth, trading windows, custody arrangements, accounting and tax consequences. A sale is not necessarily forced: Strategy’s Form 10-Q says it may sell Bitcoin even when other liquidity sources are available if management considers the sale more favorable.

Negotiate, refinance or exchange obligations

Management may seek a maturity extension, covenant waiver, debt exchange, new collateral package or private financing. Creditors do not have to accept those proposals. Negotiations can buy time, but fees, higher interest, additional collateral or concessions to existing investors may be required.

How the main liquidity choices shift risk

Liquidity route What it provides Main cost or risk Questions to verify
Unrestricted cash and operating inflows Immediate funding without new securities Consumes the buffer needed for later obligations; inflows may be uncertain How much is unrestricted, and when are inflows collectible?
Spending reductions Extends runway without raising capital Can reduce growth, capacity or revenue and may be limited by fixed commitments Which cuts are discretionary, and what savings are timed?
Common-stock issuance Potentially non-repayable capital Dilution; weak share price can make proceeds expensive Shares actually sold, net proceeds and remaining capacity
Preferred securities Capital senior to common equity Dividends, preferences and possible restrictions on common distributions Dividend rate, payment status, ranking and redemption terms
Unsecured or convertible debt Cash while preserving Bitcoin ownership Interest, principal maturities, covenants and refinancing risk Due dates, rates, covenants and waiver periods
Bitcoin-secured borrowing Cash without an immediate coin sale Collateral calls, lender enforcement and encumbered holdings Collateral ratio, maintenance trigger, cure period and lender remedies
Bitcoin sale Cash with no repayment obligation Fewer coins, lost future upside and possible tax or market-impact costs Quantity, execution price, taxes and whether coins were pledged
Restructuring or refinancing More time or revised payment terms Requires creditor consent and may add cost, collateral or dilution Signed agreement, waivers, new security and effective dates

Strategy says it weighs market conditions, the liquidity and cost of debt and securities, cash reserves, dilution, taxes, execution timing and Bitcoin liquidity when selecting among these routes. A source that is merely authorized or under discussion should not be counted as committed cash.

Why a Bitcoin price drop can intensify the squeeze

Bitcoin serves two different functions on a balance sheet: an asset that can be sold and collateral that can support borrowing. A price decline can reduce both functions at once. The same number of coins produces less sale proceeds, while a lender may require more coins or additional collateral to maintain a specified coverage ratio. Falling prices can also weaken the share price and investor appetite for new equity or debt.

Fold, Inc.’s Form 10-K for the year ended December 31, 2025 gives a company-specific example. Its disclosed Credit Facility required Bitcoin collateral equal to 160% of cash drawn. The filing describes posting an additional 50 Bitcoin after a price decline to meet maintenance requirements. That 160% term is Fold’s contract, not an industry-wide lending standard; other facilities can use different ratios, assets and remedies.

When collateral is insufficient, a lender may issue a margin or maintenance notice, restrict further draws, demand more Bitcoin or cash, or exercise contractual enforcement rights after any cure period. Investors must read the actual credit agreement and filing rather than infer a universal “liquidation price.”

What happens if payments still cannot be made?

Missed payment and contractual default

If a principal, interest or preferred-dividend obligation is not paid, the governing instrument determines the consequence. There may be a grace period, default interest, cross-default to other debt, acceleration of principal, restrictions on new borrowing or limits on asset sales. A covenant breach can create a default even before a scheduled payment is missed.

Secured lenders may have rights over pledged Bitcoin or other collateral. Unsecured creditors may seek damages, judgments or other remedies. Preferred holders may gain voting or protective rights if dividends are unpaid. The exact result depends on contract language and applicable jurisdiction.

Waiver, exchange or restructuring

A company may negotiate a waiver, extend maturities, exchange debt for equity, sell assets, or arrange a rescue financing. Such agreements often change interest, collateral, ranking, conversion terms or control rights. A proposed restructuring is not effective until the required parties sign and any conditions are satisfied.

Insolvency proceedings

If obligations cannot be paid and no consensual solution is available, the company may enter a formal insolvency or bankruptcy process under the law that applies to it. The process can stay collection actions, reorganize debt, sell assets or wind down the business. Shareholders generally rank behind secured and unsecured creditors, subject to the specific legal structure. A single failed raise does not establish that this stage is inevitable.

What issuer filings show—and what they do not

Strategy: multiple stated liquidity sources

Strategy’s June 30, 2026 Form 10-Q says it expects to address liquidity needs with cash in its USD Reserve, Bitcoin sales, common- and preferred-stock ATM proceeds, and additional equity or debt. It also warns that a significant Bitcoin-price decline or adverse market shift could impair access to financing, reduce the usefulness of Bitcoin for liquidity and make it harder to maintain the reserve. These are issuer disclosures of possible sources and risks, not evidence that Strategy was then in default.

Fold: collateral and a reported sale

Fold’s 2025 Form 10-K describes a treasury strategy that may include Bitcoin sales, collateralized financing and income generation. It reports that 200 Bitcoin were sold in February 2026 for approximately $14.4 million—about $71,900 per Bitcoin using the issuer’s rounded figures—and that an investor note was subsequently repaid. The transaction demonstrates one way a company can turn holdings into liquidity; it does not establish a typical sale price, frequency or industry outcome.

MARA: an operating miner, not a pure treasury proxy

MARA’s annual report for the year ended September 30, 2025 lists cash, Bitcoin, convertible notes, an ATM program and Bitcoin-secured credit among liquidity sources. It also warns that inability to obtain funds on desired terms could harm the business. Because MARA operates mining and infrastructure activities, its electricity, equipment and expansion commitments make its cash needs different from those of a company whose principal activity is holding Bitcoin.

Empery Digital: financing when markets permit

Empery Digital’s March 2026 quarterly filing describes issuing equity when market conditions permit, using an ATM program, considering additional equity or convertible debt, and selling Bitcoin alongside financing. That combination illustrates how several levers can be used together, but its results and strategy should not be generalized to every digital-asset treasury issuer.

How to assess a company’s actual liquidity

Use the latest quarterly or annual filing, and date every figure because balances, Bitcoin prices, debt and ATM activity can change quickly.

  1. Start with unrestricted cash. Reconcile the balance sheet to cash that management can legally and practically spend. Identify reserves with board or contractual restrictions.
  2. Build a 12-month payment calendar. List principal, interest, preferred dividends, leases, payroll, taxes, supplier commitments and required capital spending by date.
  3. Separate committed funding from authorization. Confirm whether a credit facility is available today, whether covenants are satisfied and whether ATM shares were actually sold and settled.
  4. Map the Bitcoin holdings. Record total coins, custody location, pledged coins, restricted coins and coins available for sale. Do not multiply the total balance by the spot price and call the result cash.
  5. Read collateral terms. Note initial and maintenance ratios, permitted collateral, margin-call procedures, cure periods, interest, maturity and lender remedies.
  6. Check cash generation. For an operating company, examine recurring revenue, mining economics, capital expenditure and working-capital needs rather than assuming Bitcoin sales are the only option.
  7. Review management’s liquidity language. Words such as “may,” “expects,” “intends” or “subject to market conditions” describe possibilities, not committed proceeds.
  8. Stress-test a Bitcoin decline. Consider lower sale proceeds, additional collateral needs and weaker equity or debt markets together. A filing may disclose a specific sensitivity, but do not invent a sector-wide threshold.

Common mistakes when interpreting a cash squeeze

  • Calling every failed raise a default. Default requires a missed obligation or covenant event under the relevant instrument.
  • Assuming all Bitcoin is immediately liquid. Pledges, custody controls, market depth and lender consent can delay or limit a sale.
  • Treating an ATM headline as cash in hand. Authorization and remaining capacity are not proceeds.
  • Assuming a sale was forced. Use “forced” only when a filing or contract says the company had to sell.
  • Applying one issuer’s collateral ratio to the sector. Fold’s 160% requirement is an example of one facility’s terms.
  • Ignoring business-model differences. A miner with heavy infrastructure spending has different liquidity risks from a software company that primarily holds Bitcoin.
  • Using stale balances. Bitcoin prices, holdings, debt, collateral and ATM sales can change between filings.

Bottom line

When a Bitcoin treasury company cannot raise new cash, it enters a liquidity-management problem, not an automatic legal outcome. Management may conserve cash, adjust purchases and spending, use operating inflows, change the financing structure, borrow against unpledged assets, sell Bitcoin or negotiate with creditors. The situation becomes a default, restructuring or insolvency case only if the company cannot meet its obligations under the applicable contracts and law. The reliable way to judge the risk is to match unrestricted cash and committed funding against dated payments, then examine which Bitcoin is actually available and what collateral terms can do if its price falls.
