There is no single outcome when an exchange or issuer fails. Whether you recover anything depends on what your token legally represents, who holds the underlying asset and records, how customer property was treated, and which insolvency rules apply. A token’s name or blockchain record alone does not guarantee ownership, redemption, or protection from the failed firm’s creditors.
First, distinguish the exchange, custodian, and issuer
“The platform failed” can describe several different events, and they do not have the same consequences. A trading venue might stop operating while an independent custodian continues holding assets. A platform might also be the custodian, so its records and custody arrangements become central. Or the platform—or another firm associated with the token—might be the token’s issuer and contractual obligor. In that case, holders may have a claim against the issuer itself.

Issuer failure and exchange failure can also happen separately. If an exchange that merely facilitated trades closes, the token issuer may remain solvent. If the token issuer becomes insolvent, an exchange that remains open cannot necessarily make the issuer honor a redemption promise or restore the underlying asset. If one company performed several roles, more than one risk may be involved.

Its closure does not by itself establish who owns assets held elsewhere.
- Custodian or intermediary: Holds assets, keys, or records for customers. The custody agreement, segregation, records, and applicable insolvency process matter if it fails.
- Issuer or obligor: Creates the token or promises a right, such as redemption or payment. Its failure can affect the value or enforceability of that promise.
Start by identifying which entity failed and what role it had under the documents—not simply which app, exchange name, or token ticker you recognize.

What legal right does the token give you?
A token can look like a share, a claim on an asset, or a dollar-linked instrument without giving its holder the same legal rights as the thing it references. The SEC staff’s January 28, 2026 statement on tokenized securities describes different structures and cautions that the rights vary with the model. The key question is not just what the token is called, but what the issuer, custody, and account documents say it represents.
| Structure | What the holder may have | Why failure can matter |
|---|---|---|
| Issuer-sponsored security recorded on the ledger | The issuer or its agent may use the ledger as part of its master securityholder file, so a token transfer also updates the issuer’s ownership record. | The recordkeeping design may connect the token transfer to the security ownership record, but the issuer’s obligations and applicable securities and insolvency rules still matter. |
| Issuer-associated token with an off-chain ownership record | The underlying security may remain recorded off-chain; the token may only prompt the issuer or agent to update that record. | The token itself may not convey the underlying security rights. The holder’s position can depend on whether the relevant off-chain record was updated and what the documents require. |
| Third-party custodial interest | A third party may hold the underlying security, while token holders have an indirect interest or claim through that party. | The custodian’s or intermediary’s bankruptcy can create exposure that a direct holder of the underlying security would not necessarily face. |
| Synthetic or linked claim | The token may provide exposure to an asset’s value through a separate issuer’s obligation rather than ownership of the referenced asset. | The holder may have a claim against the token issuer, not ownership rights against the issuer of the referenced security. |
These descriptions are possible models, not a classification of any particular token. A prospectus, offering document, custody agreement, or account contract may use different terms; read the operative documents to find the legal obligor, the nature of the right, and any conditions on transfer or redemption.
In some issuer-sponsored arrangements, a network transfer can update the issuer’s master securityholder file. In other arrangements, a token transfer does not itself change that off-chain record. That difference can matter if the platform or agent stops processing instructions. A blockchain entry may be useful evidence, but whether it establishes a securityholder right depends on the structure and governing records.

What can happen if an exchange or custodian fails?
If an intermediary holds customer property, the outcome depends on whether the property can be identified as customer property, whether it was segregated as required, and what the relevant agreement and insolvency framework provide. “Segregated” is not a magic label: confirm what property was segregated, by whom, for whose benefit, and under which law. A customer-property rule may cover only specified assets, providers, or activities.

In a qualifying U.S. broker-dealer liquidation under the Securities Investor Protection Act (SIPA), customer property is distributed under statutory procedures, and advances from the Securities Investor Protection Corporation (SIPC) may be available within statutory limits. The U.S. Courts’ overview explains that claims are handled using the debtor’s books and records or other proof satisfactory to the trustee. This is a specific process for qualifying broker-dealers and claims, not blanket protection for all platforms or crypto assets.
SEC Trading and Markets staff state that non-security crypto assets are not protected by SIPA and may not have another specific insolvency regime. Do not assume an exchange account is “SIPC insured” simply because it holds digital assets or because the provider offers trading services. Whether a particular asset and account qualify requires checking the entity, asset, and proceeding against the statute’s scope.
For covered custodians under the U.S. payment-stablecoin custody provisions, the law describes customer-property requirements for specified reserves, collateral, payment stablecoins, and keys held by regulated providers. That limited scope does not establish the treatment of every token, wallet, exchange, or custodian. Check whether the entity and property in question are covered.

What can happen if the token issuer fails?
If the token is a direct security with ownership recorded by its issuer, the holder’s rights will depend on the security’s governing terms and the applicable insolvency and securities law. If a third party issued a token linked to someone else’s security, the holder may instead rely on the third party’s promise or on a custodial arrangement. If the token promises redemption, the issuer’s capacity and legal duty to redeem are relevant. No single blockchain feature answers these questions.
The Federal Reserve’s March 5, 2026 capital-treatment FAQ says eligible tokenized securities that confer legal rights identical to their non-tokenized form generally receive the same capital treatment as their non-tokenized equivalents. That is a banking capital rule, not a guarantee to retail holders or a promise that an asset will be returned after insolvency.
Stablecoin rules illustrate why protections must be checked by token type and jurisdiction. They do not create a universal recovery rule for tokenized securities, other stablecoins, or unrelated crypto assets.

U.S. permitted payment-stablecoin issuers
Under 12 U.S.C. § 5910, holders of payment stablecoins issued by covered permitted issuers have a ratable priority claim with respect to required reserves, subject to the statute’s terms. The U.S. Code states that the chapter takes effect on the earlier of 18 months after July 18, 2025, or 120 days after final implementing regulations. The applicable commencement date and whether the particular issuer and token qualify must be checked; the statute should not be treated as an operative protection for every stablecoin without confirming those conditions.

European Union asset-referenced tokens under MiCA
MiCA Article 47 requires an asset-referenced-token issuer to maintain a plan for orderly redemption if a competent authority decides that the issuer is unable, or likely unable, to meet its obligations. The plan applies to stated situations including insolvency, resolution where applicable, and withdrawal of authorization. It is intended to support equitable treatment and timely payment from proceeds of remaining reserve assets while keeping critical redemption activities operating.
MiCA Article 46 separately addresses recovery planning for reserve or operational disruption risks. Available tools can include liquidity fees, daily redemption limits, and suspension of redemptions. A competent authority may require action or temporarily suspend redemption in specified conditions. These are contingent measures; they are not a promise of immediate redemption at par.

Canada’s enacted but not-yet-operative provision
Section 39 of Canada’s Stablecoin Act contains provisions for segregating reserve assets so they are unavailable to satisfy issuer or custodian creditors, apart from holder redemption claims. The official statute page marks those provisions “not in force.” They should be understood as enacted text that is not yet operative, unless their commencement status is confirmed to have changed.

Gather the token’s governing documents and the exchange or custody agreement before drawing conclusions from a ticker, website description, or balance display. These questions help identify the legal position; they do not determine an individual insolvency claim or recovery amount.

Scan for outdated or missing drivers - takes under a minuteDriver Scan →Repair Windows errors before they cause bigger problemsFix Now →- Identify the issuer and legal obligor. Look for the entity that issued the token and the entity that owes any redemption, payment, or other contractual obligation. They may not be the same company.
- Find where ownership is recorded. Determine whether the issuer’s master securityholder file recognizes the token holder, whether an intermediary’s books record beneficial ownership, or whether a token transfer only triggers an off-chain update.
- Define the right represented. Check whether the token conveys the underlying security, a security entitlement, an indirect interest, a redemption claim, or synthetic exposure. Do not treat price tracking as proof of ownership.
- Trace custody and segregation. Identify who holds the underlying asset, reserves, collateral, or keys; what property is segregated; and whether the governing documents identify customers as beneficial owners or claimants.
- Read the account and token terms. Look for custody arrangements, transfer and redemption conditions, default provisions, governing law, and what happens if the service or issuer ceases operations.
- Check the entity’s regulatory status and legal regime. Confirm whether the relevant intermediary is a covered broker-dealer, bank, or regulated stablecoin issuer, and whether the specific protections apply to this asset and account.
- Classify the event. A trading outage, withdrawal pause, custodian failure, issuer insolvency, and formal resolution are different events. A service interruption alone does not establish that insolvency proceedings have begun.
Keep copies of account statements, transaction records, token identifiers, and the documents that applied when you acquired the asset. In a qualifying U.S. SIPA case, the debtor’s books and records or other proof accepted by the trustee can matter when claims are handled. Records may help establish what you held, but they do not change the legal rights granted by the token or account contract.
What not to assume
- A token is not automatically the underlying asset. A token can be a direct recorded security, an indirect custodial interest, or a separate issuer’s linked claim.
- A public ledger is not automatically the controlling ownership register. Some structures use the ledger in the issuer’s master file; others rely on records maintained off-chain.
- Custody and issuer risk are different. A third-party custodian’s failure can affect holders even when the underlying security issuer remains solvent.
- One law’s protection does not extend to every token. SIPA, U.S. payment-stablecoin provisions, MiCA, and Canada’s not-yet-operative section 39 address different entities, assets, and circumstances.
- No general recovery amount or timetable follows from the token label. The relevant documents, debtor, records, proceeding, and jurisdiction determine what process applies. The cited legal frameworks do not establish an individual holder’s outcome.
For a specific failure, use the current governing documents and notices from the relevant regulator, trustee, administrator, or court to establish which entity and proceeding are involved. If the amount is material or the claim is disputed, consult a qualified legal professional in the relevant jurisdiction.
