It sold substantially all of the group’s assets to a newly organized company backed by Kohlberg Kravis Roberts (KKR) and Silver Lake Partners. The transaction was announced in August 2005 and completed on December 1, 2005; the successor company was Avago Technologies.
How the Agilent-to-Avago transaction worked
The word “spin-off” is often used loosely to describe what happened, but the legal and financial form matters. Agilent agreed to divest the Semiconductor Products segment in a sale to KKR and Silver Lake-backed Avago. At closing, Agilent reported selling substantially all Semiconductor Products Group assets—not distributing shares in a spun-off subsidiary to Agilent shareholders.

These figures describe different stages and reporting conventions, rather than three competing prices: the announced transaction value, cash proceeds reported at closing, and Avago’s rounded accounting figure. Agilent’s fiscal 2005 company-wide net revenue was $5.1 billion, according to its 2005 Form 10-K; that company-wide figure provides scale, but is not the value of the semiconductor business.
What moved to Avago
The transfer involved people and operations as well as product lines. Agilent’s December 1, 2005 completion release said: “The divestiture includes 6,500 employees and operations in Asia, the United States and Europe.”

Avago’s successor business designed, developed, and supplied analog semiconductor devices using III-V technologies. Its markets included wireless communications, wired infrastructure, industrial and automotive electronics, and consumer and computing peripherals. The products served applications such as mobile phones, networking and telecom equipment, storage and servers, factory automation, displays, optical mice, and printers, as described in Avago’s 2009 Form 10-K.
Why Agilent sold the semiconductor group
Agilent framed the sale as a way to sharpen its focus as a measurement company and reduce its exposure to the semiconductor industry’s pronounced business cycles. In its 2005 Form 10-K, Agilent said it expected a less cyclical operating model after disposing of semiconductor-related businesses. The company also said it planned to return divestiture proceeds to shareholders.

What happened to Agilent’s semiconductor test business?
Agilent’s semiconductor test-solutions business followed a separate path; it was not part of the Avago sale. On June 1, 2006, Agilent transferred substantially all of the test-solutions assets and liabilities to Verigy. Verigy later held an IPO, after which Agilent distributed its remaining holding. Agilent’s 2006 filing describes that separation.
Keeping the transactions distinct clears up a common source of confusion: Avago succeeded to the Semiconductor Products Group sold in 2005, while Verigy emerged from the later separation of semiconductor test solutions.
