A block deal discount means a large share transaction was completed below a stated comparison price. In India, where the term refers to a single large trade in a separate exchange window, the discount describes the transaction’s price relative to that benchmark—not the seller’s reason for selling, the stock’s fair value, or a prediction that its price will fall. For example, a block deal at ₹98 compared with a clearly identified ₹100 benchmark is 2% below that benchmark.
What the discount tells you—and what it does not
A block deal is a large trade executed as a single transaction through a separate exchange trading window. SEBI describes the purpose as facilitating large trades “without putting either the buyer or seller in a disadvantageous position.” The arrangement gives counterparties a way to transact a sizeable holding using the block-deal mechanism rather than treating the trade as an ordinary-market order. That purpose explains the mechanism; it does not establish why any particular seller chose it.

The discount is a comparison, not an intrinsic property of the stock. It tells you how far the transaction price was below a selected reference price at a particular time. A deal above the chosen reference is described as a premium; one below it is a discount. You must know the benchmark before the percentage means anything. “A 2% discount” without saying “2% below which price?” is incomplete.

It does not, on its own, establish the company’s fair value or what the share will do next. A discounted transfer can be consistent with a seller accepting a lower price for a large holding, but the percentage alone cannot show whether the reason was liquidity, portfolio changes, negotiated terms, execution preferences, company-specific information, or something else. Those are possibilities, not conclusions about an individual trade.

How to calculate a block deal discount
Use a clearly named comparison price and calculate:
Discount (%) = (comparison price − block-deal price) ÷ comparison price × 100
If the block-deal price is ₹98 and the comparison price is ₹100, the calculation is (₹100 − ₹98) ÷ ₹100 × 100 = 2%. The transaction is 2% below that ₹100 benchmark. This is a simple explanatory calculation, not an official exchange-defined statistic.

If the result is negative because the block price is above the comparison price, describe the deal as a premium instead. For instance, a transaction above a stated benchmark is not a “negative discount” in ordinary reporting; it is a premium relative to that benchmark. Always state the price used, rather than reporting a percentage on its own.
The benchmark matters because NSE’s block-deal sessions use different reference-price methods. The closing price readers see later may not be the reference used when an afternoon transaction was eligible to execute. Prices may also move between the reference observation and the time a disclosure is read. So a calculation against the close can answer a different question from a calculation against the session’s applicable reference price. Neither should be presented as the other.
Which reference price applies on NSE?
NSE lists two block trading windows, in Indian Standard Time (IST), with different reference methods. The applicable reference price is the important comparison when explaining the exchange’s permitted range for an order. For a reader calculating a reported discount, identify and label the benchmark used; do not assume that every percentage reported in commentary uses the same one.

VWAP means volume-weighted average price: prices during the stated interval are weighted by the volume traded at each price. The afternoon reference therefore reflects activity in that specified cash-market period, rather than simply reusing the previous close. NSE’s page notes fallback calculations if no trade occurs in the interval, but the current figures summarized here do not specify those fallback formulas. Do not guess them; consult the exchange’s applicable rules if the calculation itself is material to your analysis.

There is a published-source discrepancy worth handling carefully. SEBI’s consolidated trading chapter and an older NSE FAQ in the materials reviewed state ₹10 crore and ±1%, while NSE’s current block trading page states ₹25 crore and ±3%. The current exchange page is the most directly current source for NSE execution details as of the date above. The reviewed material does not establish the reason for the differing figures, so do not merge them into a single rule or claim a particular amendment history.

How to read a reported deal without overinterpreting it
Start with the disclosure, not the headline attached to it. Exchanges disclose block-trade information after market hours, including the security, client, quantity, and traded price. The disclosed information lets you identify the parties as reported and establish the transaction price and size. To calculate a discount, you still need to choose a contemporaneous benchmark and state it plainly.
- Confirm the transaction and its session. Check the exchange disclosure for the security, client, quantity, traded price, and whether the trade occurred in the morning or afternoon block window.
- Choose and name the comparison price. If your question concerns the exchange’s applicable reference, use the relevant session’s reference method. If you compare the deal price with another observed market price, such as the close, label that benchmark and its timing explicitly.
- Calculate the percentage. Apply the formula above and keep the benchmark next to the result—for example, “2% below ₹100,” not merely “a 2% discount.”
- Put the quantity in context. Consider the block’s size relative to ordinary trading volume and the company’s shares. A large transaction in absolute terms may represent a different ownership change from one that is large relative to the company or its usual trading.
- Check who is disclosed as buyer and seller and their roles. Whether a party is a promoter or an institution may help describe the ownership change, but identity by itself does not explain the reason for the trade.
- Read relevant company announcements and ordinary-market price action around the transaction. These provide context for deciding whether the trade coincided with broader repricing or appears to be an ownership transfer. Neither establishes what the stock will do next.
Keep the distinctions in your notes or reporting: transaction price, benchmark price, benchmark time, and calculated percentage. If two sources use different benchmarks, their discount figures may differ without either arithmetic result being wrong. The error is to compare them as though they measure exactly the same thing.
Does a discount mean the stock is bad or about to fall?
No. A discount says that the completed transaction price was below the benchmark selected for comparison. It does not prove that the market has reassessed the company downward, that the seller has negative information, or that the stock will decline. A premium is no stronger as a forecast: an above-benchmark block deal does not guarantee a rise either.

Look for more than one clue before describing a broader price signal. The seller’s role, the size of the block relative to the company and normal trading, market behavior around the deal, and company disclosures can help distinguish a one-off transfer from a wider change in how the stock is being priced. These checks improve context; they do not reveal motive with certainty or guarantee a future return.
In particular, do not infer a seller’s motive from the discount percentage alone. The public mechanics explain how the trade is handled and what is disclosed; they do not establish whether an individual seller needed liquidity, was rebalancing a portfolio, had a view on the company, or agreed to other terms. Unless a reliable disclosure establishes the reason, describe the price comparison and leave the motive open.
Block deal versus bulk deal
These terms describe different things in the Indian market. A block deal is a single large transaction handled in a separate window. A bulk deal is defined by the day’s aggregate transactions in a listed security exceeding 0.5% of its listed equity shares; the threshold can be reached through one trade or several trades in the normal market segment. Both are disclosed, but they are not interchangeable labels.

SEBI’s 0.5% figure is the threshold in its consolidated trading chapter published in the December 2024 collection. It is a definition of a bulk deal, not a rule for interpreting a block deal’s price movement.
What a discount is useful for
A carefully described discount can answer a limited but useful question: at what price, relative to a named reference, did the counterparties complete the transfer? It can help readers compare reported transactions, provided they also align the benchmark method and timing. For comparing two deals, examine the price difference against each deal’s clearly named reference, the deal size in context, the parties and their disclosed roles, the session and reference method, and the stock’s ordinary-market behavior and disclosures around the trade.
It cannot independently answer whether the stock is cheap, whether the seller was under pressure, whether buyers expect a gain, or whether the share price will rise or fall. Those are separate questions requiring evidence beyond a single transaction-price comparison. Treat the discount as one descriptive fact within the transaction—not as a verdict on the company.
