Wendy’s closed at $6.31 on October 12, 2026, but a low share price does not establish that a stock is cheap. The more important context is deteriorating sales and earnings: U.S. comparable sales fell 7.0% in Q2 2026, diluted EPS dropped to $0.17 from $0.29 a year earlier, management withdrew its 2026 outlook, and the company cut its annualized dividend to $0.28 per share. A rough trailing earnings multiple is about 9.6×, but that figure is backward-looking and does not account for the uncertainty of a turnaround or the company’s debt and lease obligations.
Why a $6.31 share price does not tell you whether WEN is cheap
A share price is the price of one share, not the price of the whole business. To judge a stock’s valuation, investors also need to consider how many shares exist, what the company earns and generates in cash, what it owes, and how those figures might change. Wendy’s last completed closing price before October 13, 2026, was $6.31 on October 12, according to historical share-price data. That is a dated market quote, not an intraday price or a valuation conclusion.

At June 28, 2026, Wendy’s reported 190.324 million shares outstanding. Multiplying that balance-sheet share count by the October 12 close gives an approximate equity value of $1.20 billion. Because the share count and market price are from different dates, this is an approximation, not a precise market capitalization.
A rough trailing diluted EPS estimate is $0.66: fiscal 2025 diluted EPS of $0.85, plus $0.29 for the first half of 2026, minus $0.48 for the first half of 2025. Dividing $6.31 by that estimate gives roughly 9.6 times trailing earnings. The inputs come from different reporting periods, and the calculation uses reported EPS; it is not a forecast or fair-value estimate. If earnings decline further, the multiple based on past results can understate the valuation challenge. The figures appear in Wendy’s full-year 2025 results and Q2 2026 results.

Comparable sales show a business losing momentum
Comparable sales measure performance at restaurants open long enough to be included in the company’s same-restaurant calculation. Wendy’s applies the measure to restaurants open for 15 continuous months; reimaged restaurants enter the calculation after reopening. The company reports comparable-sales growth on a constant-currency basis and excludes Argentina. These qualifications matter when comparing periods or regions.
| Period | Global | United States | International |
|---|---|---|---|
| Fiscal 2025 | Down 4.7% | Down 5.6% | Up 1.3% |
| Q2 2026 | Down 6.3% | Down 7.0% | Down 2.3% |
The fiscal 2025 results are reported in Wendy’s 2025 Form 10-K; the Q2 figures are in its Q2 release. The shift from international growth for the full year to a decline in Q2 is notable, but one quarter does not establish what future sales will be.

Wendy’s operates and franchises restaurants, so systemwide restaurant sales are not the same as consolidated company revenue. Franchise restaurant sales generally do not appear as Wendy’s revenue, although franchise sales affect royalties. At December 28, 2025, the company had 7,397 restaurants across the United States and 38 foreign countries and territories, including 423 U.S. company-operated and 5,546 U.S. franchised restaurants, according to the Form 10-K.

Revenue growth did not mean stronger underlying demand
In Q2 2026, total revenue rose 1.7% year over year to $570.6 million, while adjusted revenue declined 1.4% to $443.2 million. Wendy’s attributed the difference in part to higher advertising fund revenue and non-recurring vendor incentives; lower franchise royalty revenue and rental income partly offset those items. U.S. company-operated restaurant margin was 13.8%, down 240 basis points. The combination illustrates why a reported revenue increase alone may not signal improving restaurant demand or profitability. These figures and explanations are in the company’s Q2 2026 results.

Earnings fell, and the 2026 outlook was withdrawn
Q2 2026 net income fell to $32.6 million from $55.1 million a year earlier, a 40.8% decrease. Diluted EPS was $0.17, down from $0.29. For the first half of 2026, net income was $55.3 million, compared with $94.3 million in the first half of 2025. These reported results help explain why a trailing earnings ratio deserves caution: its denominator reflects a business whose recent earnings have weakened.
On August 7, 2026, Wendy’s withdrew its 2026 financial outlook. The company said new leadership was assessing opportunities and formulating a comprehensive turnaround plan, including capital deployment. Without current company guidance, estimating near-term earnings requires more uncertainty than relying on an active forecast. The withdrawal and quarterly results are detailed in the Q2 release.

Debt and leases make equity value only part of the picture
At June 28, 2026, Wendy’s reported $2.749 billion in current and long-term debt and $341.2 million in cash and cash equivalents. Its balance sheet also listed $675.2 million in current and long-term finance lease liabilities and $648.4 million in current and long-term operating lease liabilities. Those lease totals are separate from the reported debt figure; they sum the current and long-term rows for each lease category. The figures are from the company’s Q2 2026 results.
Debt and leases do not by themselves prove that a stock is overvalued. They do mean that an equity valuation should not stop at share price or earnings per share: investors also need to assess cash generation, financing needs, debt service, and lease commitments. Wendy’s 2025 Form 10-K identifies debt service and covenants, consumer spending, competition, commodity and labor costs, franchisee economics, and execution of strategy among its risks. Those disclosures identify areas to monitor; they do not establish why the market assigns WEN its current price.

The dividend is lower, and free cash flow needs context
In August 2026, Wendy’s set its annualized dividend rate at $0.28 per share and declared a $0.07 quarterly payment, saying the reduction would create flexibility for turnaround investment. At $6.31 per share, $0.28 implies a forward yield of about 4.4% only if that annualized rate is maintained. It is not guaranteed; the company has already reset the payout. The dividend announcement is in the Q2 release.
Wendy’s reported $344.5 million of operating cash flow and $205.4 million of free cash flow for fiscal 2025. For the first half of 2026, it reported $159.957 million of operating cash flow and $120.279 million of free cash flow. Free cash flow is a company-defined non-GAAP measure, with a reconciliation in the company’s results materials; it should not automatically be treated as cash available for dividends or debt reduction. The full-year figures appear in the 2025 results, and the first-half figures in the Q2 2026 release.
What would make a turnaround more convincing?
Management described progress on Project Fresh in the United States in its February 2026 results release. Interim CEO Ken Cook said, “We’re making progress against our Project Fresh turnaround plan in the U.S. and continue to deliver strong growth internationally.” That is management’s characterization at the time, not independent proof of a successful turnaround. The later Q2 sales and earnings figures provide subsequent evidence that the recovery had not yet shown up consistently in reported performance.

1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesFor an investor assessing whether the low share price might eventually prove attractive, the practical question is whether operating improvement can become measurable while the company funds its plans and meets its obligations. Relevant indicators include:
- Whether U.S. comparable sales improve from the Q2 2026 decline, and whether international sales return to growth.
- Whether restaurant margins and earnings stabilize rather than continuing to fall.
- Whether the company publishes a new outlook that gives investors a usable basis for estimating future results.
- Whether cash generation can support investment, debt service, leases, and the reduced dividend.
- Whether franchisee economics and restaurant execution improve alongside company-level results.
A low nominal price and a roughly 9.6× approximation based on trailing EPS are starting points for analysis, not evidence that the risks are already reflected in the stock or that a recovery is certain. Deciding whether WEN is cheap would require assumptions about future earnings, cash flows, obligations, and the likelihood and cost of a turnaround—assumptions the reported historical figures alone cannot settle.
