WBD Payouts: What the $1.1 Billion Skydance Merger Figure Means

A post-close report put stock and option compensation for five WBD executives at about $1.1 billion. Here’s how that figure differs from earlier golden-parachute estimates and the shareholder vote.

Warner Bros. Discovery’s five top executives were reported to have received about $1.1 billion in stock and stock-option compensation connected with the Skydance merger. That post-closing figure is not a single cash check, and it is not the same as WBD’s earlier estimate of executives’ “golden parachute” compensation.

What the reported $1.1 billion includes

On October 9, 2026, TheWrap reported that David Zaslav and four other senior WBD executives together received roughly $1.1 billion in stock compensation in connection with the merger. The report attributed its component figures to SEC Form 4 filings. It described stock and stock-option value, not one cash severance payment; some awards involved options with different vesting schedules, and taxes or withholding affect what executives ultimately keep. TheWrap’s report is the source for this post-close breakdown.

Executive Post-close stock and option figure reported by TheWrap Separately reported transaction bonus
David Zaslav $606 million Not stated in TheWrap’s cited figures
Gunnar Wiedenfels $125.74 million $2.1 million
Bruce Campbell $132.52 million $3 million
JB Perrette About $154.7 million $2.9 million
Gerhard Zeiler $89 million Not stated in TheWrap’s cited figures

TheWrap’s headline total is rounded, and its individual amounts include different combinations of shares and options. The separately reported bonuses are another category; they should not be added to the $1.1 billion and described as stock compensation. The report also noted that other employees held equity, so the five-executive figure is not a total for everyone with merger-related awards.

Why the earlier “golden parachute” estimate is different

WBD’s definitive merger proxy, filed with the SEC on March 26, 2026, estimated Zaslav’s merger-related compensation at $886,836,175. The estimate assumed the merger became effective on March 11, 2026, and combined several types of compensation rather than reporting a final post-close stock-and-option value.

Proxy estimate for Zaslav Amount What it covered
Cash $34,219,178 Cash compensation disclosed in the merger-related estimate
Equity $517,204,781 Equity-related compensation under the proxy’s assumptions
Perquisites and benefits $44,195 Estimated benefits and perquisites
Potential tax reimbursement $335,368,021 Estimated reimbursement subject to conditions and uncertainty
Total estimate $886,836,175 Proxy estimate using the stated assumed effective date

The proxy said actual amounts could differ materially. The tax-reimbursement estimate depended on factors including tax rules, timing, employment, and mitigation strategies; the filing said it was uncertain and expected to decline over time. Based on estimates at filing, no reimbursement was expected if closing occurred in 2027. The proxy amount is therefore not evidence of what Zaslav ultimately received.

The same proxy table estimated merger-related compensation of $120,023,703 for Wiedenfels, $121,526,218 for Campbell, $142,041,624 for Perrette, and $82,582,740 for Zeiler. Those are estimates built from the proxy’s assumptions and compensation categories, not directly comparable to TheWrap’s post-close stock-and-option figures.

How the AP’s roughly $550 million figure fits

The Associated Press reported around $550 million for Zaslav’s “golden parachute,” describing it as the value WBD assigned in its March filing to severance, stock awards, and health coverage. That scope differs from both the proxy’s $886.8 million estimated total, which included a potential tax reimbursement, and TheWrap’s later $606 million stock-and-option tally. The merger closed on October 6, 2026, according to the Associated Press.

What shareholders voted on—and what they did not

Shareholders rejected a proposal on the merger-related executive compensation. Axios reported more than 1.4 billion votes against it and 307.7 million in favor. The vote was advisory and non-binding, not a condition for the merger to close. The SEC proxy also said contractually required payments remained subject to their existing conditions regardless of the advisory vote; the vote did not itself cancel them. The merger was completed on October 6, 2026.

For readers comparing the headlines, the key is to identify the measurement: TheWrap’s post-close report covers stock and options for five executives; the proxy’s earlier table estimates several categories under specified assumptions; and AP’s roughly $550 million figure refers to a narrower value WBD assigned to severance, stock awards, and health coverage.
