Warner Bros. Backed Netflix Over Paramount’s $108B Bid—What Changed Since

WBD’s board urged shareholders to reject Paramount’s January offer and stick with Netflix, citing costs, financing and closing risks. By October 4, a court-approved settlement had cleared a major obstacle, but closing was still pending.

On January 7, 2026, Warner Bros. Discovery’s board unanimously urged shareholders to reject Paramount Skydance’s amended tender offer and continue supporting WBD’s agreement with Netflix. Calling Paramount’s proposal “illusory” was the board’s characterization, based on its concerns about financing, closing risk, costs and shareholder protections—not a neutral finding. By October 4, a federal judge had approved a settlement clearing a major obstacle to the Paramount-WBD transaction, but the deal was still pending, with an October 6 closing expected.

Why did Warner Bros. Discovery recommend rejecting Paramount’s offer?

WBD’s board said the amended offer was not in shareholders’ best interests and did not qualify as a “Superior Proposal” under the company’s Netflix merger agreement. It therefore recommended that shareholders reject the tender offer. The board’s January 7 announcement described the bid as “illusory” and argued that its financing and terms exposed shareholders to substantial risk. Those are the board’s advocacy claims and estimates, not independent findings.

Samuel A. Di Piazza, Jr., chair of the WBD board, said: “Paramount’s offer continues to provide insufficient value, including terms such as an extraordinary amount of debt financing that create risks to close and lack of protections for our shareholders if a transaction is not completed.”

The board’s cost estimate for switching deals

WBD estimated that ending its Netflix agreement and related financing arrangements would cost approximately $4.7 billion, or $1.79 per share. The board’s estimate comprised a $2.8 billion Netflix termination fee, a $1.5 billion debt-exchange fee and roughly $350 million in incremental interest. These were WBD’s estimates in its January recommendation, not an independently audited measure or a statement of costs incurred.

Financing, closing risk and operating restrictions

The board said Paramount’s proposal required $94.65 billion in debt and equity financing and characterized its structure as a leveraged buyout. It argued that the financing burden and the risk Paramount might not complete the transaction made the offer less attractive. WBD also warned that restrictions while the deal awaited closing could constrain ordinary operations and prevent its planned separation of Discovery Global. In the board’s view, if Paramount failed to close, shareholders could be left with a restricted company and inadequate compensation. WBD contrasted those terms with the Netflix agreement’s different termination protection and operating flexibility.

How the Netflix and Paramount proposals differed

The offers covered different parts of WBD, and their headline values refer to different measures. Netflix’s announced transaction was for specified studios and streaming assets; Paramount sought the entire company, including its networks. So the headline figures should not be read as like-for-like prices for the same set of assets.

Comparison Netflix agreement Paramount amended offer
Assets included Warner Bros.’ film and television studios, HBO Max and HBO; WBD’s Global Linear Networks business, Discovery Global, was to be separated. The whole company, including its networks, as described in contemporaneous AP reporting.
Consideration and stated value Netflix described a cash-and-stock transaction at $27.75 per WBD share, with approximately $82.7 billion in enterprise value and $72.0 billion in equity value. The January coverage framed the bid at $108 billion. That headline figure is not directly comparable to Netflix’s stated equity value; the cited January coverage does not establish a comparable per-share consideration here.
Financing and ability to close WBD’s board contrasted the Netflix agreement’s terms with Paramount’s financing and closing risks. The figures above describe Netflix’s stated transaction values, not a guarantee of closing. WBD’s board said the proposal required $94.65 billion in debt and equity financing and argued that the debt burden heightened closing risk.
Termination costs and downside protection WBD’s board cited different termination protection under the Netflix agreement; its estimated costs of switching are described above. WBD’s board argued that shareholders would not be sufficiently protected if Paramount failed to complete the deal.
Interim operations and separation WBD planned to separate Discovery Global, its Global Linear Networks business. WBD’s board said interim operating restrictions could limit ordinary operations and impede the planned separation.

The $82.7 billion figure is Netflix’s stated enterprise value for its proposal, while $72.0 billion is its stated equity value. Neither should be treated as equivalent to Paramount’s January $108 billion headline framing without accounting for the different scopes and valuation measures. Netflix’s stated terms and asset description are in its January 7 announcement; AP’s January report covered WBD’s rejection and the competing proposals.

What changed after the January recommendation?

The January board recommendation did not settle which transaction would ultimately proceed. On September 30, 2026, AP reported that a federal judge approved Paramount’s settlement with 12 states challenging the takeover, clearing the way for the companies to close. AP said the companies expected to complete the transaction on October 6. As of October 4, that expected closing date was still in the future: the transaction had not yet closed.

AP later described the buyout as about $111 billion including debt, based on outstanding shares. That September figure is distinct from the earlier $108 billion framing of Paramount’s bid; the amounts refer to different points in the story and should not be conflated. See the September 30 AP report for the court decision and reported expected closing.

What the states’ settlement covered

Axios reported that the states’ settlement included behavioral commitments concerning theatrical film releases, U.S. production, cable negotiations and an editorial-independence board for CBS and CNN. California Attorney General Rob Bonta said the settlement “is not a vote of support for this merger.” The commitments and comment concern the later regulatory settlement; they were not part of WBD’s January explanation for recommending that shareholders reject Paramount’s offer. Axios reported the settlement terms on September 21.

What shareholders should take from the dispute

  • The January action was a board recommendation to reject Paramount’s amended tender offer and stick with the Netflix agreement; it was not the final outcome of the transaction process.
  • WBD’s “illusory” label and its criticism of Paramount’s financing, operating restrictions and shareholder protections were the board’s stated case, not an independent verdict on the offer.
  • The proposals differed in scope: Netflix’s agreement covered studios and streaming assets while Discovery Global was to be separated; Paramount sought the whole company, including networks.
  • By October 4, the legal obstacle addressed by the states’ settlement had been cleared, but the reported October 6 closing remained pending.

WBD’s January rationale and cost estimates appear in its board announcement. The later status reflects developments after that recommendation, not a reversal of what the board said in January.
