Walmart completed its acquisition of Vizio on December 3, 2024—not in 2026. Walmart paid $11.50 per Vizio share in cash, representing approximately $2.3 billion in fully diluted equity value. The strategic target was not primarily Vizio’s television hardware; it was SmartCast, Vizio’s connected-TV platform, advertising business, user accounts and access to television-screen inventory.

Walmart has since incorporated Vizio inventory into Walmart Connect, its retail-media business. The deal gives Walmart a way to sell advertising in the living room and potentially connect television exposure with Walmart shopping activity, while raising important questions about privacy, account requirements, measurement and competition.

Why the $2.3 billion figure needs context

The commonly cited $2.3 billion figure is the transaction’s approximate fully diluted equity value. It should not be described simply as $2.3 billion in cash paid at closing.

The offer was $11.50 per share in cash. In a later filing, Walmart reported approximately $2 billion in net cash consideration. That accounting figure and the $2.3 billion fully diluted equity value measure different things, so they are not necessarily contradictory. The original deal terms and Walmart’s filing provide the appropriate context.

Timeline: announcement, review and closing

  1. February 20, 2024: Walmart and Vizio announced the acquisition agreement.
  2. April 30, 2024: The Federal Trade Commission reportedly requested additional information, extending the regulatory review period, according to Axios.
  3. December 3, 2024: Walmart announced that the acquisition had closed after the federal waiting period expired.

That distinction matters. Walmart did not merely propose buying Vizio; it completed the transaction in December 2024.

What Walmart actually bought

Vizio is known to consumers as a television brand, but the strategic value of the acquisition extends beyond television manufacturing. Walmart acquired Vizio Holding Corp. and its television and connected-device business, including:

  • SmartCast: the software platform used on Vizio smart TVs to provide a home screen, apps, recommendations and related connected services;
  • Vizio’s platform and advertising business: the business that sells advertising and monetizes access to the connected-TV environment;
  • Connected-TV inventory: opportunities to show advertising on the TV’s interface and within applicable SmartCast experiences;
  • Accounts and platform relationships: Vizio’s connected-TV user base, advertiser relationships and relationships with content providers.

At closing, Walmart said Vizio had more than 19 million active SmartCast accounts. That is a company-reported account figure, not a verified count of unique people, households or simultaneous viewers. Walmart also said Vizio’s Platform+ segment, which was largely its advertising business, accounted for all of Vizio’s gross profit.

Those details explain why the acquisition was more significant than a conventional purchase of a low-margin television manufacturer. The platform and advertising economics were central to the investment thesis.

Why advertising was the central prize

Walmart already has a large retail business, purchase data, supplier relationships and an advertising sales operation. Vizio added a different kind of reach: the television screen in a consumer’s home.

Retail media generally uses a retailer’s customer relationships and first-party information to sell targeted advertising. Connected-TV advertising adds television-scale reach, digital targeting and the possibility of measuring whether an advertising campaign is associated with later shopping activity.

In practical terms, Walmart could use the acquisition to offer brands another place to reach Walmart shoppers:

  1. A brand can advertise on or around Walmart’s retail properties.
  2. It can potentially reach relevant audiences while they are watching television.
  3. Walmart Connect can offer measurement tied to Walmart shopping outcomes, subject to the applicable product, data and attribution rules.

Walmart said Walmart Connect grew 30% in fiscal 2024. That is Walmart’s own reported growth metric, not independent evidence that the Vizio acquisition itself produced that result.

What SmartCast means for Walmart

SmartCast is primarily an operating-system and platform environment. It controls the smart-TV interface, including the home-screen experience, app access and recommendations. It can also provide placement for advertising and content discovery.

That direct interface matters because Walmart would not have to rely exclusively on advertisements shown on Walmart.com or in Walmart’s mobile app. It could sell inventory associated with the screen that users see when they turn on a compatible Vizio television.

SmartCast is not the same thing as a single streaming service, nor does Walmart automatically control every advertisement shown inside every third-party app available through a Vizio television. Home-screen ads, SmartCast inventory, in-stream advertising inside an app and advertising delivered through an external device are different categories.

What Walmart has done since closing

By 2026, Walmart Connect was marketing Vizio inventory as part of its connected-TV offering. Its offsite-media product page includes Vizio Home Screen ads, which appear when users power on their televisions.

Walmart Connect has also described Vizio supply as part of its programmatic CTV offering, alongside other connected-TV supply. The company’s March 2026 NewFronts announcement framed Vizio as part of a broader content-to-commerce strategy linking media, Walmart audiences and purchase measurement.

This is an important update to the original acquisition story: Vizio inventory is no longer merely a theoretical asset in Walmart’s strategy. Walmart Connect is presenting it as a product available within its advertising ecosystem. That does not, by itself, prove that the transaction has generated a particular return or a specific amount of additional profit.

Walmart has also announced an agreement to acquire Vibe.co to expand access to connected-TV advertising. As of the June 23, 2026 announcement, that transaction should be described as an agreement to acquire—not as a completed acquisition without a later official closing confirmation.

What the acquisition means for Vizio owners

Buying a Vizio television does not automatically turn it into a Walmart-branded television. Existing functionality depends on the model, software version, internet connection, region and the services the owner chooses to use.

However, Vizio’s current account terms say that, beginning in 2026, a Walmart account is required for certain Vizio OS products and smart-TV features. The terms may permit use of a Vizio account for a limited period, and the requirement does not necessarily apply to every television feature or every model.

Owners should therefore check the current terms and the prompts displayed on their particular device rather than assume that every Vizio owner faces the same account requirement.

What happens if you use another streaming device?

A Vizio owner who primarily uses a Roku, Apple TV, Amazon Fire TV device or game console may interact less with SmartCast and its home-screen advertising. Connecting an external device does not change the television’s operating system, however, and disconnecting the TV from the internet can limit smart features rather than convert the television into a different platform.

Can Vizio activity data be turned off?

Vizio’s privacy materials say that Activity Data can be turned off on a Vizio OS television by resetting the TV to factory settings. A factory reset is not a casual privacy switch: it can remove settings, accounts, apps and preferences. Owners should review the current Vizio privacy information and understand the consequences before resetting a device.

The privacy and data questions

The acquisition does not accurately mean that Walmart simply “bought consumers’ data.” The more precise question is how information collected through Vizio OS may be used, combined and shared under the applicable account terms and privacy policies.

Relevant categories can include:

  • Viewing data: information about content or television activity;
  • Device data: model, software, connectivity and technical information;
  • Account data: information associated with a Vizio or Walmart account;
  • Purchase data: retail transactions and shopping activity;
  • Advertising identifiers: identifiers used to deliver or measure advertising;
  • Measurement data: information used to evaluate reach, conversions and campaign performance.

Vizio’s current privacy materials describe possible sharing of Vizio OS data with Walmart Connect, advertisers, measurement providers, ad-tech vendors acting on Walmart’s behalf and corporate affiliates. The policy language describes permitted handling and sharing; it should not be read as proof that every category is used in every circumstance or that every user receives the same advertising treatment.

The central consumer questions are whether account linking is required for a particular feature, what consent is required for personalized advertising, what choices are available without accepting all data-sharing arrangements and how long data is retained. Those answers can vary by product, region, account status and the terms in force at the time.

What it means for advertisers and Walmart suppliers

For advertisers, Vizio gives Walmart Connect a living-room distribution channel. The potential benefits include:

  • more connected-TV reach beyond Walmart’s website and app;
  • access to Vizio Home Screen inventory;
  • programmatic access to Vizio supply through applicable buying paths;
  • the possibility of connecting media exposure with Walmart-related shopping measurement;
  • greater control over a platform than buying only third-party inventory.

The commercial case is strongest for brands that already sell through Walmart or can make practical use of Walmart-linked audiences and measurement. Advertisers should not assume that connected-TV reach automatically proves incremental sales.

Before committing budget, buyers should ask:

  • How is audience overlap with other CTV inventory handled?
  • How are reach, frequency and incremental reach calculated?
  • What attribution window is used?
  • How are conversions deduplicated across television, digital and retail channels?
  • Which inventory is actually included: Home Screen, in-stream, programmatic supply or another format?
  • What creative, category, geography and policy restrictions apply?

Walmart Connect’s official offsite-media information and programmatic CTV materials are the appropriate starting points. The available official materials do not establish a universal public rate card, standard CPM or guaranteed return on investment. Pricing and eligibility can depend on audience, inventory, campaign size, geography and buying platform.

How Walmart compares with other CTV strategies

Walmart is entering a competitive market in which several companies already combine audience data, streaming distribution and advertising technology:

  • Amazon: combines retail purchase data, Amazon Ads, Fire TV, Prime Video and Amazon DSP.
  • Roku: operates a major connected-TV platform with home-screen inventory, streaming distribution and advertising products.
  • Google and YouTube: bring extensive video reach, advertising infrastructure and measurement capabilities.
  • Samsung and LG: operate smart-TV platforms and connected-TV advertising businesses.
  • Magnite and other ad-tech companies: provide programmatic infrastructure and access to connected-TV supply.

Amazon has also described a partnership combining Roku’s authenticated CTV footprint with Amazon shopping, streaming and browsing signals. That is a useful comparison, although the companies’ product and performance claims should not be treated as independently verified results.

Walmart’s intended differentiation is the combination of:

  1. retail purchase data;
  2. a large physical retail footprint;
  3. a retail-media sales organization;
  4. television operating-system inventory; and
  5. measurement tied to commerce.

Whether that combination produces superior results depends on reach, data quality, consumer consent, advertiser demand, measurement methodology and Walmart’s ability to integrate the systems without degrading the viewing experience.

Risks and unresolved questions

Can advertising revenue justify the purchase?

The $2.3 billion valuation must ultimately be supported by the economics of the platform and advertising business, not merely by television-unit sales. Walmart has not established in the supplied materials how much incremental profit the acquisition has generated or when the purchase will reach a particular return threshold.

Will more advertising damage the user experience?

Home-screen advertising can be commercially valuable, but users may object if the interface becomes more crowded, less useful or more personalized than expected. Walmart must balance monetization with the reasons consumers continue using the platform.

Will data integration create regulatory or reputational risk?

Combining retail, account, device and viewing information raises consent, transparency, security and governance issues. Even where a policy permits a practice, unclear explanations or unexpected account requirements can create consumer backlash.

Can Walmart measure incremental sales credibly?

CTV measurement is complex. A consumer may see an advertisement on television, encounter the brand elsewhere and purchase through a channel that is difficult to attribute to one impression. Advertisers will care about deduplication, attribution windows and incremental lift—not merely reported reach.

How strong is Vizio’s platform relative to larger ecosystems?

Vizio may provide valuable inventory, but it competes with larger or more established platforms. Walmart must demonstrate that Vizio’s reach, engagement and advertiser demand are sufficient to support the acquisition’s cost and integration effort.

What this means for Walmart investors and personal-finance readers

For investors, the acquisition is best understood as a bet on retail media and connected-TV advertising rather than a simple expansion of Walmart’s hardware business. The upside is a new advertising channel with potential links to Walmart’s retail data and supplier relationships.

The risks are equally important: integration costs, privacy obligations, weaker-than-expected platform performance, consumer resistance, advertiser concerns about measurement and the low-margin nature of television hardware. Walmart itself warned that expected benefits might not materialize and that the acquired business could underperform or create operational disruption.

For consumers, the immediate practical issues are account requirements, smart-TV functionality, advertising preferences and the handling of Vizio OS data. For advertisers, the practical issues are inventory access, audience overlap, measurement and whether Walmart-linked outcomes represent genuinely incremental sales.

Bottom line

Walmart completed the Vizio acquisition on December 3, 2024, for an offer of $11.50 per share in cash and approximately $2.3 billion in fully diluted equity value. The deal is best understood as Walmart buying a connected-TV and advertising platform—not simply buying a television brand.

By 2026, Walmart Connect was offering Vizio Home Screen inventory and including Vizio supply in its programmatic CTV strategy. The opportunity is a stronger bridge between television advertising and retail commerce. The open questions are whether Walmart can deliver measurable incremental value, protect the consumer experience and govern the combination of television and shopping data responsibly.
