Walmart completed its acquisition of Vizio on December 3, 2024, paying $11.50 per share in cash for an approximately $2.3 billion fully diluted equity value. The deal gave Walmart Vizio’s TV business, SmartCast platform—now increasingly called Vizio OS—and an advertising operation that Walmart says can strengthen its Walmart Connect retail-media business. That does not mean every Vizio TV will suddenly show ads on every screen: the confirmed changes point to deeper platform, account, and advertising integration, with effects that depend on the device and its software.
What Walmart bought—and when
Walmart announced the deal on February 20, 2024, and completed it on December 3 of that year. The $11.50-per-share cash offer represented an approximately $2.3 billion fully diluted equity value. Vizio became a wholly owned Walmart subsidiary and was delisted from the New York Stock Exchange. Walmart said Vizio and Walmart would operate separately for the foreseeable future, and that Vizio would be reported within Walmart U.S.
The purchase covered Vizio’s television business and SmartCast operating system, as well as its advertising platform business. At the time of the deal announcement, Vizio said SmartCast had more than 19 million active accounts. Walmart’s closing announcement said Vizio’s Platform+ advertising segment had generated all of the company’s gross profit. Vizio CEO William Wang remained in the role after closing, reporting to Walmart executive Seth Dallaire. Walmart described the advertising business as profitable and rapidly scaling; that is Walmart’s characterization, not an independent measure of its future performance.

Why Walmart wanted a TV platform
Walmart Connect sells advertising across Walmart’s digital properties and other channels. Vizio added a presence in the living room: a TV operating system, an installed base of connected devices, an existing ad-sales operation, and opportunities to place advertising around streaming and TV-platform experiences.
The strategic value is the potential connection between an ad seen on television and shopping activity at Walmart. A brand can use connected-TV advertising to build awareness, then seek to measure whether exposure is associated with product discovery or purchases. Walmart calls this kind of connection between media and retail outcomes closed-loop measurement. It is a commercial measurement approach, not proof that every purchase was caused by an ad.
In practical terms, Walmart acquired a route to extend its retail-media business from screens shoppers use to browse and buy into the screen they use to watch. The deal also gives Walmart greater control over the software and advertising environment on some of its television hardware.

What “more ads on TVs” can mean
“More ads” can describe several different experiences. They should not be treated as interchangeable:
- Ads within free streaming content: Commercial breaks in ad-supported programming, including content offered through Vizio’s WatchFree+ service. Vizio describes WatchFree+ as offering more than 300 live channels and thousands of on-demand titles; those are company-provided figures. Vizio’s platform discussion.
- Home-screen placements: Sponsored tiles, promoted content, branded destinations, or recommendations inside a TV’s interface.
- Interactive formats: Overlays or prompts that invite viewers to engage with an ad or explore a product.
- Shoppable experiences: Advertising designed to connect TV exposure with product discovery or a retailer. Walmart and Vizio have promoted these formats, but that does not establish that every ad or device supports direct purchasing.
- Targeting and measurement: Using commerce or advertising signals to select audiences or assess campaign outcomes. This is distinct from adding a new visible ad slot.
Walmart and Vizio’s 2026 NewFronts announcement describes interactive overlays, branded content hubs, shoppable experiences, and measurement tied to retail outcomes. What has changed since the acquisition
By 2026, the companies were describing integration beyond the initial ownership change. They said Vizio OS would expand to selected Walmart onn. televisions and that a unified Walmart-account login would be progressively implemented on new Vizio OS and onn. devices powered by the platform. The announcement also presented new connected-TV advertising and commerce initiatives. It does not provide a single timetable or policy for every model.

In June 2026, Walmart announced an agreement to acquire Vibe.co, a connected-TV advertising platform, subject to customary closing conditions. Walmart said the move was intended to broaden access to CTV advertising. These moves show both continuity and change: Vizio remains a Walmart-owned business, while the platform and advertising strategy are becoming more closely tied to Walmart’s commerce ecosystem. The initial statement that the businesses would operate separately for the foreseeable future did not rule out later product and platform integration.

There is no single account, advertising, or privacy policy established for every Vizio model, year, region, and firmware version. Owners should check the exact device and its current setup rather than assume that a change announced for newer products applies to an older TV.

- Identify the model and software: Check the TV’s settings or product information for its model and current firmware or Vizio OS version.
- Read the setup prompts: On a new or reset device, note whether a Walmart account is required for the smart features you want. Vizio says a Walmart account is required for smart features on certain devices; the requirement is not established as universal.
- Review privacy controls: Consult Vizio’s Ads & Privacy FAQ for its current explanation of account-linked data and available preferences. Vizio says that, on supported devices running up-to-date firmware, a Walmart account’s opt-out of sale or sharing of personal information—including targeted advertising—will be honored.
- Decide whether to keep the TV online: Disconnecting it can reduce connected-platform advertising and data collection, but it also disables built-in streaming apps, software updates, casting, and other smart features that depend on internet access.
- Consider an external streamer if the built-in interface is not a fit: A separate streaming device can provide another app and interface ecosystem, but it does not automatically remove manufacturer-level behavior if the TV itself remains connected to the internet.
An opt-out from targeted advertising or data sharing is not necessarily the same as removing every promotional tile or all advertising in free streaming content. Likewise, connecting an external streamer does not prevent ads shown by the streamer’s own apps and services.
What the deal does not establish
- It does not establish that every Vizio owner will see more ads, or that ads will appear over HDMI inputs, live-TV viewing, or every menu.
- It does not establish one ad experience, account requirement, or privacy control for all Vizio models and firmware versions.
- It does not mean that viewing data, Walmart account information, and purchase data are all used in the same way. Vizio’s published privacy explanation describes specific data and opt-out practices; readers should consult it for the device and account configuration they use.
- It does not establish final terms or a universal integration timetable for every Walmart, Vizio, or onn. product.
What TV buyers and advertisers should weigh
If you are buying a TV
Compare more than screen size and picture quality. Consider the TV’s operating system, app availability, account requirements, update support, privacy controls, and how prominent its home-screen promotions are. A lower-cost connected TV may be supported partly by platform advertising or other platform revenue, so hardware price is not the only trade-off. Buyers who want to choose a different software environment can use a display with an external streamer, but each platform has its own accounts, advertising, and privacy practices.
Walmart’s announcements say Vizio OS will power selected onn. TVs; they do not establish that every onn. model will use it. Check the specific model’s specifications and setup requirements before buying. Vizio TVs; Walmart’s onn. TV listings.

If you buy advertising
Walmart’s proposition is most relevant to advertisers seeking connected-TV reach and a way to relate campaigns to Walmart commerce outcomes. Before committing, evaluate audience reach, incremental reach, available formats, targeting, measurement methods, geographic availability, campaign minimums, and whether Walmart-linked measurement fits your business. A closed-loop environment may be useful for retail outcomes, but it is not a substitute for independently assessing whether a campaign meets your goals.

Walmart’s planned Vibe.co acquisition points toward broader access for smaller advertisers, but the announcement did not provide final integration details, public rates, or minimum spend.
Why this matters beyond Vizio
The transaction reflects a wider shift in television economics: the operating system and audience relationship can be as strategically important as the hardware. Walmart can use Vizio’s platform to develop advertising inventory, connect content with commerce, and extend its presence to selected onn. sets. For owners, the practical question is not simply whether Walmart owns the TV brand; it is what the particular device asks for at setup, what data and controls apply, and how its interface changes over time.
For buyers and advertisers alike, the key is to distinguish a company’s platform strategy from a guaranteed experience on every television. Walmart’s investment makes connected-TV advertising a central part of Vizio’s direction, while the exact effect on an individual set remains model- and software-specific.
