Vikram Bakshi and McDonald’s India: How a Joint Venture Ended in a Legal Dispute

Vikram Bakshi’s role in McDonald’s India was rooted in a 50–50 joint venture to operate restaurants in northern India. A dispute over his continued leadership at the venture’s operating company, Connaught Plaza Restaurants (CPRL), led to years of litigation. The National Company Law Tribunal (NCLT) restored him as managing director in 2017; Bakshi and McDonald’s later settled and ended their business relationship. The settlement amount is not disclosed in the court record cited here.

What Bakshi’s McDonald’s partnership covered

The venture was regional, not a partnership to run McDonald’s entire India business. A joint venture agreement dated 31 March 1995 contemplated restaurants first in Delhi’s National Capital Region and later in northern India. CPRL was incorporated on 29 June 1995, with equal equity ownership between Bakshi’s side and McDonald’s India, according to the NCLAT judgment.

That distinction matters: the dispute that followed centered on CPRL’s governance and Bakshi’s position as its managing director. The court records cited here do not establish that Bakshi personally led particular menu changes or quantify his role in adapting McDonald’s to Indian consumers.

How a leadership dispute became a court case

  1. 17 July 2013: Bakshi’s term as managing director ended.
  2. 6 August 2013: CPRL’s board did not reappoint him.
  3. 16 August 2013: McDonald’s exercised contractual rights to purchase shares held on Bakshi’s side, at a price to be determined through the agreement’s mechanism.
  4. 9 September 2013: Bakshi and Bakshi Holdings filed a company petition seeking enforcement of parts of the joint venture agreement and Bakshi’s restoration to the managing-director role.

These dates and steps are recorded in the NCLAT judgment. They describe the procedural sequence; they do not, by themselves, resolve the parties’ competing claims about the dispute’s motives or fairness.

What the 2017 ruling decided

On 13 July 2017, the NCLT set aside the board proceedings concerning Bakshi’s non-reappointment and restored him as managing director. The ruling addressed that specific governance issue; it should not be treated as a finding that settled every accusation made by either side.

The Delhi High Court’s 9 January 2018 judgment recounted the NCLT proceedings, including the appointment of a retired Supreme Court judge as administrator to address a 50–50 board deadlock. The appellate court’s account provides context for the governance impasse, rather than turning the disagreement into a ruling on every underlying allegation.

How the relationship ended—and what remains undisclosed

Bakshi and McDonald’s ultimately settled their dispute. In a 13 December 2022 judgment, the NCLAT recorded that they had settled their inter se dispute and jointly sought to set aside the NCLT order. The judgment records a 2019 settlement, but the court record cited here does not disclose its financial terms. No settlement figure should be inferred from it. See the NCLAT judgment.

The same judgment also discusses HUDCO recovery proceedings and related one-time-settlement matters. Those concerned a separate creditor dispute; they were not the terms of the Bakshi–McDonald’s settlement.

What the record says about Bakshi’s exit

The clearest account is narrower than the headline’s suggestion of an individual who “Indianised” the brand: Bakshi was the local partner in a regional joint venture, and his managing-director role became the center of a prolonged corporate-governance dispute. The NCLT restored him to that role in 2017, and the parties later settled and parted ways. The available judgments do not establish that the settlement declared a winner on every contested issue or provide its price.

It should be read as an interview, distinct from the findings and procedural history in the court judgments.
