That was Worldpay’s value in the transaction—not the value of the combined company, which the announcement put at approximately £22.2 billion (US$28.8 billion). Vantiv completed the acquisition on January 16, 2018, and the combined company took the Worldpay, Inc. name.
What did the Vantiv–Worldpay merger involve?
The August 9, 2017 announcement described a recommended offer for Worldpay, to be implemented through a court-sanctioned scheme of arrangement. For each Worldpay share, the offer provided £0.55 in cash and 0.0672 of a New Vantiv share, subject to the announcement’s mix-and-match facility and specified dividend terms. The offer was therefore a combination of cash and stock, rather than an all-cash purchase.
Assuming the stated Fifth Third transaction completed, the companies expected Vantiv shareholders to own about 57% and Worldpay shareholders about 43% of the combined company on a fully diluted basis. Those were announced expectations based on that assumption, not a description of later ownership.
What did the $12 billion valuation refer to?

The announcement also reported that the offer represented premiums of approximately 22.7% to Worldpay’s July 3, 2017 closing price, 24.6% to its June 30 closing price, 33.9% to its six-month volume-weighted average price, and 63.4% to its IPO price. These comparisons describe the offer’s value against those historical share-price reference points; they do not change what the US$12 billion figure measures.

Why did the companies say they were combining?
The companies’ stated strategy was to pair Vantiv’s U.S. payment and integrated-payments capabilities with Worldpay’s international reach and ecommerce business. The merger announcement described the plan as “Adding Worldpay’s leading global eCommerce capabilities to Vantiv’s existing U.S. eCommerce capabilities.” That was corporate rationale in the August 2017 announcement, not an independent assessment of results.

- Apply Vantiv’s integrated-payments know-how to Worldpay’s merchant base.
- Expand into selected customer segments and industry verticals, including by using Vantiv’s B2B enterprise payment capabilities.
The companies also forecast approximately US$200 million in annual recurring pretax cost synergies. That was an expected figure announced for the proposed combination, not a measured outcome.

What scale did the announcement project?
Using 2016 pro forma information, the companies described a combined business processing approximately US$1.5 trillion in payment volume and 40 billion transactions, across more than 300 payment methods, 146 countries, and 126 currencies. The announcement also cited approximately US$3.2 billion in pro forma combined net revenue based on 2016 financial statements. These are historical deal-period figures and projections about combined scale, not current operating statistics or independently verified present-day performance.

Vantiv completed the acquisition on January 16, 2018; the combined public company took the Worldpay, Inc. name. The agreement announcement and the closing were separate events: the former set out the recommended transaction in August 2017, while the latter made the acquisition effective in January 2018.

The corporate lineage continued after the deal. FIS announced a merger agreement with Worldpay in March 2019. Worldpay later began operating as an independent company on February 1, 2024, with GTCR holding a 55% majority interest and FIS retaining 45%, according to Worldpay’s announcement. A Global Payments SEC filing reports that Global Payments acquired 100% of Worldpay from FIS and GTCR affiliates on January 9, 2026. The 2018 deal therefore explains an earlier stage in Worldpay’s history, not its current ownership structure.
