No. As of October 7, 2026, Union Pacific’s proposed acquisition of Norfolk Southern remains under review by the Surface Transportation Board (STB); it has not been approved or completed. The $85 billion figure is the companies’ announced enterprise value, not an all-cash payment. Under the proposed terms, Norfolk Southern shareholders would receive Union Pacific stock and cash for each share they own.
What does the $85 billion figure mean?
Union Pacific and Norfolk Southern announced the agreement on July 29, 2025. It is a stock-and-cash transaction: for each Norfolk Southern share, shareholders would receive one Union Pacific common share plus $88.82 in cash. The companies described that consideration as an implied $320 per Norfolk Southern share, representing a 25% premium, using Union Pacific’s closing share price on July 16, 2025, as the reference. The $85 billion is the deal’s stated enterprise value. It should not be read as $85 billion in cash paid to Norfolk Southern shareholders at closing: the announced consideration includes Union Pacific shares as well as cash. Enterprise value is a company-level transaction measure, while the per-share figure describes the announced value of the proposed consideration using a historical stock-price reference.
Has the STB approved the merger?
No. The STB is conducting a merits review, which means it is evaluating the application and issues raised in the proceeding. Its decision to resume the schedule was procedural, not a finding that the merger should be approved. The Board said its August 18, 2026 decision “does not constitute a ruling on the merits of the merger application or any issues raised by commenters or in motions filed since Applicants’ July 27 submission.” STB’s August 18 schedule announcement

The regulatory steps so far are distinct and should not be confused with approval:
- January 16, 2026: The STB found the companies’ initial application, filed December 19, 2025, incomplete. The Board said that decision did not indicate how it might assess a later application.
- May 28, 2026: The STB accepted a revised application, submitted April 30, as sufficiently complete for consideration, but put the proceeding—including environmental review—in abeyance and required supplemental information. STB’s May 28 announcement
- August 18, 2026: After the companies submitted additional information in July, the STB found the record sufficient to resume the schedule and begin merits review. This was not approval.
- September 18, 2026: The STB docket lists a decision denying motions seeking summary denial of the revised application. That procedural decision also did not approve the merger. The docket lists an extended September 30 deadline for notices of intent to participate. STB docket FD 36873
What are the next scheduled dates?

What do the companies say the merger could change?
The companies frame the proposal as a way to link their networks into a transcontinental railroad. In their July 2025 announcement, they described a combined system spanning more than 50,000 route miles across 43 states, with connections to approximately 100 ports. Their service argument is that a single-line route could avoid some inter-railroad handoffs and make rail more competitive with long-haul trucking. In an April 30, 2026 announcement, the companies estimated that the merger could produce $3.5 billion in annual shipper savings and remove about 2.1 million trucks from roads. They said their analysis used traffic data from all six North American Class I railroads. What could it mean for shippers and railroad workers?
Shipper effects are among the issues regulators and commenters can address through the merits review. A single-line network could reduce handoffs on some routes, as the companies argue, but the application’s proposed benefits do not establish how service, prices, routing, or access would change for every customer.

In a July 27, 2026 announcement, the companies described expanded Committed Gateway Pricing, including doubling eligible shipments and extending benefits to bulk unit-train shippers. They also described commitments, where legally available, to preserve Class I rail options for some shippers whose choices could fall from three railroads to two, or from two to one. For employees, the STB ordered some exhibits about positions expected to be abolished, created, or transferred—and the locations for some transfers—to be redesignated as public. What should investors take from the announcement?
The proposed terms do not translate into a fixed cash amount per Norfolk Southern share because the consideration includes one Union Pacific share, whose value can change. The $320 implied value is tied to the July 16, 2025 reference price stated by the companies, and the transaction remains contingent on regulatory review and other closing conditions. A shareholder considering the proposal should distinguish that historical implied value from the market value of either company’s shares and from the outcome the STB ultimately permits.
