Short answer: The UK Competition and Markets Authority (CMA) did not approve the Microsoft–OpenAI partnership on its competitive merits. On 5 March 2025, it decided that the relationship, in its current form, did not create a “relevant merger situation” under the Enterprise Act 2002. Microsoft had material influence over OpenAI, but the CMA found no de facto control sufficient to trigger UK merger jurisdiction, so the case ended at Phase 1 without a Phase 2 investigation.
The outcome is procedurally favourable to both companies, but “cleared” can mislead if it suggests the CMA certified the partnership as competition-neutral.
What the CMA decided
The CMA closed its Microsoft–OpenAI merger inquiry after concluding that Microsoft and OpenAI had not ceased to be distinct enterprises in the way required for a UK merger case. The regulator’s case page records the outcome as “Phase 1 found not to qualify.”

Because the jurisdictional threshold was not met, the CMA did not refer the partnership under section 22 of the Enterprise Act 2002. It therefore did not proceed to a detailed Phase 2 assessment of competitive effects.
Why the CMA said it lacked merger jurisdiction
Material influence is not the same as de facto control
The CMA found that Microsoft had material influence over OpenAI’s commercial policy. In plain English, Microsoft could significantly affect OpenAI’s commercial decisions without necessarily directing them.
For a relevant merger situation, the stronger concept of de facto control was required. De facto control means an ability to control decision-making in practice, even without owning more than half of the voting rights. The CMA concluded that the evidence did not show Microsoft had acquired or exercised that level of control.

That is narrower than saying Microsoft had no control or no meaningful influence. The legal finding was specifically that de facto control had not been established for UK merger-control purposes.
The questions the CMA did not need to answer
Once it decided that no relevant merger situation had been created, the CMA did not need to reach final conclusions on:
- whether the UK turnover or share-of-supply jurisdictional tests were met;
- whether a reference would have been made within the statutory period; or
- whether the partnership had resulted, or might be expected to result, in a substantial lessening of competition in a UK market.
Accordingly, the decision is not a finding that the partnership caused no competitive harm.

What made the partnership significant
The CMA’s initial notice described a close, multi-layered relationship involving:
- a multi-year, multibillion-dollar investment;
- collaboration on technology development;
- Microsoft’s exclusive provision of cloud services to OpenAI; and
- both companies’ substantial activity in foundation models and related markets.
Those features raised questions about access to computing capacity, data, expertise, distribution and cloud infrastructure as foundation-model markets developed. The CMA’s description of the relationship is set out in its December 2023 invitation for comments.

What the decision does not mean
- It is not substantive competition approval. The CMA did not conclude that the partnership benefited competition or was harmless.
- It is not a finding that Microsoft has no influence. Material influence was recognised; de facto control was not.
- It is not a permanent safe harbour. The decision concerns the partnership’s current form and the evidence available during the inquiry.
- It does not bind other regulators. Authorities in other jurisdictions retain their own legal powers and may assess different facts or theories.
- It is not a ruling on every competition-law issue. The CMA stopped before deciding whether the relationship substantially lessened competition.
Could the CMA revisit the relationship?
Yes. A new investment, governance right, board or voting arrangement, change to commercial-policy rights, revised cloud terms, corporate restructuring or other material change could produce a different merger-control question. The CMA’s conclusion applies to the partnership as structured and evidenced at the time of its decision.

This is why “in its current form” matters. Economic dependence, a large investment or an exclusive commercial arrangement may be relevant evidence, but none automatically proves de facto control.

The CMA has considered several AI-related transactions, but they are separate cases with different facts and records.

Why the ruling matters for businesses and investors
The decision shows that UK merger control can examine strategic AI partnerships even when there is no conventional acquisition of shares. Investments, infrastructure commitments, exclusivity and governance rights may all matter when assessing whether enterprises remain distinct.
It also separates two questions that are often collapsed in headlines: first, whether the arrangement falls within merger jurisdiction; and second, whether it harms competition. Microsoft and OpenAI avoided the second-stage investigation because the CMA answered the first question negatively—not because it completed and cleared a full competitive-effects analysis.
Commercial implications for organisations choosing AI platforms
The CMA decision does not make any vendor legally, technically or commercially safer for every buyer. Organisations should assess deployment needs independently, including cloud dependence, portability, data-residency requirements, governance and provider redundancy.

The Bottom Line
The CMA did not give Microsoft–OpenAI a clean bill of competitive health. It found that, in the partnership’s current form, Microsoft had material influence but not the de facto control needed to create a UK relevant merger situation. The case therefore ended before a Phase 2 competition investigation.
