Uganda reportedly authorized marketing of shares in Nigeria’s Dangote Petroleum Refinery and Petrochemicals FZE, but the offer was not opened to every Ugandan. According to Uganda Business News, local marketing was restricted to professional and high-net-worth investors through SBG Securities Uganda Limited; the report said solicitation or advertising to the general public was not permitted. The original Uganda Capital Markets Authority notice was not located, so those conditions should be treated as reported details, not independently confirmed regulator wording.
What Uganda’s reported approval allows
The reported clearance concerns distribution in Uganda of a share offer by the Nigerian refinery company. Uganda Business News reported that a Uganda CMA notice dated 6 October 2026 authorized SBG Securities Uganda Limited as the only local intermediary to market and offer the shares at that time. It described the eligible audience as professional and high-net-worth investors, excluding the general public from advertising or solicitation.
That means the headline phrase “domestic investors” does not mean all Ugandan residents can apply. Anyone considering participation should first confirm eligibility and the current offer status directly with SBG Securities Uganda Limited and review the issuer’s current offer documents. The reported authorization and terms may have changed since the notice date.
Reported offer terms and timetable
Uganda Business News, citing the Dangote refinery prospectus dated 7 September 2026, reported an offer of 4.1 billion shares at ₦525 per share. The report gave 13 October 2026 as the application closing date and said trading on the Nigerian Exchange was expected from mid-November 2026. The trading date was an expectation, not confirmation that listing occurred; the application date has also passed, so check current issuer and intermediary information rather than relying on those reported dates.

Regulatory clearance is not an investment recommendation
Uganda Business News reported that the CMA had not approved or endorsed the prospectus, assessed the offer’s commercial merits, financial viability or expected performance, or recommended the securities. Permission to market an offer in Uganda is therefore not evidence that the investment is suitable, low-risk or likely to produce a return.
The report also flagged cross-border considerations including currency exposure, custody and taxation. Before investing, an eligible investor would need to understand how naira-denominated shares and any proceeds are handled, what custody arrangements apply, which taxes may be due, and how funds can be transferred or repatriated. The reported account does not specify those arrangements; investors should obtain them from the intermediary and relevant offer documents rather than assume they match a domestic Ugandan investment.

This is not the proposed Lamu refinery project
The share offer concerns the Nigerian Dangote Petroleum Refinery and Petrochemicals FZE, not the proposed refinery project in Lamu, Kenya. Kenya’s Capital Markets Authority explicitly distinguished its approval for Kenyan investor participation in the Nigerian issuer from an offer in the proposed East African refinery project in Lamu.
Uganda has also discussed participation in a separate regional refinery initiative. On 18 May 2026, President Yoweri Kaguta Museveni said Uganda was ready to buy shares in a proposed regional refinery as part of regional integration and industrial development. On 5 October, he discussed the Lamu proposal, Uganda’s intention to proceed with its own refinery, and cross-border sharing of jobs and benefits. Those statements concern regional project discussions; they do not establish or explain the reported authorization to market shares in the Nigerian refinery company.
