What the $4.3 billion valuation means
On March 27, 2025, Ubisoft announced that Tencent would invest €1.16 billion in a new subsidiary focused on Assassin’s Creed, Far Cry, and Tom Clancy’s Rainbow Six. Ubisoft put the subsidiary’s pre-money enterprise value at approximately €4 billion, widely reported at the time as about $4.3 billion. “Pre-money” means the stated enterprise value before the new investment; it is not Tencent’s purchase price.
Ubisoft associated the announcement valuation with an approximately four-times average-sales multiple for fiscal 2023–24 through fiscal 2025–26 estimated. The estimate was board-approved and unaudited, so it should be read as Ubisoft’s transaction valuation, not as an independently audited appraisal. Ubisoft’s March announcement also cited €2.32 billion in group net bookings for fiscal 2023–24; that figure is company-wide context, not Vantage Studios revenue.

Ubisoft’s announcement and closing releases give different valuation and ownership figures, but do not explain the detailed reconciliation. The €4 billion and €3.8 billion figures therefore belong to their respective transaction stages; they should not be collapsed into one supposedly unchanged final number.

What Tencent acquired—and what it did not
The subsidiary is legally Ubisoft Nova SAS and operates under the name Vantage Studios. It brings together development teams for the three franchises in Montréal, Quebec, Sherbrooke, Saguenay, Barcelona, and Sofia, as well as their back catalogs and games in development or to be developed.
The franchises’ intellectual property was not described as an outright sale. Ubisoft said Vantage would receive a worldwide, exclusive, irrevocable, perpetual license to the related intellectual property and proprietary rights Ubisoft owns or can license, in exchange for royalties. Tencent acquired an economic interest in the subsidiary, not direct control of Ubisoft or ownership of the franchises.

Who controls Vantage Studios
Ubisoft said at announcement and confirmed at closing that it retained exclusive control and would consolidate Vantage Studios. Tencent’s 26.32% economic interest is a minority stake, not control of the subsidiary. Ubisoft’s November 2025 release reported €1.85 billion in net bookings for fiscal 2024–25; this is Ubisoft group-level context, not standalone Vantage Studios revenue.
The announced shareholder protections included customary minority rights and consent rights concerning disposals of important assets. The agreement also included a five-year lock-up on Tencent’s Vantage shares, subject to an exception if Ubisoft no longer holds a majority; a two-year period during which Ubisoft may not cease to hold a majority; share-transfer provisions, including rights of first refusal or offer and tag- and drag-along rights; and call or put options in certain changes of control approved by Ubisoft’s board. These provisions do not change the disclosed allocation of control.

What Vantage Studios is meant to do
Ubisoft announced Vantage’s launch on October 1, 2025, and said at closing that it had been fully operational since that date. It described the studio as a creative house responsible for developing and expanding the three franchises. Charlie Guillemot and Christophe Derennes were named co-CEOs, with franchise heads included in its dedicated leadership structure.
Ubisoft said the operating model is intended to give developers more hands-on control while allowing the new entity to share Ubisoft services and technical resources. That is the company’s stated aim, not a measured result established by the transaction announcements.

Why Ubisoft said it made the deal
Ubisoft said the investment would strengthen its balance sheet by reducing consolidated net debt, accelerate its broader transformation, and support growth of selected franchises. At closing, it said the proceeds would deleverage the group on a consolidated non-IFRS net-debt basis, support selected investments across the group, and provide financial flexibility. These are stated uses and goals; the announcements do not establish what results followed.
