Turkish Airlines agreed to invest €300 million in Air Europa through a convertible loan intended to become a minority shareholding once required approvals are complete. The companies described the expected holding as close to 26%; Turkish Airlines later put the expected range at 25%–27%. The latest cited status says Spanish foreign-investment approval was authorized, while other approval processes continued and completion was expected in 2026. The agreement should not be described as a completed acquisition without a newer closing confirmation.
What did Turkish Airlines agree to invest?
The announced investment is €300 million. The approximately $349 million figure reported in 2025 was a contemporaneous conversion of that euro amount, not a separate dollar-denominated investment; its current dollar equivalent will vary with exchange rates. Air Europa said the deal valued the company at approximately €1.175 billion. That is the company’s reported valuation, not a guarantee of the final value or a calculation that independently fixes Turkish Airlines’ eventual percentage.
How is the deal structured, and what share would Turkish Airlines own?
The €300 million was structured as a convertible loan: it is intended to convert into equity once regulatory requirements are met. Air Europa’s 5 November 2025 announcement described the resulting stake as close to 26%. Turkish Airlines later disclosed an expected range of 25%–27%, reflecting possible technical and financial adjustments at closing. The final percentage is therefore not fixed by the initial announcement.

Air Europa said Globalia would remain the majority shareholder and IAG would retain a 20% stake. Those ownership figures and the reported company valuation should not be combined as though they establish a single, final ownership calculation: the Turkish Airlines percentage remains subject to closing adjustments.
Air Europa’s 5 November 2025 announcement described the instrument as a convertible loan that would be exchanged for a stake close to 26% once regulatory requirements were satisfied. Turkish Airlines’ later disclosure gave the 25%–27% expected range.

Has the Air Europa investment been approved and completed?
Agreement, regulatory authorization and closing are separate stages. Turkish Airlines disclosed that Spanish foreign direct investment approval had been authorized, but other application processes were continuing, with completion expected in 2026. A Europa Press report dated 4 June 2026 said Spain’s Council of Ministers approved the 26.5% entry for about €300 million and described an EU-level approval step as still to come.
These cited updates support saying that Spanish approval was granted while completion and remaining approvals were still pending in the latest reported status. They do not establish that the transaction subsequently closed. Turkish Airlines’ status disclosure

What happens to Air Europa’s SEPI loans?
Air Europa said its November 2025 agreement would allow it to repay its loans from Spain’s state holding company SEPI early. The airline reported repaying almost €500 million, including accrued interest. This is a separate reported repayment amount, not the size of Turkish Airlines’ investment. Air Europa’s announcement

Turkish Airlines said the companies’ networks were complementary: its global reach and Air Europa’s strength in the Iberian Peninsula and Latin America, in both passenger and cargo operations, could support growth in Latin America and greater operational diversity across its aviation ecosystem. Air Europa presented the agreement as a source of immediate funding while it pursued regulatory and competition approvals.
