President Donald Trump said on January 28, 2025, that Microsoft was negotiating to acquire TikTok. He also said he wanted to see a competitive bidding process. But his remarks did not announce a signed agreement, confirm that Microsoft had bought TikTok, or establish that the negotiations covered TikTok’s global business.
The comments came during a legally imposed U.S. divestiture crisis. As of August 18, 2026, TikTok’s U.S. business had moved toward a majority-American joint venture associated with Oracle—not a completed Microsoft acquisition.

What Trump actually confirmed
Trump’s January 28 remarks confirmed only that Microsoft was in talks about TikTok. He described substantial interest in the social network and said he wanted a “bidding war.” That is materially different from announcing a transaction.
At the time, Microsoft, ByteDance and TikTok had not publicly confirmed a deal. The available reporting described presidential confirmation of negotiations, not a merger announcement, binding offer, purchase price or completed sale. Contemporary reporting from Windows Central also characterized the situation as an uncertain bidding process.

So the accurate short version is: Trump said Microsoft was interested in buying TikTok, but no Microsoft acquisition had been completed.
Was Microsoft buying all of TikTok?
Probably not. The legal dispute focused on TikTok’s availability and ownership in the United States, while ByteDance’s global TikTok operations were a separate question.
A potential transaction could have involved some or all of TikTok’s U.S. operations, including its American users, advertising business, employees, data arrangements, infrastructure and relationships with creators and advertisers. It would not automatically have transferred every TikTok asset worldwide.
The scope could also have affected:
- access to or control of TikTok’s recommendation algorithm;
- software updates and source-code review;
- U.S. user data storage and access;
- advertising, commerce and payment systems;
- music and other licensing rights;
- cross-border creator reach and interoperability with TikTok’s international service.
Buying a U.S. business would therefore not necessarily mean buying ByteDance’s entire global platform or receiving unrestricted ownership of all of its technology.
Why TikTok faced a sale-or-ban crisis
The talks were driven by the Protecting Americans from Foreign Adversary Controlled Applications Act, commonly known as PAFACAA. The law prohibited U.S. entities from distributing, maintaining or updating a covered application controlled by a foreign adversary unless it underwent a “qualified divestiture.”
For TikTok, the law was aimed at separating the application from ByteDance’s control and prohibited operational relationships. The government’s stated national-security concerns involved the possible influence of the Chinese government over data, software and recommendation systems. Those concerns were the policy rationale for the law; they should not be presented as independently established proof that TikTok had misused every American user’s data.
This was not a routine deadline for a technology merger. ByteDance faced a choice between completing a legally compliant divestiture and risking restrictions on TikTok’s distribution, hosting and updates in the United States.

The Supreme Court decision and Trump’s enforcement pause
On January 17, 2025, the Supreme Court rejected the First Amendment challenge to the divestiture law. The ruling left the statutory framework in place. It did not order Microsoft to buy TikTok, approve a Microsoft transaction or determine who should own the service.
The law’s restrictions took effect on January 19. On January 20, Trump signed Executive Order 14166 directing the attorney general not to enforce the law for 75 days. The order created additional time for negotiations and sought to avoid an abrupt shutdown, but it did not repeal PAFACAA, permanently exempt TikTok or guarantee Microsoft a deal. Congressional Research Service analysis explains the order and the legal issues surrounding the enforcement delay.
Further extensions followed during 2025, including an extension through December 16 under Executive Order 14350. The repeated delays prolonged uncertainty for users, creators, advertisers and technology providers.
What would Microsoft have had to buy or control?
A serious Microsoft transaction would have needed to address more than the app’s brand and American user base. The parties and regulators would have had to resolve:
The Tool Desk
Outbyte PC Repair FREEClear out junk files and repair common Windows errorsFree Scan →Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →- Ownership and control: ByteDance would need to lose the control targeted by the statute.
- Operational ties: A nominally American ownership structure would not necessarily satisfy the law if ByteDance retained prohibited influence or an operational relationship.
- Algorithm governance: The buyer’s rights to use, modify, audit or replace the recommendation system would have been central.
- Data security: The deal would need clear rules for storage, access, security audits and government oversight of U.S. user information.
- Software assurance: Source-code review, updates and security responsibilities would require a workable technical arrangement.
- Chinese regulatory issues: Export controls and approval requirements could have affected the transfer of technology, particularly the recommendation system.
- Commercial continuity: Creators, advertisers, commerce sellers and app-store partners would need to know how payments, moderation and updates would continue.
- Competition concerns: Regulators could examine whether adding TikTok to another major technology company would concentrate too much influence over digital advertising, social media or consumer data.
Consequently, even a financially attractive bid would not have guaranteed a transaction. A U.S.-only purchase could have preserved access for American users while leaving the global service, algorithm development and international infrastructure under different control.
Why Microsoft was considered a plausible participant
Microsoft had several characteristics that made it a credible potential buyer. It operates large-scale cloud and security infrastructure, has experience serving regulated customers and owns LinkedIn, a major social platform. Microsoft had also been involved in TikTok acquisition discussions in 2020, and its cloud relationship with TikTok was cited as a possible strategic connection.
Those factors were reasons Microsoft could participate; they were not evidence that it was the preferred buyer or that it was likely to win. TikTok’s fast-moving, entertainment-focused consumer product is also very different from LinkedIn’s professional network. Microsoft would have inherited substantial political, regulatory, privacy, content-moderation and operational responsibilities.

Who else was reportedly interested?
Contemporary coverage identified Oracle, a group associated with Frank McCourt, Perplexity AI and other investors or technology companies as possible participants. Their statuses were not identical. “Reported interest,” “considered,” “in talks,” “submitted a bid” and “signed an agreement” describe different stages of a transaction.

The evidence for the January 2025 story supports saying that Trump publicly confirmed Microsoft talks. It does not justify presenting every reported name as a formal bidder, or any bidder as the eventual owner.
What happened afterward?
The later U.S. structure was not a Microsoft takeover. TikTok’s official U.S. joint-venture site says TikTok USDS Joint Venture LLC was established under a September 25, 2025 executive order. The site describes the venture as majority American-owned and says it is responsible for U.S. data protection, algorithm security, content moderation and software assurance. Oracle is identified as its trusted security partner.
That structure should not be confused with Microsoft buying TikTok globally. It reflects a later U.S.-focused arrangement created in response to the divestiture dispute. The available evidence does not show that Microsoft completed the acquisition Trump discussed in January 2025.
What the uncertainty meant for users and businesses
For TikTok users, the immediate issue was whether the app could remain available in the United States. Its status depended on the law, enforcement decisions and the ownership structure—not merely on Microsoft expressing interest.
A change in ownership or governance could affect data practices, algorithm oversight, content moderation, software updates, advertising tools and creator payments. It could also alter how American users interact with creators and businesses outside the United States.
For advertisers and creators, repeated enforcement extensions made planning harder. Campaign availability, audience access, monetization and commerce operations could all depend on whether the service remained available and which entity controlled its U.S. infrastructure. For policymakers and investors, the episode illustrated that ownership percentage alone may not settle national-security questions: control, software, data access and continuing operational relationships matter as well.
The accurate takeaway
Trump confirmed on January 28, 2025, that Microsoft was in talks to acquire TikTok during the U.S. sale-or-ban crisis. He did not confirm a completed acquisition, a signed deal, a global purchase or Microsoft’s eventual success. The later U.S. outcome moved toward the TikTok USDS joint venture, with Oracle serving as its identified security partner.
