Companies may gain more coordinated settlement, collateral movement, or shareholder engagement, while customers may gain new ways to access and transfer investments. Those benefits depend on the token’s legal structure, cash arrangements, custody, and market—not on the word “tokenized.”
What does tokenized trading mean for companies and customers?
In January 2026, the SEC’s Divisions of Corporation Finance, Investment Management, and Trading and Markets described a tokenized security as a financial instrument that falls within the federal securities-law definition of a security, is formatted as or represented by a crypto asset, and has an ownership record maintained partly or wholly on or through crypto networks. The key change is how the asset and its ownership record are represented and transferred. The underlying legal and economic arrangement still matters.

A token that refers to a company’s stock is not necessarily a share in that company. To understand what a customer owns, identify who issued the token, whether it conveys direct ownership or an intermediary-held entitlement, what rights attach to it, and who must honor those rights. A token could instead provide synthetic price exposure through a third party, with no claim against the referenced company.
Three common tokenized-security structures
| Structure | What the customer holds | Rights and main question |
|---|---|---|
| Issuer-sponsored | The company or its agent issues the security directly on a blockchain. | The tokenized security carries the legal rights of a traditional security of the same class, but it could be a different class. Check the issuer, class, and governing terms. |
| Custodial | The token represents an indirect interest in an underlying security through a security entitlement, much as an investor’s conventional holding may be held through a securities intermediary. | The intermediary chain matters. Determine who holds the underlying security, how the entitlement is recorded, and what happens if the intermediary or platform fails. |
| Synthetic | A third party creates a linked security or derivative that provides exposure to a referenced security. | The price may track the reference, but the token holder may have no rights against the referenced issuer. Identify the counterparty and the token’s contractual claim. |
Investor.gov’s guidance distinguishes these models and emphasizes that structures and rights differ. SEC staff’s January 2026 statement likewise distinguishes securities tokenized by or for their issuer from those tokenized by unaffiliated third parties. Its discussion concerns U.S. federal securities law; it does not mean every token has the same legal treatment in every jurisdiction.

What are the potential benefits of tokenization?
Settlement that can coordinate asset and payment transfers
In U.S. equity markets, the SEC Investor Advisory Committee describes the existing settlement cycle as T+1. A tokenized transaction could be designed to transfer the asset and payment together in one “atomic” transaction, so neither transfer completes alone. That may reduce the time an asset or payment is exposed to settlement risk, if the asset and cash legs can both settle on compatible systems.
Atomic settlement is not automatically more efficient in every market. Conventional settlement can net obligations across trades before payment; settling each transaction individually can increase the amount of immediately available liquidity participants need. ESMA’s 2026 risk monitor cautions that atomic settlement may increase liquidity needs by eliminating netting.

Potentially more direct shareholder engagement
The SEC Investor Advisory Committee identifies the possibility that public companies could receive more direct, transparent, real-time information about shareholders. Tokenized processes might also reduce intermediaries for some corporate actions, including dividends and proxy voting. These are potential outcomes, not guaranteed features: privacy matters, and actual custody, trading, and corporate-action arrangements may still involve intermediaries.
Collateral and integrated workflows
The UK Financial Conduct Authority (FCA) said respondents to its 2026 call for input most often saw the main opportunity in wholesale markets in post-trade functions, especially collateral movement. The call received 123 responses, according to the FCA. In April 2026, the International Monetary Fund (IMF) described how programmable tokens on shared ledgers could bring trading, settlement, custody, and portfolio management into more integrated workflows. Tokenized securities could also be mobilized as collateral in near real time.

Embedded compliance rules and synchronized transfers of cash and assets may improve operational efficiency where suitable infrastructure exists. Faster processing, continuous operation, or fractional ownership are design possibilities—not proof of deep liquidity, wider access on fair terms, or better results for every retail investor.

| Figure | What it measures | How to interpret it |
|---|---|---|
| USD 0.6 trillion in 2025, forecast to reach USD 18.9 trillion by 2033 | A Ripple and Boston Consulting Group forecast cited by ESMA in 2026, covering tokenized assets including stablecoins. | This is a forecast, not an observed current market size or a measure of tokenized securities alone. |
| 13% fewer settlement fails and USD 340 million in annual savings for Tier 1 firms | Estimates attributed to the International Securities Services Association’s 2025 collateral-tokenization work and relayed by ESMA in 2026. | These are report estimates, not independently verified realized savings across the industry. |
| Six authorised DLT market infrastructures since March 2023 | ESMA’s 2026 count under the EU DLT Pilot Regime. | The count indicates regulated infrastructure activity, not broad adoption or large trading volumes. |
ESMA characterizes adoption as limited, with applications generally narrow and volumes relatively small. It also cautions that some anticipated benefits are not unique to tokenization or have not been demonstrated at scale.

What are the potential risks of tokenization?
Rights may not match the referenced asset
A token’s label or price movement does not establish ownership of the referenced security. Rights to vote, receive dividends, obtain company information, or pursue a claim depend on the instrument’s legal structure and terms. In a synthetic arrangement, the customer may have a claim only against the token issuer or another counterparty, not the company whose shares the token references.

Cash, custody, and finality may remain conventional
A ledger can record an asset transfer while payment still moves over traditional rails. ESMA identifies the lack of widely accepted on-chain cash solutions as a barrier; possible arrangements include appropriate stablecoins, central-bank digital currency, or tokenized deposits. Whether the payment is final, how the cash provider is regulated, and what happens during an outage are central parts of the design—not details to infer from the token itself.

ESMA also reports that many tokenized assets use private ledgers controlled by one entity or a small group. A shared ledger may therefore recreate isolated systems rather than connect markets. Interoperability between networks, legal recognition of records, and clear settlement finality remain important constraints.
Automation and shared infrastructure can fail or amplify stress
The IMF notes that near-real-time collateral movement may ease constraints in ordinary conditions but can also accelerate collateral withdrawals and margin calls during stress. Automated redemption or margin rules can amplify outflows. Smart contracts, data feeds, consensus mechanisms, and infrastructure governance introduce failure points; automated markets may leave less time for discretionary intervention. Permissioned ledgers can make participants easier to identify and hold legally accountable, but reliance on shared infrastructure can concentrate operational dependencies.
Liquidity and protections are not guaranteed by token form
Fractionalization or longer trading hours do not ensure buyers will be available when a customer wants to sell. A token may trade in a limited venue, depend on a particular intermediary, or lack a reliable link between its market price and the referenced asset. Customers should distinguish the ability to transfer a token technically from the ability to sell it at a fair price or exercise the associated legal rights.

How regulation differs by jurisdiction
| Jurisdiction and area | What the 2026 material says | What it does not establish |
|---|---|---|
| United States: securities | SEC divisions’ January 2026 staff statement discusses federal securities-law application to tokenized securities. Investor.gov says tokenized securities are securities subject to SEC regulation and investor protections, while emphasizing that models and rights vary. | It does not make every token economically or legally identical, nor does it settle the law in other countries. The SEC Investor Advisory Committee’s document is a recommendation, not a binding rule. |
| United States: bank capital | A Federal Reserve FAQ updated March 5, 2026 says eligible tokenized securities generally receive the same capital treatment as their non-tokenized form, regardless of whether the blockchain is permissioned or permissionless. | The FAQ excludes securities that do not confer legal rights identical to their non-tokenized form. It is banking capital guidance, not a statement of retail investor protection, and does not apply to other jurisdictions. Banks still need sound risk management and must comply with applicable rules. |
| United Kingdom: wholesale markets | The FCA’s 2026 feedback statement summarizes a May 2026 joint call for input with the Bank of England. It describes the Digital Securities Sandbox as a live regulated environment for testing issuance, trading, and settlement of tokenized securities; a joint roadmap was planned for later in 2026. | The sandbox is a UK initiative, not blanket permission to operate worldwide. The roadmap’s later-2026 status should be checked against current FCA and Bank of England publications. |
| European Union: market infrastructure | ESMA’s 2026 report describes the DLT Pilot Regime, launched in March 2023, and reports six authorised market infrastructures under it. | The regime and authorisations do not show that tokenized trading is broadly adopted or remove the need to assess the applicable rules for a particular activity. |
Questions to ask before a company issues or a customer buys
For a company considering issuance
- Who is the legal issuer, and is the token itself the security or a representation issued by another party?
- Which class of security is represented, and how do its voting, dividend, information, and other rights compare with any traditional class?
- Who maintains the authoritative ownership record, and how will transfers, lost credentials, errors, and disputes be handled?
- Can the token and payment settle on compatible systems with legally recognized finality, or will one leg remain on traditional rails?
- Which intermediaries, custodians, venues, and technology providers remain necessary, and what happens if one becomes unavailable?
- How will the system protect shareholder privacy while enabling any intended engagement or corporate actions?
- Which jurisdiction’s securities, custody, trading, and operational rules apply to the issuer, intermediaries, and customers?
For a customer considering a token
- Do the terms give you direct ownership, a security entitlement through an intermediary, or only contractual or synthetic exposure?
- Who owes you performance, and what legal recourse do you have if the issuer, custodian, platform, or counterparty fails?
- Can you vote, receive dividends, access company information, and transfer the holding—and through what process?
- Where is the underlying security held, how is your interest recorded, and what rules govern custody and insolvency?
- What asset pays the cash leg, when is settlement final, and can you withdraw or transfer funds if a service is disrupted?
- Where can you sell, what limits transfers, and is there evidence of liquidity in the market where you would trade?
- Which regulator and investor protections apply to this particular structure and to you in your location?
What tokenized trading means in practice
For companies, tokenization is a possible redesign of issuance, recordkeeping, settlement, and post-trade operations—not a shortcut around legal obligations or market infrastructure. For customers, the practical question is not simply whether an asset is on a blockchain, but exactly what claim the token gives them, who safeguards it, how payment settles, and whether they can exercise their rights and exit the position. Those answers determine whether a tokenized arrangement offers a meaningful operational improvement or merely adds a new technical layer.
