Thailand-based Charoen Pokphand Foods (CPF) acquired an indirect 50.1% stake in Canadian pork producer HyLife in a deal completed on December 29, 2019. CPF paid CAD 498 million for all shares of HyLife Investments Ltd., the holding company that owned the stake; ITOCHU retained the other 49.9% interest in HyLife. The often-repeated description of HyLife as Canada’s “second-largest” pork producer is not established by the available transaction sources.
What CPF bought—and what it paid
CPF Canada Holdings Corp. acquired all shares of HyLife Investments Ltd. for CAD 498 million, according to Lexpert’s account of the closing. HyLife Investments indirectly held a 50.1% interest in HyLife. The purchase was therefore of the holding company, not all of HyLife itself; ITOCHU remained the indirect minority shareholder.
How the deal unfolded
On April 22, 2019, HyLife announced that CPF had signed an agreement to acquire a 50.1% share of the company, while ITOCHU would continue to hold 49.9%. The proposed transaction was subject to customary conditions and Canadian and international regulatory approvals, and was then expected to close in the third quarter of 2019. The reported completion date was December 29, 2019.

Why CPF said it invested
In its announcement, CPF described the deal as a way to build an integrated Canadian pork production base and pursue premium export markets, including Japan. It also anticipated exchanging technical expertise in feed formulation, genetics, hog farming and processing. Other opportunities it identified included developing cooked and value-added pork and drawing on CPF’s customer relationships and distribution network in China and the United States. These were CPF’s stated expectations when it announced the transaction, not evidence that the anticipated benefits were later achieved.

HyLife’s announcement described the combination as strengthening the companies’ market position. That was a statement by HyLife’s chief executive about the proposed deal, not an independent assessment of its effects.
Was HyLife really Canada’s second-largest pork producer?
The transaction sources reviewed do not substantiate that precise ranking. HyLife called itself a “leading producer and global exporter”; CPF described it as a “leading integrated pork producer”; and a closing account characterized it as Canada’s largest pork exporter. Those descriptions refer to different measures and do not establish second place among pork producers.

A defensible production ranking would need a defined measure—such as production volume—and comparable data for the same period. The cited transaction accounts do not provide a producer ranking, a production-volume table or a methodology. “Largest exporter” is not interchangeable with “second-largest producer.”

HyLife’s April 2019 announcement cited a workforce of more than 2,500 employees. That, along with the ownership percentages and purchase price, is a transaction-era figure rather than a current company metric. The available material does not establish whether ownership changed after the 2019 closing or provide a current ranking, so it cannot support a claim about HyLife’s ownership or relative size in 2026.
