TI’s filing gives June 30, 1999, as the acquisition date. The deal added cable-broadband silicon and internet-telephony software to TI’s technology portfolio, and TI recorded a separate $52 million charge for acquired in-process research and development.
What Texas Instruments bought
Libit developed silicon solutions and system-level internet-telephony software for cable modems, cable set-top boxes, cable head-ends and digital television products. TI described those technologies as enabling high-speed internet access. Contemporary trade coverage characterized Libit as an Israeli cable-modem chipset specialist. TI’s second-quarter 1999 filing and reports from EE Times and Globes describe the company and its work.
How to understand the $365 million figure
Contemporary reports described the transaction as a $365 million cash acquisition. TI’s later quarterly filing characterized the acquisition value as approximately $365 million and placed it in the second quarter of 1999, with June 30 as the acquisition date. The reported cash terms and the company’s subsequent accounting disclosure are related descriptions of the deal, but the filing is the source for the accounting treatment and date.
Why TI pursued Libit
At the time, TI was seeking a stronger position in broadband cable and cable-modem technology. EE Times reported that Libit’s silicon was expected to complement internet-telephony software from TI’s separately announced acquisition of Telogy Networks in a planned reference design for next-generation cable modems. That was the strategic rationale reported around the transaction, not confirmation that a specific design later reached the market.

Globes reported that TI planned to fold Libit into its broadband cable telecommunications business unit and develop it as an important development center. That describes TI’s stated plan at the time; it does not establish Libit’s later organizational status.
What TI disclosed about development costs
TI’s 1999 filing recorded a $52 million charge for the value of Libit’s purchased in-process research and development. The company said it appraised the development projects and used a 22% discount rate for Libit’s in-process technologies. TI expected projected operating cash flows to begin in 2000.

As of June 30, 1999, Libit management estimated that completing the projects would require $5 million and 492 engineer-months. Those were estimates made at the acquisition date, not verified final costs or evidence of what the projects ultimately delivered. The $52 million charge is an accounting figure for acquired in-process R&D, not an additional purchase price on top of the approximately $365 million transaction value.

They do not establish Libit’s later fate as a separate organization, the subsequent product lineage of its technology, whether Libit-branded hardware is available today, or the eventual commercial return on the acquired projects.
