Yes. Tesla Motors, Inc. officially became Tesla, Inc. on February 1, 2017. The company’s SEC filing says it amended its certificate of incorporation and bylaws solely to reflect the corporate name change.
What name did Tesla change, and when?
The former legal corporate name was Tesla Motors, Inc.; the new legal name is Tesla, Inc. The change took effect on February 1, 2017, according to the company’s Form 8-K filed with the SEC. The National Highway Traffic Safety Administration independently records the same former name, new name, and effective date in its manufacturer filing.
What did the legal change involve?
Tesla stated in its filing: “Effective February 1, 2017, Tesla Motors, Inc. amended each of its certificate of incorporation and its bylaws solely to reflect a change of its corporate name to ‘Tesla, Inc.’” This was an official statement in the SEC filing, not a spoken quotation. The attached certificate of amendment was signed by Tesla General Counsel and Secretary Todd A. Maron on January 30, 2017, and specified February 1 as its effective date.
Was a shareholder vote required?
The certificate says the amendment was adopted under section 242(b)(1) of the Delaware General Corporation Law. As described in the certificate, the name-only amendment did not require a stockholder meeting or vote. The filing establishes the legal procedure and the scope of the amendment: it changed the corporate name, and Tesla said the certificate of incorporation and bylaws were amended solely to reflect that change.
