Tellabs completed its acquisition of WiChorus on December 1, 2009, paying $180 million in cash before accounting for WiChorus’ cash balance. The deal was a strategic move from mobile backhaul—the links that carry traffic between cell sites and the wider network—into mobile packet core, the network functions that manage mobile IP data connectivity. Tellabs later said the packet-core market had not met its expectations and that it would stop developing new products for it.
What Tellabs bought and when the deal closed
Tellabs announced a definitive agreement to acquire WiChorus in October 2009. The acquisition closed on December 1, after the Federal Trade Commission granted Hart-Scott-Rodino approval, according to Tellabs’ closing announcement. WiChorus supplied mobile packet-core solutions, giving Tellabs a product foothold beyond its established mobile-backhaul business.

How much Tellabs paid
The transaction consideration was $180 million in cash for WiChorus capital stock and vested options. Tellabs assumed WiChorus’ unvested options. Because WiChorus had $15.3 million in cash, Tellabs reported a net cash price of $164.7 million in its 2009 annual report—approximately $165 million. The gross consideration and net figure describe different calculations, not conflicting purchase prices.
Why Tellabs wanted WiChorus
Tellabs presented the acquisition as an extension of its mobile business into an adjacent market. Its stated plan was to combine WiChorus’ packet-core technology with Tellabs’ carrier relationships and service reach, broaden its product range, and pursue additional revenue and savings opportunities. Those were the acquirer’s strategic aims, not proof that the anticipated commercial benefits were achieved.

In its December 2, 2009 closing release, Tellabs said: “The acquisition enables Tellabs, a leader in mobile backhaul networks, to expand into mobile packet core networks, deliver new applications and provide significant savings for mobile carriers.” This was company language about the intended benefits of the deal.
How the deal fit Tellabs’ business at the time
The purchase came as Tellabs was emphasizing investment in network products. In its 2009 annual report, the company said more than 80% of its research and development spending went to mobile, optical, and IP/Ethernet product development. Tellabs also reported that growth products and services generated 46% of revenue that year. These are company-reported figures describing Tellabs’ own business, not independent measures of mobile-market growth or evidence that the acquisition succeeded.

What WiChorus technology became
SmartCore 9100 and packet-core functions
Tellabs incorporated WiChorus’ technology into the SmartCore 9100 platform and positioned it as a mobile-core gateway. In broad terms, a mobile packet core handles IP data connectivity and related gateway and control functions, linking mobile users and access networks to data services. This complements mobile backhaul, which transports traffic from cell sites toward the core network.
3G, WiMax, and LTE positioning
Tellabs described SmartCore 9100 for 4G WiMax and LTE deployments as well as use in 3G networks. The company’s product materials and annual report establish how Tellabs positioned the platform; they do not independently verify marketing claims or establish that one network-generation option was superior to another.

Tellabs reported data-product revenue of $342.0 million in 2009, up from $215.1 million in 2008. The company said SmartCore began to be included in the data-products category in the fourth quarter of 2009, so the 2009 figure should not be read as a full year of SmartCore revenue or as a standalone measure of the acquisition’s contribution.

Tellabs’ later disclosures qualify the expansion story. In its 2011 Form 10-K, the company said the mobile packet-core market had not measured up to its expectations over the preceding two years and that it would stop developing new products for the market. Tellabs also said it would continue supporting existing customers. Stopping new product development therefore should not be mistaken for an announcement that support ended immediately or that installed equipment ceased operating.

What the transaction ultimately shows
The acquisition gave Tellabs a way to pursue a broader mobile-network portfolio, extending from backhaul into packet core through WiChorus technology. The financial terms and product positioning are clear in Tellabs’ disclosures; the company’s later decision to halt new packet-core development shows that the expansion did not develop as Tellabs had expected. The record supports that business-strategy conclusion, but not a quantified claim about how much mobile-data traffic grew because of the deal.
