Separately, Take-Two director and 10% owner William B. Gordon reported selling 10,000 shares under a Rule 10b5-1 trading plan adopted months before the agreement was publicly announced. The filings disclose the agreement and the trades, but do not establish a connection between them.
What Take-Two’s Xbox agreement says
Take-Two’s September 28, 2026 Form 8-K says it entered a new long-term Xbox Publisher License Agreement with Microsoft, effective September 17. The new agreement supersedes and replaces the parties’ existing Xbox publisher license agreements. Take-Two says the license covers its right to develop, publish, manufacture, market, advertise, distribute, and sell Xbox-compatible products for all Xbox devices. Take-Two’s Form 8-K was filed September 30. [c001]

Commercial terms disclosed in the filing
For digitally delivered products and content sold by Microsoft, the filing describes payment at the applicable wholesale price and/or an agreed revenue share. Microsoft may review and approve game concepts and final versions, as well as packaging and marketing materials featuring Microsoft marks. For physical-media products manufactured on Take-Two’s behalf, Microsoft charges fees and royalties. Either party may terminate for material breach or insolvency, and Take-Two has specified rights to sell off existing inventory after expiration or termination. [c001]
The 8-K expressly says its description is only a summary and is qualified by the agreement’s text. It points to that text being filed as an exhibit to the quarterly report for the period ending September 30, 2026. The summary does not establish the precise term, exclusivity, revenue-share rates, minimum guarantees, or other detailed provisions. [c001]

What the insider Form 4 reports
William B. Gordon, identified in the filing as a Take-Two director and 10% owner, reported three sales of common stock on September 29, 2026. His Form 4 reports the following weighted-average prices:

The three lots total 10,000 shares. The filing reports that Gordon directly owned 47,187 shares after the transactions. These are transaction figures from his SEC Form 4, not a measure of insider sentiment. [c002]

Why the filing does not establish his motive
Gordon’s Form 4 checks the box for a Rule 10b5-1 trading plan and says he adopted it on June 23, 2026—before the September 28 public announcement of the agreement. The filing does not state why he sold. It also does not say when any individual trade decision was made beyond reporting the plan adoption and transaction dates, so the sale cannot be treated as a reaction to the announcement or proof that Gordon expects Take-Two’s shares to fall. Does the agreement signal a new Xbox console?
No. The 8-K describes a publishing license for products compatible with Xbox devices; it does not announce a new Microsoft console, a next-generation release date, an exclusive, a hardware partnership, or an acquisition. The agreement may prompt speculation, but it is not evidence that a particular console or redesign is coming. No independently published statistic establishing that this kind of agreement predicts future hardware is established by the cited filings. [c001][c005]

There is historical context, but it does not fill in the new agreement’s terms. Take-Two’s FY2025 annual report described earlier agreements for Xbox Series X|S and Xbox One dated July 1, 2020. Those agreements were scheduled to expire March 31, 2026, with automatic one-year renewals absent advance notice of non-renewal. That expiration date belongs to the prior agreements, not the 2026 replacement. [c004]

Take-Two’s filing index lists Gordon’s October 1 Form 4, the September 30 Form 8-K, several Form 144 notices, and other Forms 4. An index listing or Form 144 notice is not by itself proof that a sale was completed: Form 144 reports an intended sale. Confirm a completed transaction in the related Form 4 or other transaction evidence before treating it as a sale. Take-Two’s SEC filings index is useful for locating documents, but the underlying transaction filing is the evidence for a particular trade. [c003]
