The FCC approved the relevant Metronet transfer with conditions on July 9, 2025, and the T-Mobile–KKR joint-venture acquisition closed on July 24, 2025. The deal did not make T-Mobile the outright owner of all of Metronet: it moved specified subsidiaries and residential fiber retail operations into a joint venture, with T-Mobile taking a 50% interest.
What did the FCC approve?
On July 9, 2025, the Federal Communications Commission’s Wireline Competition Bureau granted, with conditions, a domestic Section 214 application to transfer control of five specified Metronet subsidiaries from Metronet Holdings, LLC to MetroNet Systems Holdings, LLC. The FCC described MetroNet Systems as a joint venture controlled and co-managed by T-Mobile USA, Inc. and indirectly by KKR Metro Parent LLC. The approval was not a blanket transfer of every Metronet asset to T-Mobile.
The Bureau’s July 9, 2025 public notice names the licensees as Climax Telephone LLC, CMN-RUS, LLC, Jaguar Communications, LLC, Metro Fibernet, LLC, and Vexus Fiber, LLC. T-Mobile said the same day that it had received all necessary regulatory approvals, according to its Form 10-Q for the quarter ended June 30, 2025.
Has the acquisition closed?
Yes. The joint acquisition closed July 24, 2025. T-Mobile’s 2025 Form 10-K reports that T-Mobile invested $4.6 billion for a 50% equity interest in the joint venture and 713,000 residential fiber customers. Those are company-reported figures; the $4.6 billion is T-Mobile’s investment in the venture, not necessarily the purchase price for all of Metronet.

How are T-Mobile and Metronet involved now?
The companies have different roles in the residential fiber arrangement. T-Mobile took over the residential retail operations and customer relationships and sells the service under its brand. Metronet continues providing fiber service to those customers as the wholesale provider, according to T-Mobile’s filings and its July 18, 2024 transaction filing.

What this means for Metronet customers
The filings establish that the residential retail relationship transitioned to T-Mobile while Metronet remained the wholesale provider. They do not specify an individual customer’s migration schedule, billing changes, future price, or service experience. Those details should not be assumed from the FCC approval or closing announcement alone.
