Syngenta Acquired Valagro in 2020: Deal Price, Rationale and What Changed

Syngenta announced its Valagro acquisition in October 2020. Its audited report records an October 1 close, $596 million in cash consideration and $48 million contingent on performance thresholds.

Syngenta announced its acquisition of Italian agricultural biologicals company Valagro on October 6, 2020. The purchase had already closed on October 1: Syngenta’s audited 2020 financial report records its acquisition of 100% of Valagro’s issued shares for $596 million in cash, subject to a final purchase-price adjustment, plus $48 million in contingent consideration tied to performance thresholds.

When did Syngenta acquire Valagro?

The announcement date and closing date were different. Syngenta announced on October 6, 2020, that its Syngenta Crop Protection business unit was acquiring Valagro. Its 2020 financial report records the acquisition of all issued shares as closing on October 1, 2020. Syngenta’s announcement and its audited 2020 financial report establish these separate dates.

How much did Syngenta pay for Valagro?

The October 6 announcement said the terms were undisclosed at that time. Syngenta’s later audited 2020 financial report disclosed $596 million in cash consideration, subject to a final purchase-price adjustment based on net working capital and other items transferred. It also recorded $48 million in contingent consideration, payable over three years if agreed minimum performance thresholds were exceeded. These are the amounts stated in the financial report, not a single fixed purchase price that accounts for any final adjustment or contingent payment outcome.

What did Valagro bring to Syngenta?

Valagro was an Italian company headquartered in Atessa, focused on agricultural biologicals, particularly biostimulants and specialty nutrients. Syngenta described its capabilities as spanning research, production and commercialization. In its October 2020 announcement, Syngenta reported that Valagro had approximately $175 million in revenue in 2019 and an approximately 10% compound annual growth rate from 2009 through 2019. Those figures are Syngenta’s claims in the announcement, not independently validated market statistics.

Why did Syngenta say it bought Valagro?

Syngenta said Valagro’s portfolio would complement its existing biostimulants and biocontrols and support its pipeline of future biological solutions. The company presented the acquisition as a way to broaden its biologicals offering, giving farmers more complementary products and technologies. It also connected biologicals to pest and disease control, crop improvement, resistance management, soil health and concerns about crop residues.

Those points describe Syngenta’s stated rationale, not proof that the deal achieved each intended result. Syngenta’s 2020 financial report characterized the acquisition as enabling a global biologicals business; that is also the company’s assessment of the transaction.

What happened to Valagro after the acquisition?

The 2020 announcement said Valagro would initially continue to operate independently within Syngenta Crop Protection. That was the plan at the time, not a description of the later brand structure. In 2023, Syngenta announced the Syngenta Biologicals brand, bringing Valagro together with Syngenta’s in-house biologicals business. Syngenta identified TAEGRO, a biofungicide; MEGAFOL, a biostimulant; and VIXERAN, a foliar-applied biofertilizer, as examples in that announcement.

Syngenta’s biologicals information page describes offerings across biocontrols, biostimulants and nutrient-use efficiency. It directs growers to country websites for product availability; inclusion in the company’s broader portfolio does not establish that a product is registered or available in every market.
