Swiggy’s November 2024 IPO drew 3.59 times the shares on offer, a strong response to a $1.34 billion deal—but not a simple verdict on India’s appetite for every billion-dollar listing. The company had cut its IPO valuation target from $15 billion to $11.3 billion, and demand varied sharply by investor group. The subscription figures show that investors wanted this offering at its revised terms; they do not show how the shares performed after listing or whether every large IPO will find buyers.
What Swiggy’s IPO raised—and who received the proceeds
Swiggy listed on India’s capital markets on November 13, 2024. Its FY2024-25 annual report puts the completed IPO at $1.34 billion, comprising a $533 million fresh issue and an $809 million offer for sale by existing shareholders.

Those components serve different purposes. The fresh issue brought capital into Swiggy; the offer for sale provided liquidity to shareholders who sold shares. So the full $1.34 billion was the size of the offering, not the amount of new money Swiggy itself received. Some reports during the IPO process described the offer as $1.35 billion or rounded it to $1.4 billion.
Why the valuation target fell before the offer
Swiggy’s IPO-period valuation target was reported at $11.3 billion, down 25% from an initial $15 billion goal. Reuters reported the reduction on October 27, 2024, citing market volatility and the lacklustre reception for Hyundai Motor India’s listing. The figure was a target valuation for the IPO—not the offer size, a post-listing market capitalization, or a current valuation.

The change matters to the appetite question: demand was tested at revised terms after the target had been lowered. A well-subscribed offer therefore does not show that investors would have responded equally well at the original valuation.
How much was the Swiggy IPO subscribed?
Swiggy’s annual report records final overall subscription at 3.59 times. Reuters’ November 8, 2024 report, as the offer closed, said it had been subscribed more than three times overall, with institutional investors subscribing six times their allocation and retail investors subscribing 114% of theirs. These measures describe demand relative to the shares available in each part of the offer; they are not measures of subsequent returns.

There was also a separate, earlier signal from the anchor-book process. Reuters reported on October 31 that bids exceeding $15 billion had been placed against $605 million reserved for large investors, citing four unnamed sources. That was reported preliminary bidding during book building, not settled investment or the final subscription tally.
Demand came during a busy IPO year, but a softer market
India’s IPO market had been active: Reuters, citing LSEG data, reported that about 270 Indian companies had raised more than $12.57 billion through IPOs year-to-date as of October 30, 2024, compared with $7.4 billion for all of 2023. Yet activity in new offerings coexisted with weaker sentiment in the wider equity market. Reuters reported on November 8 that the Nifty 50 had cooled 8% from its late-September record highs.

That contrast helps explain why Swiggy’s subscription is informative but limited. It shows demand for one large offer in a busy issuance year, after a valuation reset and amid a pullback in the broader market. It does not establish durable, market-wide demand for all $1 billion-plus IPOs.
Investors were weighing two businesses
Swiggy’s offering put both food delivery and quick commerce in view. Reuters’ November 2024 coverage cited brokerage estimates that Swiggy had 34% of food delivery, compared with Zomato’s 58%; for quick commerce, it cited estimates of 20–25% for Instamart versus 40–45% for Blinkit. These were IPO-period brokerage estimates reported by Reuters, not audited figures or current market shares, and they do not by themselves establish what Swiggy was worth.

Reuters also reported that Swiggy planned to use $140 million of IPO proceeds to expand warehouses. The operating context helps explain why investors might assess the company across both delivery markets, but the subscription result alone cannot tell us how they valued each business or what returns shareholders later received.

The measured conclusion is that Swiggy attracted substantial demand at its revised offer terms: the final offer was 3.59 times subscribed, with especially strong reported institutional demand and retail demand just above the shares allocated to that category. That is evidence of appetite for this IPO—not proof that every billion-dollar offering will be welcomed, that the initial $15 billion target would have cleared, or that subscribers made money after listing.

Subscription, valuation, and aftermarket performance answer different questions. Subscription measures how many shares investors sought relative to the offer; valuation reflects the price assigned to the company in the transaction; aftermarket performance concerns how the shares traded after they began listing. The available subscription figures establish the first, while the reported valuation target describes the second. They do not establish listing-day returns or later investment performance.
