Stripe acquired Lemon Squeezy on July 26, 2024, in a deal whose financial terms were not disclosed. The target was more than a conventional payment processor: Lemon Squeezy operated as a merchant of record for software and other digital products, handling payment collection, sales-tax and VAT responsibilities, subscriptions, licensing, and payouts within its agreement with sellers.
The acquisition gave Stripe a functioning merchant-of-record product, a specialized team, and experience serving software companies and creators. By January 2026, Lemon Squeezy said it was working with Stripe on Stripe Managed Payments, described as Stripe’s own merchant-of-record solution. Lemon Squeezy remains publicly marketed, but the post-acquisition work has affected product updates and support responsiveness.

The acquisition in brief
Stripe announced its acquisition of Lemon Squeezy on July 26, 2024. Lemon Squeezy separately announced the deal the same day. Neither company disclosed the purchase price, valuation, or transaction structure.

1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesStripe’s stated objective was to scale merchant-of-record selling. Stripe CEO Patrick Collison said the company intended to “scale merchant of record selling in a big way,” while Stripe executive Will Gaybrick said it was a product customers had been asking Stripe to build. TechCrunch’s reporting covered those comments and the acquisition.

The deal was notable because Lemon Squeezy had already used Stripe’s payment infrastructure since its inception. Stripe was therefore not buying an unrelated payments network. It was acquiring the product layer, operating model, merchant relationships, and compliance experience built around selling digital goods internationally.
It is not publicly established whether the transaction was an asset purchase, stock purchase, or another structure. It is also not supportable to assign a dollar value to the deal.
What Lemon Squeezy actually does
Lemon Squeezy is designed primarily for businesses selling:
Free tools Windows power users keep installed
One-click scans. No signup required.
- SaaS subscriptions
- Software licenses
- Digital downloads
- Online courses
- Templates, fonts, plugins, and similar digital products
Its tools include hosted checkout and checkout overlays, subscription management, license-key management, tax and VAT handling, fraud controls, customer billing, and payouts. It also supports usage-based and tiered billing.
The important distinction is that Lemon Squeezy presents itself as a merchant of record. That means it is the entity legally associated with the transaction within the scope of its contract and applicable jurisdictions. A merchant of record commonly takes responsibility for payment collection, tax calculation and remittance, refunds, chargeback-related processes, and parts of customer billing.
That does not make every legal or financial obligation disappear for the software company. A seller may still have corporate income-tax, business-registration, employment-tax, privacy, intellectual-property, export-control, consumer-protection, and product-legality obligations. A merchant-of-record agreement also does not guarantee approval for every product or country.
Merchant of record versus ordinary payment processing
The difference matters because many businesses use the terms “payment processor” and “merchant of record” interchangeably even though they describe different operating models.
Quick wins for a faster PC:
Scan for outdated or missing drivers - takes under a minuteDriver Scan →Clear out junk files and repair common Windows errorsFree Scan →| Issue | Ordinary payment processor | Merchant of record |
|---|---|---|
| Processes card or wallet payments | Yes | Yes |
| Provides checkout and billing tools | Often | Usually |
| Calculates sales tax or VAT | May provide tools; seller often remains responsible | Typically handles this within its agreement and jurisdictions |
| Files and remits indirect tax | Usually the seller’s responsibility | Usually handled by the merchant of record |
| Seller controls its merchant account | More direct control | Less direct control |
| Headline pricing | Often lower | Often higher because more operational work is included |
| Product and risk controls | Still present | Can be stricter because the provider is legally exposed |
“Usually” is deliberate. Responsibilities vary by contract, transaction type, product category, and jurisdiction. A merchant of record is not a universal substitute for legal or tax advice.

Why Stripe wanted Lemon Squeezy
The companies publicly emphasized the opportunity to expand merchant-of-record selling. Several strategic benefits follow from that announcement.
A working merchant-of-record product
Stripe could have built a merchant-of-record offering internally, but Lemon Squeezy had already operationalized one for software companies and creators. Stripe gained a product and team with experience in the practical details of digital commerce rather than only a roadmap.
A concentrated digital-product customer base
Lemon Squeezy focused on software, subscriptions, licenses, downloads, and other digital goods. These businesses frequently sell internationally while lacking the staff or registrations needed to manage indirect taxes in every market. That makes them a natural audience for a merchant-of-record service.
Tax and compliance operations
Standard payment processing can move money and provide tax-calculation tools, but the seller may still need to determine where it must register, file, and remit. Lemon Squeezy’s model addressed more of that operational burden. The acquisition therefore offered Stripe experience in an area that ordinary card processing does not fully solve.
Distribution and customer insight
Lemon Squeezy had built around small software businesses and creators. Its checkout, billing, licensing, and support workflows could give Stripe insight into how those customers buy and use merchant-of-record services.
Strategic control of an important category
It is reasonable to infer that Stripe wanted a stronger position against specialized merchant-of-record providers, including companies such as Paddle. That is analysis rather than a disclosed acquisition term. The public evidence supports the broader conclusion that Stripe considered merchant-of-record payments strategically important.
How quickly had Lemon Squeezy grown?
Lemon Squeezy publicly launched in 2021. According to founder and CEO JR Farr, the company surpassed $1 million in annual recurring revenue nine months after its public launch. TechCrunch reported that the company had 13 employees when the acquisition was announced.
Farr also said Lemon Squeezy had received acquisition interest and Series A term sheets. TechCrunch reported that he had discussed turning down a $50 million Series A term sheet, but the figure should not be treated as a completed financing round, an independently verified valuation, or the price Stripe paid.

Those numbers describe a fast-growing startup according to founder statements and reporting, not audited financial results.
What happened after the acquisition?
The 2024 announcement suggested that Lemon Squeezy’s product and reliability would continue while the teams explored how to combine their capabilities. The more significant follow-up came on January 28, 2026, when Lemon Squeezy published an update about its work with Stripe.
Lemon Squeezy said it had been building with Stripe on Stripe Managed Payments, which it described as Stripe’s merchant-of-record solution. It also acknowledged that integration and product-development work had consumed substantial attention. The company said support responses had become slower and product updates less frequent.

It does mean that “customers were unaffected” would be too strong.
It also does not mean Stripe shut down Lemon Squeezy. The Lemon Squeezy blog, public product pages, documentation, and pricing page remain available. The evidence supports a more nuanced view: Lemon Squeezy remains a public product and brand, while its capabilities and team are contributing to Stripe’s merchant-of-record direction.
Is Lemon Squeezy still available?
Yes, the public service continues to market digital-product payments, subscriptions, hosted checkout, license-key management, tax and VAT handling, an API, and developer documentation. It also advertises PayPal subscriptions, usage-based billing, and tiered billing.
The public pricing page seen on August 18, 2026, listed no monthly fee and headline transaction pricing of 5% + $0.50. That is not necessarily the all-in cost, and pricing can change. Sellers should confirm the live fee schedule before signing up.
What does Lemon Squeezy cost?
The current fee documentation lists these possible charges:
Rank #4
- Accept all major credit and debit cards for one low rate.
- Accepts Visa, Mastercard, Discover, and American Express—no hidden fees.
- Track your earnings and view your complete sales history from the free Square Point of Sale app.
- Works with Apple and Android devices that have a 3.5 mm headphone jack. No charging needed
- Standard platform fee: 5% + $0.50 per transaction
- International surcharge: an additional 1.5% for transactions outside the United States
- PayPal surcharge: an additional 1.5%
- Subscription surcharge: an additional 0.5%
- Abandoned-cart recovery: an additional 5% on payments recovered through abandoned-cart emails
- Merchant affiliate referrals: an additional 3%
- Affiliate payouts: an additional 2%
Payout charges vary. U.S. bank-account payouts through Stripe are listed as free, while non-U.S. bank-account payouts through Stripe are listed at 1% per payout. U.S. PayPal payouts are listed at $0.50 per payout, and non-U.S. PayPal payouts at 3%, capped at $30 per payout.
According to the fee documentation, fees are calculated on the total order value in the documented example, including tax. That matters when checkout is tax-inclusive.
Examples of the fixed fee
For a $10 domestic card sale, the headline fee is:
5% of $10 ($0.50) + $0.50 = $1.00
That is an effective fee of 10%, before any applicable extras.
Recommended Free Tools
For a $100 domestic card sale:
5% of $100 ($5.00) + $0.50 = $5.50
The effective rate is 5.5% before extras. The fixed fee therefore matters much more for inexpensive products.
International transactions, PayPal payments, subscriptions, affiliate activity, and recovered abandoned carts can increase the total. High-volume or low-priced sellers are directed to contact sales about custom pricing.
Who benefits from the acquisition?
- Indie developers: They can sell software internationally without building a tax operation in every market.
- Small SaaS companies: A merchant-of-record model can reduce administrative work around subscriptions and indirect taxes.
- Creators: Digital downloads, courses, templates, fonts, and plugins can be sold through a specialized checkout.
- Stripe customers: Stripe can eventually offer a first-party merchant-of-record option to businesses that need it.
- Stripe itself: Combining payments scale with Lemon Squeezy’s digital-commerce experience could strengthen Stripe’s position in global software commerce.
Who may not benefit?
Lemon Squeezy may be a poor fit for:
- Businesses selling very low-priced products, because the fixed $0.50 fee is significant
- High-volume sellers unless custom pricing improves the economics
- Companies needing maximum control over their merchant account, disputes, customer data, or tax treatment
- Marketplaces with complex multi-party settlement requirements
- Businesses primarily selling physical goods
- Companies seeking a broad enterprise payments architecture rather than digital-product checkout and billing
- Sellers whose products do not satisfy acceptable-use or risk policies
- Businesses that prioritize the lowest possible processing rate and can manage tax and compliance themselves
The central trade-off is convenience versus control and cost. A merchant-of-record fee may replace tax, billing, compliance, and support work, but it can also be materially higher than ordinary card-processing rates.
Lemon Squeezy versus direct Stripe Payments
| Consideration | Lemon Squeezy | Direct Stripe Payments |
|---|---|---|
| Merchant-of-record model | Yes, within its agreement and supported jurisdictions | Generally, the seller remains the merchant responsible for its business obligations |
| Sales tax and VAT | Designed to handle collection and filing responsibilities within the model | Stripe offers tax tools, but using a tax calculator is not automatically the same as outsourcing merchant-of-record duties |
| Digital-product tools | Checkout, subscriptions, licensing, and digital-product workflows | Highly flexible APIs and products, but more assembly may be required |
| Control | Less control over the payment relationship and operating model | More control over payments, checkout, customer experience, and architecture |
| Headline pricing | 5% + $0.50, plus possible surcharges according to the documented schedule | Pricing depends on the Stripe products, payment methods, country, and negotiated terms |
| Payouts | Public pricing says payouts are automatically processed twice monthly | Timing and terms depend on the Stripe account and country |
Stripe Payments may be a better fit for a larger or technically sophisticated company that wants control and can operate its own tax and compliance framework. Lemon Squeezy may be better for a small digital-product business that values speed and administrative simplicity.
Where Stripe Billing, Stripe Tax, and Managed Payments fit
Stripe Billing is aimed at recurring billing, invoicing, subscription management, and usage-based billing in a Stripe-centered stack. Stripe Tax provides tax calculation and related tooling.

Those products should not automatically be equated with a full merchant-of-record service. Tax calculation can help determine the amount due while leaving registration, filing, remittance, and other obligations with the business.
Stripe Managed Payments is the more important development arising from the acquisition. Lemon Squeezy described it in January 2026 as Stripe’s merchant-of-record solution. The available information does not establish its final pricing, general availability, eligibility rules, or whether every Lemon Squeezy feature will migrate into it. Those details should be confirmed through current official Stripe documentation before making a platform decision.
Questions a seller should answer before switching
- What is the average order value? Calculate the fixed $0.50 fee as a percentage of typical sales.
- How international is the customer base? Model the additional 1.5% international fee and currency-related costs.
- How many sales are subscriptions? Include the possible 0.5% subscription surcharge.
- Will customers use PayPal? Include the additional PayPal fee where applicable.
- Are taxes included in displayed prices? The fee calculation on tax-inclusive orders can change effective margins.
- How fast must cash arrive? Twice-monthly payouts may not suit businesses with tight working-capital needs.
- Does the product pass approval rules? Review prohibited-business, risk, reserve, and account-suspension policies.
- Who owns the customer relationship? Review access to customer data, billing records, refunds, subscriptions, and migration tools.
- What happens if the service changes? Consider export options and the possibility that Lemon Squeezy and Managed Payments may evolve separately or converge.
What remains undisclosed

Those unknowns are relevant to a business choosing a long-lived payments architecture. The acquisition does not prove that Lemon Squeezy will disappear, but it does mean sellers should monitor official product and migration notices rather than assume the current arrangement will remain unchanged indefinitely.
Bottom line for digital-product businesses
Stripe bought Lemon Squeezy to accelerate a merchant-of-record strategy, not merely to acquire another card-processing interface. The deal brought Stripe a product focused on software and digital goods, along with experience handling the tax, billing, licensing, and operational issues that ordinary payment processing does not eliminate.
As of 2026, Lemon Squeezy remains publicly available, while its work with Stripe is helping shape Stripe Managed Payments. For a small software or digital-product seller, Lemon Squeezy can justify its higher headline fee if outsourced international tax and compliance work is worth more than the savings from direct processing. For a larger company seeking lower unit costs, maximum control, complex marketplace settlement, or a custom payments stack, direct Stripe Payments combined with appropriate billing and tax tools may be more suitable.
In either case, compare total cost—not just the 5% headline rate—and verify current product availability, terms, payout rules, and migration requirements before committing.
