SpaceX is no longer private: its Class A shares began trading on Nasdaq as SPCX on June 12, 2026. Before the listing, investors relied on dated valuation marks and private transactions rather than a continuously visible exchange price. Those figures could differ because they applied to different dates, share classes, deal types, or valuation methods. SpaceX set its IPO price at $135 per Class A share on June 11, 2026; that is a historical offering price, not a current quote. SpaceX announced the offering and listing details.
How are private-company shares valued?
Before a company lists, there is no continuously updated exchange price for its shares. Investors, funds, and trusts may instead estimate the value of a holding using evidence from transactions and a valuation process, then report a carrying value as of a particular date. That figure is a dated judgment, not a price at which every holder could necessarily sell.

Baillie Gifford described its process for private holdings as relying on verifiable transactions and independent valuation input, rather than press speculation. Its June 2026 update said its valuation team and independent provider S&P Global valued private holdings on that basis. This describes the manager’s own methodology; it is not a universal formula used by every investor. Baillie Gifford’s June 2026 update also explains that after SpaceX’s IPO, it marked its holding to a daily observable market price.

How SpaceX’s private valuation differs from its public share price
Before the IPO, a reported SpaceX value could reflect a private transaction or a fund’s valuation methodology at a specified date. After listing, SPCX has a public trading price that can move throughout the trading day. The difference is one of valuation basis and timing; neither a private mark nor an exchange price by itself proves the company’s intrinsic value.

For example, Baillie Gifford said it valued its SpaceX holding at $1.25 trillion as of March 31, 2026, before the IPO. The manager said this mark reflected a recalibration of the private secondary market to the combined SpaceX/xAI valuation, and that its carrying value remained below a higher figure reported in the press. This was one manager’s dated carrying value, not a consensus value or current market capitalization. Baillie Gifford’s update sets out that context.
What the IPO price does—and does not—tell you
SpaceX announced an offering price of $135 per Class A share on June 11, 2026, and offered 555,555,555 shares. The shares began Nasdaq trading as SPCX the following day. The $135 figure is the price established for the IPO, not a live or continuing quote. SpaceX’s announcement identifies the offering price, share count, ticker, and first trading date.

Why reported SpaceX share values can differ
Date of the valuation
A March 2026 private carrying value, the June 2026 IPO price, and a later trading price refer to different moments. Private marks are stated as of a valuation date; a public share price is observable in the market and can change. Check current market data for a current quote rather than treating an older figure as current.

Share class and investor rights
Common and preferred shares can carry different economic rights, so their prices are not automatically comparable. SpaceX’s prospectus describes conversions of preferred and Class C shares in connection with the offering. The prospectus summary provides the offering context.

A historical example reported by TechCrunch illustrates the issue: in 2022, SpaceX offered employees $70 per common share in a tender offer while a primary sale was reported at $270 per share. The report attributed the difference in part to the securities involved: employee common shares versus preferred shares typically issued to primary investors, which had dividend and liquidation preference rights. This is an example from 2022, not a current price or a direct measure of what any share is worth today. TechCrunch’s report describes the historical comparison.
Primary financing versus secondary sale
A primary financing sells newly issued securities and brings capital to the company. A secondary transaction, such as a tender offer, allows existing shareholders to sell shares; proceeds go to sellers rather than to the company. Because the transaction participants, security rights, and purpose differ, a price from one type of deal does not necessarily set a value for another type of share or transaction.

Valuation method and share count
A private fund may use transaction evidence and an independent valuation process to estimate the value of its holding. Public market capitalization is generally calculated by multiplying the traded share price by an appropriate number of shares. It is therefore not the same measure as a manager’s reported carrying value, and any market-cap figure depends on the share-count basis used. Baillie Gifford’s account of its own private-marking and post-listing process is available in its June 2026 update.

- IPO price: SpaceX’s announced offering price was $135 per Class A share in June 2026.
- Net tangible book value: The prospectus summary gave an adjusted pro forma net tangible book value of approximately $7.85 per Class A share, using the assumptions stated in that document.
- Immediate dilution: The same summary estimated $127.15 per share of immediate dilution to IPO purchasers, calculated against the $135 offering price under its stated assumptions.
Net tangible book value is an accounting measure of assets minus liabilities, with the relevant adjustments described in the prospectus. The dilution figure compares that measure with the offering price. Neither is an estimate of fair value or a prediction of where SPCX will trade. See the SEC-hosted prospectus summary for the assumptions and offering context.
Quick Recap
A practical way to compare a reported SpaceX value
- Identify the date. Confirm when the figure was measured or the transaction occurred; do not compare a private mark and public quote as if they were simultaneous.
- Identify the security. Check whether the figure concerns common, preferred, Class A, or another share class, and what rights attach to it.
- Identify the transaction. Determine whether it was a primary issuance to raise company capital, a secondary sale by an existing holder, or a public-market trade.
- Identify the measure. Separate a carrying value, offering price, market price, market capitalization, net tangible book value, and dilution calculation. Each describes something different.
- For a current public value, verify current market data. The IPO price and dated private marks do not establish today’s trading price or market capitalization.
