Sony had announced the deal at $3.6 billion in January; its closing announcement put total consideration at approximately $3.7 billion after customary adjustments. The figures reflect different stages of the transaction, not a correction that makes the announcement simply wrong.
When did Sony complete the Bungie acquisition?
Sony Interactive Entertainment (SIE), a wholly owned subsidiary of Sony Group Corporation, completed its purchase of all Bungie shares on July 15, 2022. Sony’s closing announcement said the acquisition followed the definitive agreements announced on January 31, 2022.
Why did the announced $3.6 billion become about $3.7 billion?
The January figure was the announced consideration before customary working-capital and other adjustments. It included both the purchase price and committed employee incentives, and the agreement remained subject to closing conditions. At completion, Sony reported approximately $3.7 billion in total consideration, also including purchase price and committed employee incentives, after customary adjustments.

The announcement and closing figures therefore describe the deal at different points: the initial announced amount and the amount after customary adjustments at completion. Sony’s January transaction announcement and July closing notice provide those respective terms.

What does Sony’s later accounting disclosure mean?
Sony’s later acquisition accounting disclosure separates total consideration into categories that should not be conflated:
- $3.704 billion total consideration: the total amount reported for the acquisition in the accounting disclosure.
- $2.525 billion purchase consideration: the purchase-consideration allocation shown in that disclosure.
- $1.179 billion: allocated mainly to deferred payments to employee shareholders conditioned on continued employment and other retention incentives. This is not described as a simple cash bonus pool, nor does the filing establish that all of it was paid at closing.
- $2.424 billion fair value: the fair value of purchase consideration as of the acquisition date. This is a separate accounting measure, not the deal’s total consideration.
These figures answer different accounting questions. In particular, the acquisition-date fair value is not interchangeable with the total consideration, and the employee-related allocation should not be read as an upfront payment to all Bungie staff.

What did the acquisition mean for Bungie’s ownership and independence?
Bungie became a wholly owned subsidiary of Sony. When it announced the agreement in January 2022, SIE said Bungie would operate independently as an SIE subsidiary, retain the ability to self-publish, and reach players wherever they chose to play. That describes the operating model Sony stated at the time of the announcement; it should not be treated as a guarantee that organizational arrangements would never change.

On June 25, 2026, SIE CEO Hermen Hulst announced workforce reductions affecting Bungie, including most of the Destiny team and some Marathon team members. Hulst also said Destiny 2 had released its final live-service content update, described Marathon as an important portfolio project, and said Sony would continue supporting the team. Those were later statements about Bungie’s workforce and games, not changes to the financial terms of the 2022 acquisition. See Hulst’s June 25, 2026 update.
