SolarWinds Is Now Private: Turn/River’s $4.4 Billion Acquisition Closed in 2025

Turn/River Capital completed its acquisition of SolarWinds on April 16, 2025. The all-cash deal offered SolarWinds stockholders $18.50 per share; at closing, SolarWinds became privately held and its common stock stopped trading on the New York Stock Exchange.

What happened to SolarWinds?

Turn/River Capital bought SolarWinds in a transaction that closed on April 16, 2025. The company is no longer publicly traded: upon closing, SolarWinds became privately held and its common stock ceased NYSE trading, according to SolarWinds’ closing announcement filed with the SEC.

The deal was announced on February 7, 2025, as a proposed acquisition. The announcement described an all-cash offer of $18.50 per share and an enterprise value of approximately $4.4 billion. Those are different measures: $18.50 was the consideration for each share, while $4.4 billion was the transaction’s reported enterprise value. The company’s February 7 announcement said the offer represented an approximately 35% premium to the volume-weighted average closing price over the 90 trading days ended February 6, 2025—not necessarily a 35% premium to the previous day’s closing price.

What does going private mean for shareholders?

At closing, the public trading of SolarWinds common stock on the NYSE ended. The disclosed transaction consideration was $18.50 in cash per share. The company’s closing announcement states that shareholders received that amount as part of the completed deal; it does not establish what any individual shareholder ultimately received after personal taxes, brokerage fees, or other account-specific considerations.

Before closing, the company said its board had unanimously approved the transaction. It also said Thoma Bravo and Silver Lake, which together held approximately 65% of outstanding voting securities, approved it by written consent, so no further shareholder approval was required. These details were in SolarWinds’ February 7 governance announcement.

How was the acquisition structured?

The SEC-filed merger agreement describes Starlight Merger Sub, Inc., an affiliate of Turn/River, merging into SolarWinds Corporation. SolarWinds survived the merger as a wholly owned subsidiary of Starlight Parent, LLC, also identified as a Turn/River affiliate. The legal structure is set out in the merger agreement description filed with the SEC.

SolarWinds’ closing filing also disclosed three credit facilities: a $2.225 billion first-lien term facility, a $200 million revolving facility, and a $525 million second-lien term facility. These are facility amounts, not a complete sources-and-uses statement for the acquisition. The disclosure does not establish that the entire revolving facility was drawn. What did SolarWinds say would change after the deal?

In the transaction announcement, SolarWinds described itself as a provider of observability and IT management software and said it expected to continue under the SolarWinds name and brand, with its headquarters remaining in Austin, Texas.

At closing, President and CEO Sudhakar Ramakrishna said: “With this deal from Turn/River, we are in an even better position to help our customers excel at operational resilience—a key focus for us in 2025.” That is management’s stated expectation in the company’s April 16, 2025 closing blog post; it is not independent evidence of later customer outcomes or product improvements.
