SoftBank invested $2 billion in Intel by purchasing 86,956,522 newly issued Intel common shares for $23 each. The companies announced the agreement on August 19, 2025; Intel later reported that the share issuance closed on September 26, 2025. This was a cash-for-shares investment, not a purchase of Intel outright.

When did the deal close?

Intel’s filing says it entered the securities purchase agreement on August 18, 2025. SoftBank and Intel announced the agreement publicly the next day, August 19. The announcement described closing conditions, including applicable waiting periods and required approvals; Intel’s September filing confirms the issuance was completed on September 26, 2025. The distinction matters: the August announcement described an agreed transaction, while the September filing documented its completion.

Why did SoftBank invest in Intel?

The companies framed the investment as a bet on the expansion of advanced semiconductor manufacturing and supply in the United States, with Intel playing a critical role. SoftBank Group Chairman and CEO Masayoshi Son said in the August 19, 2025 joint announcement: “Semiconductors are the foundation of every industry. This strategic investment reflects our belief that advanced semiconductor manufacturing and supply will further expand in the United States, with Intel playing a critical role.”

That is the parties’ stated strategic rationale, not evidence that the investment itself guarantees new factories, additional customer commitments, or a business turnaround. The transaction documents cited here establish the share purchase; they do not establish a separate manufacturing or operating commitment.

What the transaction does—and does not—establish

SoftBank became a shareholder through newly issued Intel shares, and Intel received cash from the sale. The cited filings do not establish SoftBank’s percentage ownership after closing, so a precise ownership figure should not be inferred from the share count alone. Nor do the transaction terms by themselves show how Intel will use the proceeds or what operational results will follow.
