Simple Mining announced on October 7, 2026, that it had acquired an approximately 8-megawatt Bitcoin mining facility in Iowa from Sphere 3D. The buyer says the site can support about 2,200 latest-generation miners and brings its Iowa platform to nearly 160 MW. Those capacity figures are approximate and company-reported; the announcement does not explain how it measures the platform-wide total.
What Simple Mining acquired
The transaction covers rights to the Iowa facility’s containers, transformers and related equipment, according to Sphere 3D’s SEC filing. Simple Mining’s announcement describes the facility as approximately 8 MW and says it supports approximately 2,200 latest-generation miners. The announcement does not identify the miners’ manufacturer or model.

Simple Mining says the acquisition lifts its Iowa footprint to nearly 160 MW. That is a company-reported total, and the announcement does not specify whether it means gross power capacity, critical IT load or another measure. The figures therefore describe the company’s stated scale, not a basis for comparing operating efficiency, uptime or profitability.

When the deal was agreed and what it cost
Sphere 3D’s filing says the parties entered a definitive agreement on September 1, 2026. It lists a $1.5 million purchase price, structured as follows:

- A $1.2 million interest-free promissory note, payable in equal monthly installments from December 1, 2026, through November 1, 2027.
The filing also says Sphere 3D was entitled to the return of approximately $300,000 in utility prepayment and a security deposit of approximately $225,000. Those amounts are described separately from the purchase-price components.
Why the prior operating relationship matters
Simple Mining says it had engineered, developed and operated the site for Sphere 3D under a managed-services arrangement before buying it. The acquisition therefore shifts the facility it says it built and ran into its owned Iowa platform; it is not simply a new site brought online by a first-time operator.

Simple Mining describes its business model as handling miner sales, hosting and repairs in-house. It says customers buy and host miners on its infrastructure and that customers at the acquired site can access its ASIC repair operation and support team. These are company descriptions; the available transaction materials do not provide independent service-quality or customer-outcome data.

The company says the facility adds capacity on infrastructure it owns and operates, with access to its repair operation and support team for customers at the site. COO Nick Garland framed the purchase as a response to demand for more room to grow, saying, “Our customers want more room to grow on infrastructure we own and operate, and this site delivers exactly that.” That statement explains the company’s rationale; it is not independent confirmation of customer demand.

CEO Adam Haynes called the facility “fully energized” and “high-performing” capacity available “from day one.” Those are Haynes’s characterizations. The announcement supplies no independent utilization, performance, profitability or uptime figures to substantiate them.
A separate Sphere 3D fleet transaction
Sphere 3D’s filing also describes a binding term sheet to sell approximately 5,500 legacy mining machines to RepairBit, LLC, for aggregate proceeds of approximately $3.1 million. That is a separate transaction with a different buyer; it is not part of Simple Mining’s Iowa facility purchase.

- The measurement basis behind the nearly 160 MW Iowa platform figure.
