The case involved more than unlicensed futures dealing: the SFC also found that FIMHK reported the suspected breach late and submitted inaccurate information in an application to authorise a new fund.
The sanctioned company was the Hong Kong entity, FIL Investment Management (Hong Kong) Limited—not the separate UK company named FIL Investment Management Limited. The distinction matters when assessing enforcement records and regulatory status.
What the SFC fined FIMHK for
The enforcement action covered three related compliance failures:
- FIMHK carried on Type 2 dealing-in-futures-contracts activity without holding the required Type 2 licence.
- It did not notify the SFC immediately after identifying the suspected licensing breach.
- It submitted an incorrect information checklist with an application for authorisation of a new fund.
The SFC imposed a HK$3.5 million fine and a public reprimand under section 194 of the Securities and Futures Ordinance (SFO). The regulator said the failures called into question FIMHK’s fitness and properness to carry on regulated activities.

The unlicensed futures activity
Between August 2007 and July 2018, FIMHK executed 6,738 futures trades for affiliated overseas entities. Their aggregate value was approximately US$39.7 billion, which the SFC rounded to about US$40 billion in its public summary.
FIMHK did hold other Hong Kong licences. According to the SFC, it had held:

Those permissions did not replace a Type 2 licence. Type 2 specifically covers dealing in futures contracts. FIMHK obtained a Type 2 licence on 30 May 2019, after the period examined by the SFC had ended.
FIMHK argued that exemptions might apply because the orders originated from overseas affiliates and concerned funds or accounts over which it had no investment discretion. It also received fees from affiliates on a cost-plus basis. The SFC concluded that the relevant activities did not qualify for the claimed exemptions and amounted to unlicensed regulated activity in breach of section 114 of the SFO.

The SFC also found breaches of General Principle 2 of its Code of Conduct, which requires diligence, General Principle 7, which concerns compliance, and paragraph 12.1, covering compliance in general.

Why the reporting delay mattered
FIMHK identified the licensing problem during a licensing review conducted between 1 May and 1 June 2018. It notified the SFC on 10 August 2018, after obtaining external legal advice.
The SFC treated the delay as a separate breach of paragraph 12.5(a) of the Code of Conduct. That provision requires a licensed corporation to report a material breach, infringement or non-compliance immediately—or as soon as it suspects one has occurred.
In practical terms, the regulator’s message was that a firm should not wait for every question to be resolved before making an initial report. The SFC said notification should be made as soon as practicable after the issue is identified, rather than after the firm has:
- completed its internal investigation;
- obtained legal advice; or
- implemented remedial measures.
This does not mean a firm must report every minor administrative error instantly. It does mean that a suspected material breach cannot be held back simply because the firm is still establishing the full facts or deciding how to fix the problem.
The incorrect fund-authorisation checklist
In March 2017, FIMHK submitted an information checklist to support an application for authorisation of a new fund. The checklist was based on an outdated SFC template, so information required by the current version was missing or had not been provided.

The disciplinary statement said the footer version date and the effective period on the first page had been amended so that the document appeared to use the latest template. The SFC described the underlying cause as inadvertent human error, rather than deliberate falsification.
However, the checklist included a confirmation that the information and related documents were true and accurate and that no unauthorised changes had been made to the prescribed templates. Because the wrong template had been used and its identifying details altered, that confirmation was incorrect.

The SFC found breaches of:
- General Principle 2 of the Code of Conduct, requiring due skill, care and diligence;
- General Principle 3, concerning capabilities; and
- paragraph 1.2(c) of the Fund Manager Code of Conduct, which requires satisfactory and effective systems and controls to ensure information submitted to the SFC is accurate.
An internal investigation and independent review identified control weaknesses. In particular, there were no formally documented maker/checker controls for certain documents prepared by the legal team and submitted to the regulator. A maker/checker process would require one person to prepare or amend a submission and another suitably qualified person to independently verify the template, figures, dates and certifications before filing.
What the case means for investors
The enforcement action does not, by itself, establish that investors lost money or that the funds involved were improperly managed. The SFC expressly took into account that it found no evidence of client financial loss and no evidence that the conduct was intentional or deliberate.
It does illustrate why a fund manager’s regulatory permissions and compliance controls matter. A firm can hold several relevant licences and still need a separate authorisation for a particular activity. It can also face enforcement action for the way it handles a regulatory issue, even where the underlying error did not cause a reported investment loss.

For an investor checking a Hong Kong fund manager, the useful questions are:
- What is the exact legal entity named in the fund documents?
- Is that entity listed on the SFC’s public register?
- Does its licence cover the activity it actually performs?
- Are regulatory permissions being confused with the fund’s investment strategy or the manager’s brand name?
- Has the fund’s offering document identified the correct manager, distributor and responsible entities?
A historical enforcement notice should also be read in context. The SFC recorded that FIMHK cooperated, engaged an independent reviewer, strengthened its systems and controls, took remedial steps and had an otherwise clean disciplinary record. Those factors mitigated the sanction, but they did not eliminate the breaches.

The SFC’s enforcement release is the primary source for the sanction. Investors should check the SFC’s current public register separately rather than relying on a licence condition or status recorded in a 2019 document.

What was the main licensing breach?
FIMHK carried on Type 2 dealing-in-futures-contracts activity without a Type 2 licence between August 2007 and July 2018. It held other licences, including Type 5 and Type 9, but those did not authorise the relevant dealing activity.
Did the SFC find intentional misconduct or investor losses?
No. The SFC said it found no evidence that the failures were intentional or deliberate and no evidence that clients suffered financial loss.
Why was the late report a separate breach?
FIMHK identified the licensing issue during a review but reported it to the SFC only after obtaining external legal advice. The SFC said a material suspected breach should be reported as soon as practicable, without waiting for the investigation, legal advice or remediation to finish.
What was wrong with the fund application?
FIMHK used an outdated SFC information checklist. The document’s version details had been amended to appear current, and the accompanying confirmation of accuracy was therefore incorrect. FIMHK’s HK$3.5 million sanction was not solely for unlicensed trading. The SFC also penalised the delayed notification of the suspected breach and the submission of an inaccurate fund-authorisation checklist. For investors, the central lesson is precise rather than dramatic: a manager’s existing licences may not cover every regulated activity, and weak controls around regulatory filings can become an enforcement issue even when there is no reported client loss.
