ServiceNow completed its acquisition of Veza on March 2, 2026, for approximately $1.2 billion, substantially in cash. The deal expands ServiceNow beyond security workflows into identity-security intelligence: understanding which human, machine, cloud, application, service-account, and AI-agent identities can access specific systems, data, and applications.
ServiceNow announced its intent to buy Veza on December 2, 2025. It now presents Veza as part of its broader Autonomous Security & Risk strategy. For customers and investors, the important question is no longer whether the transaction will happen, but whether ServiceNow can turn Veza’s access intelligence into widely adopted, enforceable security products.

The deal in brief
| Milestone | What happened |
|---|---|
| December 2, 2025 | ServiceNow announced its intent to acquire Veza. |
| March 2, 2026 | The acquisition closed. |
| May 5, 2026 | ServiceNow positioned Veza within Autonomous Security & Risk alongside Armis and its AI Platform. |
ServiceNow reported consideration of approximately $1.2 billion, substantially in cash. Its purchase-accounting disclosure included approximately $356 million in identifiable intangible assets and $826 million in goodwill. The goodwill was primarily attributed to expected combination synergies; it is not an independently reported valuation of Veza’s standalone business. The figures come from ServiceNow’s financial filing.

What Veza adds
Veza’s central technology is an Access Graph: a relationship map connecting identities, groups, roles, credentials, applications, data stores, cloud resources, entitlements, policies, and access paths.
In practical terms, the technology is intended to answer questions that a basic login system cannot, such as:
- Which identities can reach a sensitive database?
- Is access direct, inherited through a group, or granted through a chained application relationship?
- Does a service account have more privilege than its workload requires?
- Can an AI agent use a workload identity to access systems outside its stated purpose?
- Which permissions should be reviewed, reduced, or revoked?
At the time of the announcement, Veza had nearly 150 global enterprise customers and 230 employees. ServiceNow described the platform as providing visibility, intelligence, monitoring, access reviews, access requests, governance workflows, and least-privilege support across human and non-human identities.
How this differs from traditional identity products
| Technology | Primary question |
|---|---|
| IAM | Who is the identity, and can it authenticate? |
| IGA | Should access be granted, retained, certified, or removed? |
| PAM | How should privileged access and sessions be controlled? |
| Identity-security posture management | Where are excessive, risky, or misconfigured permissions? |
| Access intelligence | What can each identity reach, through which permission path, and what action should follow? |
Veza should not be treated as a replacement for every directory, single sign-on, MFA, IGA, or PAM product. Its strategic role is complementary: making entitlement relationships easier to analyze and connect to security and business workflows.

Why ServiceNow wants identity security
AI agents create a larger identity problem
Enterprise AI agents need identities, credentials, tools, and permissions. Unlike a human employee, an agent may operate continuously, act at machine speed, and move across multiple applications. Organizations also need to establish who owns an agent, what business purpose justifies its access, and what happens when its model, tools, or instructions change.
ServiceNow says its AI Control Tower is intended to inventory agents, risk-score them continuously, enforce least privilege, and connect identity and asset context to governed workflows. Those are ServiceNow’s stated product ambitions, not proof of universal coverage across every agent framework, runtime, cloud, or in-flight action.
Identity context can make security findings actionable
A vulnerability or incident is more useful when a security team can also determine:
- Which human, machine, or AI identity can reach the affected resource.
- What permissions are attached to that identity.
- Whether the access is legitimate and business-approved.
- Which owner should review it.
- Whether a workflow can reduce or revoke the access.
ServiceNow said Veza would add identity context to products including Vulnerability Response, Incident Response, and Integrated Risk Management. The intended sequence is to discover access, assess risk, route an approval or remediation workflow, change the target system, and preserve evidence for audit.

- Match-in-Sensor Advanced Fingerprint Technology: Combines excellent biometric performance and 360° readability with anti-spoofing technology. Exceeds industry standards for false rejection rate (FRR 2%) and false acceptance rate (FAR 0.001%). Fingerprint data is isolated and secured in the sensor, so only an encrypted match is transferred.
- Designed for Windows Hello and Windows Hello for Business (Windows 10 and Windows 11): Login on your Windows using Microsoft's built-in login feature with just your fingerprint, no need to remember usernames and passwords; can be used with up to 10 different fingerprints. NOT compatible with MacOS and ChromeOS.
- Designed to Support Passkey Access with Tap and Go CTAP2 protocol: Supports users and businesses in their journey to a passwordless experience. Passkeys are supported by >90% of devices, with a wide range supported across different operating systems and platforms.
- Compatible with Popular Password Managers: Supports popular tools, like Dashlane, LastPass (Premium), Keeper (Premium) and Roboform, through Tap and Go CTAP2 protocol to authenticate and automatically fill in usernames and passwords for websites.
- Great for Enterprise Deployments: Enables the latest web standards approved by the World Wide Web Consortium (W3C). Authenticates without storing passwords on servers, and secures the fingerprint data it collects, allowing it to support a company’s cybersecurity measures consistent with (but not limited to) such privacy laws as GDPR, BIPA, and CCPA.
The caveat is important: visibility does not automatically equal enforcement. Actual changes depend on connectors, target-system APIs, permissions, integration coverage, customer policy, and the quality of the underlying identity data.
How Veza fits ServiceNow’s security strategy
The clearest current framing is Autonomous Security & Risk:
- Veza: identity, entitlement, and permission intelligence.
- Armis: asset intelligence across IT, OT, IoT, code, and connected devices.
- ServiceNow AI Platform: context, governance, orchestration, and auditability.
- Security Operations: incident and vulnerability workflows.
- Risk and compliance: business-risk mapping, controls, and reporting.
ServiceNow says the combined strategy is intended to govern every AI agent, identity, and connected asset. The broader deal logic is therefore platform consolidation: ServiceNow wants security teams to connect identity findings, asset context, risk decisions, remediation, and audit records in one operating model.
This may be especially attractive to organizations already using ServiceNow Security Operations, GRC, CMDB, or workflow automation. It may be less compelling for a company seeking only a focused identity-governance deployment or one that does not already use the ServiceNow platform.

What customers may gain—and what they should not assume
Potential benefits
- Identity context embedded in security incidents and vulnerability records.
- Fewer manual handoffs among IAM, security operations, and GRC teams.
- More consistent access-review and remediation workflows.
- A unified audit trail connecting discovery, approval, action, and evidence.
- Less point-tool fragmentation for ServiceNow-centric enterprises.
- Better visibility into non-human identities and AI-agent permissions.
Important limitations
- The acquisition does not prove that ServiceNow replaces Microsoft Entra, Okta, SailPoint, Saviynt, CyberArk, or existing directories.
- Universal connector coverage has not been established.
- Automatic revocation is not guaranteed for every target system.
- ServiceNow has said integration is phased, so announced capabilities should not automatically be treated as generally available or contractually included.
- Public materials reviewed do not provide a definitive Veza-specific price or permanent post-acquisition SKU structure.
- A graph can reveal excessive access, but it cannot by itself resolve ownership, business purpose, or accountability for an AI agent.
ServiceNow’s identity-control-plane explanation describes the integration direction, but detailed product packaging, feature parity, end-of-life plans, and general-availability dates for every capability remain important buyer questions.
What the acquisition means for enterprise buyers
Existing ServiceNow customers should ask whether Veza capabilities are included in their current contracts, sold as a separate module, or tied to Security Operations, AI Control Tower, or another bundle. They should also clarify whether pricing is based on users, workloads, applications, entitlements, connectors, data volume, or platform commitments.
IAM and security leaders may need to revisit organizational ownership. A successful deployment raises questions that technology alone cannot answer:
The Tool Desk
Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →- Who owns identity-risk remediation?
- Who approves machine and AI-agent access?
- Does the IAM team or security operations team initiate revocation?
- How are application and data owners involved in access reviews?
- How are identity findings prioritized against asset and vulnerability findings?
Partners and implementation firms may see demand for connector development, identity-data normalization, access-review redesign, AI-agent governance, and integration with HR, directory, cloud, SaaS, data, and PAM systems. The counter-risk is that ServiceNow’s absorption of Veza could reduce demand for independent Veza implementation work.
Best Value
- Windows Hello for Windows 10/11 - Only works with Windows Hello on Windows 10/11 PCs and laptops. Plug the USB fingerprint reader into your computer and sign in with one touch. Not compatible with Mac, macOS, Linux or Chrome OS.
- Plug-and-Play Fingerprint Login - No extra app is needed on most genuine Windows systems. Insert the USB fingerprint scanner, set up fingerprint sign-in through Windows Hello, and unlock your PC without typing long passwords every time.
- Fast 0.5s 360° Recognition - Capacitive fingerprint technology supports quick authentication in about 0.5 seconds. 360° touch recognition helps read your fingerprint from different angles for faster, smoother daily login.
- Compact Scanner for PC & Laptop + Multi-User Support - Small, lightweight USB design works well for desktops, laptops, office PCs and shared home computers without built-in fingerprint sensors. Supports multiple Windows accounts and up to 10 fingerprints per user account. Smart-ID security helps protect saved passwords and encrypted folders with fingerprint access.
- Important Notes — Please Read Before Purchase - Support for Win10/11 32/64 bit original system. Not fit for the streamlined version. The Lite version has trimmed the biometric component, the fingerprint login device will not be able to recognize the Hello fingerprint option. It merely supports Windows Hello, does not fit for encrypting USB drives/files, and can merely support Windows system. It is recommended to prioritize plugging into the USB 2.0 interface of the motherboard. USB 3.0 docking stations are prone to power supply/interference and unstable recognition.
Buyer’s evaluation checklist
- Identity coverage: Confirm support for employees, contractors, applications, service accounts, cloud workloads, machine identities, and AI agents.
- Permission depth: Determine whether the product shows resource-level entitlements and inherited paths, not just account-level access.
- Connector breadth: Request a list covering identity providers, SaaS, cloud platforms, databases, data stores, infrastructure, and custom applications.
- Remediation: Test whether the system can revoke or reduce access, or only report it and route a ticket.
- Data freshness: Ask how quickly identity and permission changes appear in the graph.
- Agent governance: Verify inventory, ownership, least-privilege controls, monitoring, and audit trails for AI agents.
- ServiceNow dependency: Model the value with and without existing ServiceNow licenses and workflows.
- Deployment effort: Budget for normalization, connector tuning, entitlement cleanup, policy design, and implementation services.
- Commercial terms: Clarify modules, metrics, connector charges, retention, audit costs, minimum commitments, and renewal terms.
- Portability: Ask whether identity and entitlement data can be exported if the organization later changes platforms.
How ServiceNow/Veza compares with alternatives
| Option | Likely fit | Key distinction |
|---|---|---|
| Saviynt | Broad IGA, access governance, posture management, PAM, non-human identities, and AI-agent governance. | Identity-security platform first; public tiers exist, but prices are not displayed. See packages. |
| Microsoft Entra | Microsoft-heavy environments using Azure, Microsoft 365, and Entra. | Microsoft lists Workload ID at $3 per workload identity per month with an annual commitment; that is not the total cost of enterprise governance. See pricing. |
| Okta Workforce Identity | Workforce SSO, MFA, lifecycle management, governance, privileged access, and workflows. | Okta lists Starter at $6, Core Essentials at $14, and Essentials at $17 per user per month; higher plans are quote-based. These figures are not directly comparable with broader entitlement platforms. See pricing. |
| SailPoint | Mature IGA, lifecycle governance, certifications, roles, compliance, and provisioning. | Potentially stronger where deep IGA is the priority; enterprise pricing is quote-based. |
| CyberArk | PAM, secrets, vaulting, privileged sessions, and high-risk credentials. | A PAM-first platform that may complement rather than replace broad IGA and access intelligence. |
ServiceNow/Veza’s strongest differentiation is not necessarily identity administration itself. It is the proposed connection between access intelligence and ServiceNow’s security, risk, workflow, and audit machinery.
Investor and market significance
The $1.2 billion price signals that ServiceNow views identity and non-human access as strategically important parts of enterprise security. The investment also reflects a platform thesis: as AI agents proliferate, organizations may need a control layer that connects identities, permissions, assets, risks, and business processes.
For ServiceNow, the opportunity is recurring platform expansion among existing customers and a stronger position in security operations and AI governance. The risks include integration execution, commercial complexity, competition from identity specialists and hyperscalers, and the possibility that customers buy visibility without automating remediation.
For the market, the acquisition may encourage more convergence between IAM, security operations, GRC, asset management, and AI governance. It does not, however, eliminate the need for specialized identity providers, directories, PAM systems, or cloud-native controls.
