Sanmina’s October 5, 1999 purchase of Devtek Electronic Packaging Systems (DEPS) was a roughly $26.5 million acquisition of an enclosure and electromechanical operation—not a merger of two public companies. The deal was small beside the industry combinations that followed, but it showed why contract manufacturers were moving beyond circuit boards into metal fabrication, integration and complete systems. SCI Systems announced its own enclosure acquisition later that month. That sequence supports the 1999 headline’s prediction of more consolidation; it does not prove Sanmina caused it.
What Sanmina acquired
Sanmina acquired the Electronic Packaging Systems division of Devtek Electronics Enclosure Inc. on October 5, 1999. The transaction was an acquisition of a division’s assets and liabilities, not a conventional public-company merger. Contemporary reports put the price at approximately $26.5 million, including assumed debt. DEPS had about $45 million in annual sales, according to reporting at the time. EE Times’ account of the deal and EDN’s coverage describe an operation with manufacturing facilities in Toronto and integration, assembly and distribution operations in Raleigh, North Carolina.
DEPS made engineered electronic enclosures and electromechanical assemblies for communications and aerospace applications. Its work extended well beyond basic sheet-metal fabrication: capabilities included enclosure design, electrical and electronic assembly, systems integration and testing, CNC machining, punching, forming and metal joining. The business was therefore a way for Sanmina to add a mechanical and systems layer to its manufacturing offer.
The customer relationship with Nortel made the deal especially notable. DEPS was a primary enclosure supplier to Nortel’s wireless electromechanical subsystem operations, which accounted for about 70% of DEPS revenue. Sanmina had recently taken on related Nortel outsourcing work. That connection made the acquisition strategically relevant to an existing program, although the available accounts do not establish that retaining Nortel business was Sanmina’s sole or dominant motive.

What the deal’s numbers say—and do not say

The approximate ratio is $26.5 million divided by $45 million. It should not be treated as a clean valuation benchmark: the price included assumed debt, the cited reporting does not provide DEPS profitability, and the two approximate figures may not be directly comparable. The customer concentration also cuts both ways. A large Nortel program could make the business valuable to Sanmina, while dependence on one customer exposed the operation to that customer’s purchasing decisions.
Why enclosure capability mattered to contract manufacturers
An electronics product is not just a populated circuit board. Communications and networking equipment also needs a physical enclosure, mechanical design, thermal and electrical coordination, assembly, testing and delivery as a functioning subsystem. When an EMS provider can coordinate those steps, an OEM may have fewer supplier handoffs and a clearer party accountable for integration and quality.

The customer case
- Fewer separate vendors can simplify coordination among electronics, mechanical design, thermal requirements and final assembly.
- Combining fabrication with electronics production can help align components and enclosure requirements earlier in a program.
- A supplier that integrates and tests a subsystem can take responsibility for more of the finished product than a board assembler alone.
The EMS provider’s case
- Enclosures add revenue and potential cross-selling around existing electronics programs.
- Broader manufacturing responsibility can make the supplier more important to a customer and support system-level work.
- Mechanical fabrication, assembly and testing can help an EMS company compete for programs requiring a complete manufacturing package.
Those benefits are not automatic. Enclosure production can require specialized equipment, facilities, tooling and skilled labor. It also brings exposure to metal, plastics and labor costs, local logistics, customer-specific designs and inventory. Customized, lower-volume mechanical work may not scale like high-volume electronics assembly. Acquiring the capability was a vertical-integration bet, not proof that enclosures were inherently more profitable.
SCI moved into enclosures soon afterward
Later in October 1999, SCI Systems announced a planned acquisition of TAG Manufacturing; SCI completed the deal in December. TAG made enclosures for servers, workstations, communications equipment and medical products. Contemporary coverage said the acquisition was expected to add less than $60 million to SCI’s revenue and described the move as part of a broader expansion into electromechanical manufacturing and assembly. EDN reported the announcement, and its follow-up covered the completion.

The timing makes the two deals evidence of a wider strategic pattern: major contract manufacturers were adding mechanical and electromechanical capabilities alongside electronics production. It does not show that SCI copied Sanmina or that Sanmina’s acquisition caused SCI’s decision. Flextronics was also expanding enclosure-related capabilities through moves involving communications enclosures, plastic injection molding and sheet-metal fabrication, as EE Times reported. These companies were assembling broader service portfolios, but the evidence does not establish that each had identical motives.
Sanmina kept building enclosure and systems capabilities
DEPS was followed by other Sanmina enclosure-related transactions. In March 2000, Sanmina acquired Alcatel’s North Carolina electronic-enclosure systems facility for approximately $23.8 million, alongside a three-year manufacturing-service contract. A later SEC filing describes the transaction and contract. In October 2001, Sanmina-SCI acquired assets and operations of Electro Mechanical Solutions, an enclosure manufacturer, for a reported net cash purchase price of approximately $91.4 million. The same filing later counted 18 enclosure assembly facilities among Sanmina’s global manufacturing sites in 2002. The sequence shows that enclosure manufacturing remained part of Sanmina’s expansion rather than being a one-off addition. It does not, by itself, establish the financial return on those acquisitions: the cited filings do not supply a standalone profitability measure for the acquired enclosure operations.

In 2001, Sanmina and SCI agreed to merge. The transaction joined two major electronics manufacturing services businesses; it was not an enclosure-specific merger. Their stated rationale included greater scale, broader customer coverage and a more complete end-to-end manufacturing offer. The merger materials cited Sanmina’s vertical integration across printed circuit board fabrication, backplanes, enclosures, cables, components and subsystems. The merger filing presents enclosures as one part of a much wider capability portfolio.

That distinction matters when judging the 1999 headline. Enclosure and electromechanical capabilities contributed to the logic of broadening an EMS provider’s offer, but the subsequent Sanmina-SCI merger reflected a much larger consolidation strategy. A small division acquisition can illustrate a direction of travel without being the direct cause of a later merger.
Was the prediction right?
- Right about strategic direction: major EMS companies added enclosure, mechanical and electromechanical capabilities as they pursued more integrated manufacturing work.
- Right that consolidation followed: SCI’s TAG acquisition came quickly, Sanmina continued its own expansion, and Sanmina and SCI later combined.
- Not proven as a causal claim: the sequence does not establish that Sanmina’s DEPS purchase triggered SCI’s move or the broader consolidation.
The most defensible reading is that the DEPS acquisition was an early, visible sign—and perhaps part of the momentum—behind an industry strategy already taking shape. The record supports the broader trend more strongly than a chain reaction set off by one deal.
How the historical deal relates to Sanmina today
Sanmina’s later expansion has moved into different markets and capabilities. It completed its acquisition of AMD’s ZT Systems data-center infrastructure manufacturing business on October 27, 2025; Sanmina’s 2026 proxy characterized the transaction as transformational and said it expanded the company’s participation in cloud and AI infrastructure. Sanmina’s completion announcement and its 2026 proxy describe that transaction.
Separately, Woodland Plastics’ assets became part of Sanmina effective January 1, 2026, adding thermoset injection molding and compression-molding capabilities, according to Woodland Plastics’ announcement. These are not continuations of the same telecom-enclosure market. They are more recent examples of capability expansion in distinct areas, and should not be conflated with the 1999 DEPS purchase.
