Those percentages compare the reported offer value with two specific historical benchmarks; they are not a promise that RXO shares will trade at either premium after the announcement.

Why RXO shares rose
Investing.com reported that RXO shares were up more than 18.5% in pre-market trading on Monday, October 5, 2026, following news of the deal. That is a pre-market observation, not the regular-session closing price. A sharp move after an acquisition announcement can reflect investors repricing shares around the proposed consideration and the perceived likelihood of completion; it does not establish the final value shareholders will receive.
Why C.H. Robinson says the combination makes sense
The companies’ stated rationale is that their transportation networks and services complement one another. The announcement described combining trucking brokerage and managed transportation with C.H. Robinson’s global forwarding capabilities and RXO’s expedited and last-mile services. Management presented a larger network and broader customer offering as intended benefits; those are strategic objectives, not evidence that operating synergies have already been achieved.

RXO’s investor-relations overview describes the company as the third-largest North American freight broker, with 6% market share and a $750 billion total addressable-market opportunity. Those are RXO’s own company-provided figures, not independent validation of the deal’s rationale or a forecast of future results.
What the combined company could look like
The announcement reportedly projected that RXO shareholders would own about 11% of the combined company and that the combined company would have enterprise value above $25 billion. Both are transaction estimates contingent on the deal closing; the companies have not yet become a combined business based on the information reported here.

Has the acquisition closed, and when might it close?
The October 5 reports described a definitive agreement, but the available reporting did not establish a closing date or specify the regulatory and shareholder approvals, financing arrangements, termination provisions, or other conditions. A definitive agreement is not the same as a completed acquisition. Until the companies complete the transaction, RXO shareholders continue to hold RXO shares rather than the reported cash-and-stock consideration.
The available same-day reports relay the companies’ announcement, but no transaction-specific SEC filing or directly hosted company release was surfaced with those reports. The terms, conditions, and status should therefore be checked against the definitive merger agreement, any transaction proxy or prospectus, and subsequent company or SEC updates before treating the proposed terms as final or the acquisition as complete.
