Rover has completed its acquisition of Mad Paws, the Australia-based pet-care marketplace. The transaction became effective on November 3, 2025, after Mad Paws shareholders and the Supreme Court of New South Wales approved the scheme. Rover acquired all issued Mad Paws shares for A$0.14 per share in cash. The deal covered the marketplace—not Mad Paws’ former e-commerce businesses, Pet Chemist, Sash and Waggly.
Did Rover buy Mad Paws?
Yes. Rover announced on November 11, 2025, that it had completed the acquisition. Under the scheme of arrangement, 100% of Mad Paws’ issued shares transferred to Rover. The scheme took effect on November 3 after shareholder approval and approval by the Supreme Court of New South Wales. Mad Paws shareholders received A$0.14 in cash for each share they held at the scheme record date. Rover’s completion announcement confirms the outcome.
How much did Rover pay?
The completed scheme paid Mad Paws shareholders A$0.14 per share in cash. Before completion, Mad Paws described the proposed deal as having an implied fully diluted equity value of approximately A$62 million. That announced valuation included approximately A$13 million in expected proceeds from the separate Pet Chemist sale and was subject to net-debt, working-capital and other purchase-price adjustments. The A$62 million figure is therefore the announced valuation basis, not a separate cash payment to shareholders or a standalone price for the marketplace. What did Rover acquire?
Rover acquired the Mad Paws online pet-care marketplace, which connects pet owners with providers for sitting, walking, daycare and grooming bookings. The deal did not include Mad Paws’ Pet Chemist, Sash or Waggly e-commerce operations.

Mad Paws’ July 2025 announcement said it had separately agreed to sell Pet Chemist to VetPartners Australia for approximately A$13 million in cash consideration, subject to adjustments, and to close Sash and Waggly. Its FY2025 annual report says the Pet Chemist divestment completed on August 29, 2025, and that Sash and Waggly operations had ceased, with closure and deregistration processes underway at the report date. Mad Paws’ FY2025 annual report describes those pre-completion changes.
What happens to Mad Paws after the acquisition?
Rover’s completion announcement said Mad Paws was intended to continue as its own brand, based in Sydney and led by co-founder Justus Hammer. That was Rover’s stated plan at closing; the announcement does not independently verify the brands’ current operating arrangements. The acquisition announcement described Mad Paws as serving Australian pet owners through its care-booking marketplace.

Rover reported more than 300,000 active pet parents, 70,000 registered providers and more than 400,000 transactions in 2024. These are company-reported figures in Rover’s 2025 announcement, not independently audited market statistics. Rover’s announcement also describes the services available through the platform.

The acquisition gives Rover an established marketplace presence in Australia while keeping Mad Paws’ brand, according to Rover’s stated plan at completion. Rover CEO Brent Turner said the deal would allow the company “to see and serve the unique needs of pets in a new continent.” The July announcement framed the transaction as part of Rover’s international growth, but the available deal announcements do not establish what financial contribution the acquisition will make or how the businesses will be integrated over time. Rover’s July 2025 announcement outlined its rationale when the parties agreed to the transaction.
