Robinhood had announced the deal in June 2024 with expected cash consideration of about $200 million; its later SEC filing records an acquisition-date fair value of approximately $224 million after customary purchase-price adjustments. Robinhood said it wanted to expand internationally and build its institutional crypto business.
What happened in the Robinhood–Bitstamp deal?
Robinhood announced on June 6, 2024, that it had agreed to acquire Bitstamp Ltd., a cryptocurrency exchange serving retail and institutional customers. The companies expected the transaction to close in the first half of 2025, subject to customary closing conditions, including regulatory approvals. Robinhood announced that the acquisition was complete on June 2, 2025, and its SEC filing says it acquired all outstanding Bitstamp equity on that date. Robinhood’s closing announcement and SEC filing confirm the completion.
How much did Robinhood pay?
The two reported amounts describe different stages of the transaction, not a contradiction:

The first number was the announced estimate when the agreement was signed. The second is the later recorded value at closing, after adjustments.

Why did Robinhood buy Bitstamp?
Robinhood presented the acquisition as a way to speed up its international crypto expansion and add institutional customers and capabilities. Bitstamp served retail and institutional customers across the EU, UK, US, and Asia, giving Robinhood access to a broader exchange footprint. Robinhood Crypto general manager Johann Kerbrat said the combination would better position Robinhood to expand outside the US and welcome institutional customers. Robinhood’s announcement described this as the company’s strategic rationale.
What Bitstamp adds—and what the deal does not establish
The acquisition brought an established exchange with retail and institutional customers into Robinhood’s business. That supports the company’s stated ambitions to expand internationally and grow its institutional business, but it does not by itself show that every Robinhood or Bitstamp crypto service is available in every region Bitstamp serves.
