The phrase “irrational in the extreme” comes from Rivian’s complaint—not a court ruling. The case raises a practical question for Ohio buyers: whether they can complete a Rivian purchase in the state or must use an out-of-state sales process.
What Rivian is challenging
Rivian, LLC filed Rivian, LLC v. Norman in the U.S. District Court for the Southern District of Ohio against Charles L. Norman, the Ohio Bureau of Motor Vehicles’ Registrar, in his official capacity. The complaint seeks declaratory and injunctive relief. Read the August 4, 2025 complaint.
Rivian’s complaint quotes Ohio Revised Code 4517.12(A)(11) as requiring the denial of a dealer-license application from a manufacturer—or its parent, subsidiary, or affiliated entity—seeking to sell or lease new or used vehicles at retail. Rivian says a separate provision enacted at the same time allowed Tesla to continue operating certain dealerships and add another, but that the Tesla-specific provision does not cover Rivian. This is the complaint’s description of the law and its application.
Why Rivian says the restriction is unfair
Rivian describes itself as a direct-sales-only automaker: it sells through its website and company-operated locations, not through independent franchise dealers. It says it has no intention of entering a franchise agreement, so requiring sales through an independent dealer effectively prevents it from selling vehicles in Ohio.

The company argues that applying the restriction to its business violates the U.S. Constitution’s Due Process and Equal Protection Clauses. It claims Ohio has no rational basis for treating a dealer-licensed company entity differently from independent franchised dealers and says the law protects incumbent dealers at the expense of competition and consumer choice. These are allegations in Rivian’s complaint, not findings by the court.
Rivian’s complaint states: “To the contrary, Ohio’s prohibition of Rivian’s direct-sales-only business model is irrational in the extreme: it reduces competition, decreases consumer choice, and drives up consumer costs and inconvenience—all of which harm consumers—with literally no countervailing benefit.” The quoted words are the company’s advocacy in its filing; the complaint offers no quantified consumer-cost or competition finding in support of those claims.

What the complaint says Ohio buyers could do
Rivian says Ohio residents could order vehicles through its out-of-state, dealer-licensed locations. Under the process described in the August 2025 complaint, vehicles were typically delivered to an Ohio Rivian service center or, where available, directly to the customer’s home. The customer then paid taxes and registered the vehicle in Ohio. That is a historical description in the pleading, not confirmation of current availability or procedure.
The company also says Ohio permitted it to perform warranty service and other repairs, rent vehicles, and deliver vehicles purchased through an out-of-state Rivian-licensed location, while preventing it from completing a sale in Ohio. Rivian stated in its complaint that it had three service centers in the state; that figure reflects the company’s statement when it filed, not a current count.

How the Rivian–Tesla distinction is framed
The distinction described in the complaint is a statutory one: Rivian says Ohio’s general licensing restriction bars a manufacturer-affiliated entity like its own from obtaining the relevant dealer license, while another provision gave Tesla a specific allowance. The filing argues that this different treatment is unconstitutional as applied to Rivian. It does not establish that the court has accepted that argument or determine the full present-day scope of either company’s legal permissions.
For Ohio buyers, the dispute concerns where a sale can be completed, not simply whether a vehicle may be delivered into the state. Rivian’s account is that buyers could order through an out-of-state licensed location and receive delivery in Ohio, even though the company could not complete the sale there. The complaint is not a guide to current purchasing options.
