Private Placement vs Rights Issue: How Companies Raise Equity and What Shareholders Should Compare

Private placements target selected investors, while rights issues give eligible existing shareholders a proportional opportunity to buy new shares. Compare price, dilution, security rights, disclosure, deadlines and resale restrictions using the issuer’s current documents and local rules.

Private placements sell new securities to selected or pre-arranged investors; rights issues first give existing shareholders an opportunity to buy new shares, usually in proportion to their holdings. The choice affects who can invest, how ownership and voting power may change, what information is available, and how easily the securities can be sold. The exact rules depend on the issuer’s country, listing venue, constitutional documents, share class and offer terms.

Use the company’s current offer document and the applicable local rules rather than assuming that a structure, deadline or resale restriction works the same way in every market. The U.S. Securities and Exchange Commission (SEC), Nigeria’s SEC, India’s SEBI and Taiwan’s stock-exchange rules illustrate the differences, not a single global standard.

Private placement and rights issue at a glance

Point of comparison Private placement Rights issue
Who is invited first? Selected or pre-arranged investors chosen by the issuer. Existing shareholders who qualify on the record date, generally in proportion to their holdings.
Allocation Specified placees receive the number and class of securities set out in the terms. Each eligible holder receives an entitlement; the document explains whether extra shares can be requested.
Ownership effect Depends on the number and class issued and the identity and rights of the placees. A holder can generally preserve their percentage by taking up enough of the entitlement, but participation is required.
Information Disclosure can be less comprehensive than in a registered public offering. U.S. Regulation D is one example. The offer document should state the ratio, price, timetable, use of proceeds and procedures, subject to local law.
Liquidity U.S. private-placement securities are often restricted and highly illiquid; other jurisdictions and instruments can differ. Tradability of the new shares and any rights depends on the market rules and the specific terms.
Key documents to check Subscription or placement agreement, resolutions, pricing explanation, restrictions and any exemption filing. Record date, entitlement ratio, subscription form, payment method, renunciation or transfer rules, and treatment of unexercised rights.

These labels describe broad transaction methods, not a universal legal classification. A company can combine features, and a placement may involve several security classes or conversion rights.

How a private placement works

Invitation to selected investors

The issuer approaches named investors rather than making the same offer to all shareholders. Nigeria’s SEC describes a private placement as a special offer in which securities are sold to “specific or pre-arranged buyer(s).” The buyers might be existing investors, strategic investors, employees, funds or other parties allowed by the relevant rules; it is not safe to assume that every placement is limited to institutions.

Exemption does not mean approval

In the United States, a company may rely on an exemption from SEC registration, including Regulation D. The SEC’s Investor.gov bulletin stresses that an exemption from registration does not mean the SEC approved the investment. Other countries use different exemptions, approvals and disclosure regimes, so identify the legal basis stated in the offer documents.

Terms are negotiated and security-specific

Read the number of securities, class, voting rights, conversion or redemption features, price, investor eligibility and closing conditions. A placement of ordinary shares has a different effect from a placement of preferred shares, convertible notes or warrants. The placees’ identity can also matter if they obtain voting influence, board rights or a strategic stake.

How a rights issue works

Existing holders receive an entitlement

A rights issue starts with shareholders who hold shares on the stated record date. The entitlement is commonly expressed as a ratio. Nigeria’s SEC gives a 1-for-2 example: a holder of 100 shares has the opportunity to buy 50 more, usually at a price below the market price. That example explains the arithmetic; it does not establish that every rights issue is discounted or uses the same ratio.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Subscription, excess applications and shortfalls

The offer document should state whether a holder may apply for more than the basic entitlement, how excess applications are allocated, and whether the issuer may place unsubscribed shares elsewhere. Some offers are fully underwritten; others are not. Those details determine whether the company raises the targeted amount and whether a shareholder can increase, maintain or reduce their relative stake.

Rights can have their own trading or transfer rules

Some markets list or permit renunciation of rights; others restrict transfer or provide no trading facility. Check the document for the procedure, cut-off time, fees and treatment of rights that are not exercised. Never assume that a right can be sold simply because the underlying share is listed.

What shareholders should compare

1. Eligibility and allocation

Start with the record date and the definition of an eligible holder. For a private placement, determine whether you are an invited placee or whether the law and company resolutions allow existing holders to participate. For a rights issue, calculate the basic entitlement and then read the rules for additional applications, oversubscription and allocation of any shortfall.

2. Price and the basis for setting it

Compare the subscription or placement price with the relevant market price on a clearly identified date. A simple reference calculation is:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

discount percentage = (reference market price − issue price) ÷ reference market price × 100

Use the reference price and averaging period specified by the issuer or local rule; a volatile share price can make an intraday comparison misleading. Then read why the price was selected, including any valuation, independent report, board rationale or regulatory formula. A lower price is not automatically better if the security has weaker voting rights, conversion terms, resale limits or a high probability of dilution from later issues.

3. Dilution and control

If new shares are issued, a holder who does not acquire a proportional number may own a smaller percentage of the company. Compare the pre-issue share count, the number of new securities, the class, voting rights and any conversion features. A rights issue gives qualifying holders a route to maintain their percentage by subscribing. A private placement allocates securities to chosen placees, so the control impact depends on who receives them and what rights they obtain.

4. Disclosure and ability to assess the investment

The U.S. SEC warns that private placements may not provide the comprehensive disclosure associated with registered offerings. Investor.gov advises reviewing the issuer’s financial condition, management, use of proceeds, risks and the terms of the security. An exemption filing or regulator’s procedural review is not an endorsement of the investment. A rights issue also requires careful reading: the document may disclose the purpose of the funds, but it does not remove the company-specific business and execution risks.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

5. Liquidity and resale restrictions

The SEC describes U.S. private-placement investments as highly illiquid and says securities are often restricted, potentially making resale difficult or requiring an indefinite holding period. Confirm the actual legend, holding period, resale exemption, transfer approval and any market quotation. Do not generalize that every private placement is permanently locked up, and do not assume that a rights issue produces immediately tradable shares before the exchange’s admission and settlement steps are complete.

6. Deadlines, payment and unexercised entitlements

Record the opening date, closing date, payment method, settlement date and the time zone used for electronic instructions. Check what happens if payment is late, incomplete or rejected. The document should explain whether unexercised rights lapse, are offered to other investors, are sold by a nominee or generate no compensation. A right that expires can create dilution even when the headline price appears attractive.

7. Approvals and related-party issues

Find the shareholder, board, exchange or regulator approvals required for the transaction. A placement to a director, controlling shareholder or related party can trigger additional voting or pricing rules. A rights issue may require approval of the capital increase, listing of the new shares or an underwriting arrangement. The applicable rule is the one governing the issuer and security, not a rule copied from another country.

How to calculate your possible dilution

Rights-issue example

Assume a company has 1,000 shares outstanding and you own 100, or 10 percent. Under a 1-for-2 rights issue, the company offers 500 new shares. Your basic entitlement is 50.

  • If you subscribe: you hold 150 shares after the issue and the company has 1,500 shares, so your percentage remains 10 percent.
  • If you do not subscribe: you still hold 100 shares, but the company has 1,500, so your percentage falls to 6.67 percent.
  • If you subscribe for fewer than 50: your percentage falls somewhere between those outcomes, subject to the final allotment.
  • If you subscribe for more: your percentage could rise, but only if excess shares are available and allocated to you.

The calculation assumes ordinary shares with identical voting rights and no other changes to the capital structure. Use the actual cap table when the issue includes multiple classes, options, convertibles or treasury shares.

Private-placement example

Suppose the same company issues 250 ordinary shares to selected investors. Total shares become 1,250. If you do nothing, your 100 shares represent 8 percent instead of 10 percent. The placees collectively own 20 percent. If the securities carry enhanced votes or conversion rights, their influence can exceed what the raw share percentage suggests. A precise result requires the signed terms and the post-transaction capitalization table.

United States: Regulation D and resale limits

The SEC’s Investor.gov bulletin, dated August 17, 2022, explains that Regulation D private placements rely on registration exemptions and may provide less information than registered offerings. It also warns that private-placement investments can be highly illiquid. Read the bulletin at Investor.gov’s Private Placements under Regulation D. This is U.S.-specific investor education, not a statement that every country applies the same exemption or resale rule.

Nigeria: terminology and the 1-for-2 illustration

Nigeria’s SEC explains both methods in its investor-education material. It defines private placement as a sale to specific or pre-arranged buyers and illustrates a 1-for-2 rights issue in which 100 existing shares create an opportunity to acquire 50 more. See Modes of Public Offering in the Capital Market. The ratio and pricing in that example should not be treated as a requirement for another market or another Nigerian offer.

India: subscription-period example

SEBI’s published Issue of Capital and Disclosure Requirements regulations contain a cited procedural example of a rights-issue subscription period with a minimum of 15 days and a maximum of 30 days. Regulations change, and the cited text may not be the current provision for your transaction. Verify the applicable version and offer document at SEBI’s ICDR regulations page before relying on a deadline.

Taiwan: pricing explanation and independent expertise

Taiwan Stock Exchange directions for public companies conducting private placements require specified pricing-basis explanations. Under defined circumstances, an independent expert’s opinion is required when the price is below 80 percent of the applicable reference or theoretical price. The trigger depends on the security and facts covered by the rule; consult Article 4 of the current directions at Taiwan Stock Exchange regulations.

Can existing shareholders participate in a private placement?

Sometimes, but not by virtue of being a shareholder alone. A private placement is directed to selected investors, so participation depends on the invitation list, company resolutions, eligibility rules and the security’s terms. Ask the issuer or broker whether you are an eligible placee, whether allocation is discretionary, and whether participation requires a separate investor qualification. If you are not invited, a rights issue is the structure that expressly starts with eligible existing holders.

Can you sell or transfer rights?

Only if the offer and market rules allow it. Look for words such as renunciation, transfer, trading facility, nil-paid rights and designated rights-trading dates. Confirm how a transfer is executed, whether the buyer must meet eligibility requirements, and what happens after the transfer deadline. If the document is silent or restrictive, assume the entitlement cannot be sold until the issuer or exchange confirms otherwise.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Are private-placement shares easy to resell?

Often not, particularly in the United States where restricted securities and limited disclosure can make resale difficult. The answer turns on the jurisdiction, exemption, security type, holding period, registration status, market listing and any contractual lock-up. Obtain the exact resale conditions in writing; a quotation or eventual listing does not automatically remove a restriction.

A practical workflow for reviewing an offer

  1. Identify the transaction: write down whether it is a placement, rights issue or combined transaction, the issuer, jurisdiction, exchange and share class.
  2. Build the before-and-after cap table: record existing shares, proposed new securities, conversion terms, voting rights and the expected post-issue total.
  3. Confirm your status: check the record date for a rights issue or the invitation and eligibility criteria for a placement.
  4. Compare economics: calculate the issue-price discount against the stated market-price reference and include fees, taxes, currency conversion and any underwriting or transfer costs disclosed in the document.
  5. Model participation choices: calculate ownership if you take none, the basic entitlement, an excess amount or the allocated placement amount.
  6. Read risk and use-of-proceeds sections: determine whether funds repay debt, finance acquisitions, support operations or serve another purpose, and assess the risks attached to that plan.
  7. Check liquidity: note lock-ups, legends, transfer approvals, listing conditions and the earliest realistic resale date.
  8. Calendar every deadline: include payment cut-offs, rights trading or renunciation dates, broker instruction deadlines and settlement.
  9. Verify current law: use the regulator and exchange rules for the issuer’s jurisdiction and obtain professional advice when the offer involves complex securities, related parties or cross-border tax.

Common mistakes to avoid

  • Treating a discount as guaranteed profit: the market price can fall below the issue price before or after completion, and restrictions can prevent timely resale.
  • Ignoring class rights: two securities with the same nominal price can have different votes, dividends, conversion ratios or liquidation priority.
  • Assuming non-participation has no cost: in a rights issue, allowing an entitlement to lapse can reduce your ownership percentage.
  • Assuming a placement is always institutional or exempt in the same way: investor categories and legal exemptions vary.
  • Using another country’s deadline or pricing formula: SEBI’s cited 15-to-30-day example and Taiwan’s 80-percent pricing trigger are local illustrations, not global rules.
  • Relying on a regulator’s filing as an investment recommendation: procedural acceptance or an exemption does not confirm that the company is financially sound or that the price is fair.
  • Leaving the cap table unfinished: options, warrants, convertibles, treasury shares and multiple voting classes can materially change dilution.

Choosing what to compare first

If you are deciding whether to participate, prioritize the items that can change your economic outcome: your legal eligibility, the fully diluted ownership calculation, the security’s rights, the price-setting basis, the use of proceeds, and the ability to exit. A rights issue offers a defined route to maintain ownership only when you can subscribe on the required terms. A private placement may provide access to a negotiated investment, but selected allocation, disclosure limits and resale restrictions can make the risk and liquidity profile very different. Make the decision from the current offer document and cap table, not from the label alone.
