How do I assess acquisition financing and closing risk? Build one critical-path schedule from the signed purchase agreement, financing commitments, and every required regulatory or third-party approval. For each item, record the owner, dependencies, earliest and latest credible completion dates, funding expiry, outside date, extensions, and termination rights. Then test whether committed funds remain drawable if an agency review, information request, consent, or remedy takes longer than the base case.
This is a U.S.-anchored framework, not a complete global approvals checklist or transaction-specific legal advice. The actual answer depends on the deal structure, party and asset locations, industry, financing documents, jurisdictions, and operative merger agreement. Have transaction counsel and financing advisers confirm the current rules and documents.

Start with the closing question, not the signing date
Signing a merger or purchase agreement does not mean the buyer can immediately take ownership. The agreement normally makes closing conditional on a set of approvals, consents, stockholder actions, financing deliverables, and the absence of a legal prohibition. In a covered U.S. transaction, the parties generally may not close until the applicable Hart-Scott-Rodino (HSR) waiting period has expired or been terminated early. The Federal Trade Commission (FTC) states: “The parties may not close their deal until the waiting period outlined in the HSR Act has passed, or the government has granted early termination of the waiting period.” See the FTC’s Premerger Notification Program.

- Are the funds legally committed, sufficient for all uses, and available through the longest credible closing date?
- Which filings, approvals, notices, consents, and waiting periods apply to this structure and these jurisdictions?
- What conditions in the agreement must be satisfied, waived, or renegotiated?
- What happens if review is extended, a remedy is required, or the outside date arrives first?
A calendar that answers only the first three questions can still miss the principal failure mode: financing expires before the regulatory path is complete.
Build one critical-path schedule
Use a single schedule rather than separate financing, regulatory, and legal checklists. The critical path is the chain of dependent events that determines the earliest lawful closing and the latest date on which closing can occur without a contract amendment or termination.
| Workstream | Record for each item | Typical dependency | Risk question |
|---|---|---|---|
| Financing | Committed amount, uses, conditions to draw, funding deadline, expiry, syndication or market-flex language, required cooperation | Final funds flow, lender diligence, delivery of certificates | Can the buyer draw if approval is delayed or a condition changes? |
| Antitrust and other regulatory review | Jurisdiction, filing trigger, exemption, submission owner, completeness requirements, waiting period, information requests, remedies | Accurate information from both parties and agency acceptance | What is the latest credible clearance date? |
| Contract conditions | Stockholder vote, approvals, consents, no-injunction condition, covenant compliance, accuracy of representations | Notice periods, meeting dates, third-party responses | Can a condition be waived, and by whom? |
| Outside date and termination | Original deadline, automatic or negotiated extensions, termination triggers, fees or reverse-termination consequences | Longest approval path and any extension mechanics | Who bears delay risk when the date is reached? |
Assign one accountable owner and one expected completion date to every line. Show the earliest plausible, base-case, and latest credible dates. Add a column for information needed to start the item; missing data can be a longer delay than the statutory waiting period itself.
1. Confirm that acquisition financing is executable
Review the actual commitment letters, debt or equity documents, funds-flow plan, and purchase agreement together. A headline commitment amount is not the same as money that can be drawn at closing.
Reconcile committed funds with every use
Create a sources-and-uses schedule that includes the purchase price, assumed or refinanced debt, transaction expenses, fees, required minimum cash, taxes, escrow or holdback amounts, and any working-capital or balance-sheet adjustment. Identify the currency and settlement date for each source. Check that committed sources still exceed uses after fees, interest, original-issue discounts, hedging costs, and any permitted purchase-price adjustment.
List every condition to draw
Extract each condition precedent from the financing documents and classify it as objective, discretionary, or dependent on the target. Common examples include delivery of executed transaction documents, specified representations being true, no material default, financial statements, solvency certificates, know-your-customer materials, collateral perfection, and evidence that closing conditions are satisfied or waived. Do not assume that a condition in a commitment letter disappears from the definitive credit agreement; compare both versions.

Check expiry, flex, and syndication language
Record the commitment expiration and any “certain funds” or equivalent protection. If the financing can be syndicated, identify market-flex provisions that could change pricing, leverage, covenants, or the amount available. Note whether the arranger may reduce commitments, whether flex requires buyer consent, and whether an unsold portion must be replaced. The documents, not market custom, determine the answer for a particular deal.
Test cooperation and funding mechanics
Identify information, access, certificate, and notice obligations imposed on the buyer or target. Put delivery dates on lender diligence, management presentations, collateral descriptions, officer certificates, and funds-flow sign-off. Confirm who instructs the paying agent, when funds must be wired, and whether any source must arrive before another source can close.
Match financing life to the outside date
Place the commitment expiry, any required extension fee or consent, and each draw condition on the same timeline as regulatory review. Ask:
- If an agency issues a Second Request, does the commitment remain available through substantial compliance and the additional review period?
- If a regulator requires a remedy or the parties sign a timing agreement, is an extension automatic or discretionary?
- Can lenders refuse to fund because a representation becomes inaccurate during a long review?
- Who pays extension fees, ticking fees, or replacement-financing costs?
- What happens if the agreement permits termination before the financing expires, or the financing expires before an available termination right?
Where the answer is unclear, obtain a written interpretation from financing counsel and document any required amendment or extension. Do not assign a probability to funding failure without a defensible, deal-specific basis.
2. Map the full approval perimeter
Approval analysis starts with facts, not a generic checklist. Identify every country and subnational location in which the buyer, target, subsidiaries, assets, customers, data, or regulated activities create a filing or consent trigger.

Classify the transaction structure
Determine whether the deal is a stock purchase, asset purchase, merger, tender offer, bankruptcy transaction, joint venture, or another structure. The structure can change which rules apply, who files, when control changes, and how quickly a transaction may close. A cash tender offer and a bankruptcy transaction, for example, have different HSR waiting-period durations from the ordinary path.

Screen each approval category
- Antitrust or merger control: assess U.S. HSR reportability and exemptions using the FTC’s current forms, rules, and thresholds; then identify foreign and state or sector-specific regimes.
- Foreign-investment review: determine whether ownership, sensitive data, critical technology, infrastructure, or government contracts trigger a national-security filing or clearance.
- Sector regulators: check banking, insurance, telecommunications, energy, transportation, health-care, defense, media, and other licenses relevant to the target and assets.
- Third-party consents: review change-of-control clauses in material contracts, leases, permits, financing arrangements, and joint ventures.
- Stockholder action: determine whether a vote, written consent, tender condition, or appraisal process is required.
The available materials do not establish the deal’s jurisdictions, industry, purchase structure, or financing terms. Do not treat the U.S. HSR process as a complete worldwide approvals analysis.
What the U.S. HSR timeline does—and does not—tell you
FTC materials describe a statutory process, not a guaranteed closing date. For most covered transactions, the initial HSR waiting period is 30 days. The period is 15 days for a cash tender offer or bankruptcy transaction under the specified rules. The period generally starts only when complete filings have been received from both the buyer and seller by both agencies, subject to an exception for certain acquisitions. The FTC explains how to coordinate this timing with other requirements in “Getting in Sync with HSR Timing Considerations.”
| Stage | FTC-described duration | What to verify |
|---|---|---|
| Initial review for most covered transactions | 30 days | Both complete filings received by both agencies; statutory exceptions and timing agreements |
| Initial review for specified cash tender offers or bankruptcy transactions | 15 days | Whether the transaction qualifies for the shorter period under current rules |
| After substantial compliance with a Second Request | Further 30-day review for the ordinary path | When substantial compliance is accepted and whether an agreement changes timing |
| After substantial compliance for specified cash tender offers or bankruptcy transactions | Further 10-day review | Whether the shorter statutory path applies |
An agency may issue a Second Request for additional information. The waiting period is extended until the parties substantially comply and the further review period runs; the exact mechanics differ for the transaction types above, and the parties may enter timing agreements. A review can also end in clearance, a negotiated remedy, or a challenge that prevents closing unless resolved. An expired initial wait therefore is not proof that every closing condition is satisfied.

HSR forms, rules, and thresholds are time-sensitive. The FTC says thresholds are updated annually and that its forms and rules were updated in February 2025. Check the current FTC HSR Rules and official filing instructions immediately before relying on a threshold, form, fee, exemption, or procedure.
3. Turn approvals into an evidence-based calendar
For every filing, consent, notice, and waiting period, capture the following fields in the critical-path schedule:
- Trigger and legal basis: state the rule, contract clause, license, or consent requirement and the transaction fact that activates it.
- Submission owner: name the buyer, seller, joint team, counsel, lender, or regulator responsible for the action.
- Information dependencies: list revenue data, market definitions, ownership charts, contracts, permits, personal-data descriptions, financial statements, and certifications required for a complete submission.
- Expected filing date: use a date tied to document readiness, not an aspirational signing date.
- Agency or contractual timing: record the statutory period, notice period, meeting schedule, response deadline, and any agreed extension.
- Information-request allowance: add time for questions, translations, supplemental data, and internal approvals.
- Earliest and latest plausible completion: show the base case and a delay case without inventing a probability.
- Downstream dependency: state which closing condition, financing draw, or funds-flow step waits for completion.
For HSR specifically, confirm that both parties’ filings are complete and received by both agencies before starting the waiting-period clock in your model. FTC guidance says parties must balance HSR timing with other regulatory requirements and conditions to closing. Do not place an HSR clearance date on the calendar while leaving stockholder notice, foreign review, or a lender condition unmodeled.

4. Read the merger agreement as a risk-allocation document
Extract the operative conditions precedent and the obligations that determine who must act when approval becomes difficult. A recent SEC-filed MarineMax merger proxy illustrates conditions such as stockholder approval, HSR expiration or termination, other required approvals or clearances, and the absence of a restraining or prohibitory order. It is an example of negotiated terms, not a universal standard.
Build a conditions-to-closing checklist
- Required stockholder approval, written consent, tender acceptance, or appraisal-related condition
- HSR expiration or early termination and any other antitrust or foreign clearances
- Sectoral, licensing, and third-party consents
- No injunction, restraining order, law, or agency order prohibiting the transaction
- Accuracy of representations and warranties at signing and closing, subject to negotiated materiality standards
- Performance of covenants, including cooperation, access, conduct-of-business, and financing cooperation
- Delivery of certificates, opinions, payoff letters, lien releases, and funds-flow documents
Identify efforts and remedy obligations
Mark whether the agreement requires reasonable, reasonable-best, or another efforts standard; whether the buyer must accept divestitures or other remedies; and whether the target must operate or provide information in a way that supports review. Record caps, exclusions, or consent rights for remedies. A remedy obligation can affect both the regulatory timeline and the financing model by changing assets, cash flows, collateral, or purchase price.
Map extensions and termination rights
Write down the original outside date, who may extend it, the event that activates an extension, the maximum extension length, and whether an extension is automatic. The MarineMax proxy example includes automatic extensions in specified circumstances; that negotiated mechanism should not be treated as a standard term. Also capture termination rights for failure to obtain approval, breach, financing failure, or passage of the outside date, along with any termination fee or reverse-termination payment.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.5. Stress-test the combined path
Run at least three scenarios using the same schedule. The purpose is to expose a broken dependency, not to manufacture a precise closing probability.
Base case
Assume complete filings, no material information request, approvals within ordinary statutory or published periods, stockholder action on the planned date, and financing available through the scheduled closing. Confirm that every condition can be satisfied in sequence rather than merely by the same date.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsExtended-review case
Model an agency Second Request or equivalent extended review, additional data production, a timing agreement, and a later stockholder or consent date. Push the regulatory completion date to the latest credible point and test whether commitments, interest-rate protections, bridge facilities, equity backstops, and outside-date extensions remain effective.

Blocked-or-remedied case
Model a required divestiture, behavioral remedy, injunction risk, or consent that arrives late or with conditions. Ask who bears the cost, who must accept the remedy, whether the remedy changes lender collateral or leverage, and whether the agreement permits termination if the parties cannot agree.
| Stress-test question | Evidence to inspect |
|---|---|
| Are funds still committed on the latest closing date? | Commitment expiry, extension rights, conditions to draw, and lender consent requirements |
| Can all approvals arrive before the outside date? | Agency timing, information-request assumptions, contractual extensions, and notice periods |
| What if a remedy changes the business being financed? | Purchase agreement remedy covenant, financing collateral and leverage tests, revised funds flow |
| When can either party terminate? | Outside-date clause, approval-failure rights, breach provisions, fees, and reverse-termination language |
| Who must act next, and by when? | Named owner, dependency, deliverable, escalation contact, and board or lender approval date |
If the extended case breaks, choose a documented mitigation: extend or replace financing, negotiate an outside-date extension, accelerate missing information, seek a waiver, revise the remedy plan, or prepare for termination. Record the decision authority and deadline for each mitigation.
Compare alternative financing or approval paths consistently
When more than one structure or regulatory strategy is available, compare the same dimensions rather than choosing the shortest nominal calendar.
| Comparison axis | Questions to ask |
|---|---|
| Funding certainty | How much is committed, what conditions remain, and can the buyer draw without a discretionary lender decision? |
| Expiry flexibility | Can commitments be extended, at what cost, and does extension require lender or seller consent? |
| Review duration | Which filings, completeness standards, Second Request risk, foreign reviews, and information requests govern the longest path? |
| Remedies and operating constraints | What divestitures, behavioral commitments, or interim restrictions could affect value or collateral? |
| Contractual efforts standard | Who controls the filing strategy, information response, remedy negotiation, and timing agreement? |
| Termination consequences | When can a party walk away, and what termination or reverse-termination payment follows? |
A path with a shorter initial waiting period may still be riskier if its funding expires sooner, requires a difficult consent, or gives the buyer less time to extend the outside date.
Warning signs that the schedule is not credible
- The model uses the signing date as the closing date without listing conditions precedent.
- An HSR period is counted from the planned filing date even though both filings may not be complete and received.
- Thresholds or forms are copied from an old transaction without checking current FTC materials.
- The financing commitment expires before the latest regulatory date and has no documented extension mechanism.
- A Second Request appears as a vague “regulatory risk” rather than a separate information-production and review path.
- Foreign-investment, sectoral, licensing, or change-of-control consents are absent because the team focused only on HSR.
- The outside date is listed without its extension trigger, maximum duration, or termination consequences.
- A remedy is assumed to be available without checking the buyer’s contractual obligation, lender restrictions, or target-board rights.
- No person owns the completeness of a filing or the response to an information request.
Each warning sign should become a dated action in the schedule with an owner and escalation point.
A repeatable review pack for the deal team
Before approving a bid, signing, or requesting an outside-date extension, assemble one review pack containing:
- The signed or near-final purchase agreement with a conditions and termination-rights matrix.
- All financing commitments and definitive debt or equity documents, marked for expiry and draw conditions.
- A reconciled sources-and-uses and funds-flow schedule.
- An approvals map by jurisdiction, structure, filing trigger, owner, status, and expected completion range.
- A calendar showing base, extended-review, and blocked-or-remedied cases.
- A dependency log for data, notices, stockholder action, lender deliverables, consents, and certificates.
- A decision log for waivers, extensions, remedy positions, and replacement financing.
- A closing-day checklist that distinguishes conditions satisfied, conditions waived, funds received, and documents delivered.
Have counsel verify legal conclusions and have financing advisers verify that the modeled draw remains permitted under the actual commitments. Keep the schedule version-controlled: a changed filing date, agency request, lender condition, or outside-date extension can move the entire critical path.
Quick wins for a faster PC:
Scan for outdated or missing drivers - takes under a minuteDriver Scan →Clear out junk files and repair common Windows errorsFree Scan →Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Bottom line: decide whether the deal can survive delay
An acquisition is closing-ready only when the approval path, contract conditions, and financing life overlap in a defensible schedule. Verify current HSR requirements rather than relying on an old threshold, start the waiting-period clock only when the applicable filings are complete and received, and model the longer path created by a Second Request or other review. Then compare that path with every funding expiry and the agreement’s outside date, extensions, remedies, and termination rights. If committed funds cannot remain available through the latest credible approval date, the buyer has a financing-and-closing risk that must be mitigated before signing or expressly allocated in the transaction documents.
