Private-Market Funds vs. ETFs: How Liquidity, Fees, and Valuation Differ

Private-fund exit rights depend on fund terms, while ETF shares generally trade on an exchange. Compare underlying liquidity, valuation methods and full fee disclosures before investing.

ETFs generally let investors buy and sell shares on an exchange, while an investor’s ability to exit a private-market fund depends on that fund’s structure and documents. That difference does not make an ETF’s underlying holdings liquid, nor does a reported net asset value (NAV) guarantee that an asset could be sold immediately for that amount. To compare the two, examine the actual fund’s exit terms, valuation process, and full fee disclosures—not just its label.

What are you comparing: a fund interest or an exchange-traded share?

A private-market fund is a pooled vehicle that invests in assets such as private companies or other investments that may not trade frequently in public markets. The SEC describes private funds as entities that generally raise capital through exempt offerings; investors purchase an interest in the fund. The specific rights attached to that interest depend on the vehicle and its governing documents.

An ETF investor owns shares in a fund that generally trades on an exchange. The investor ordinarily sells those shares to another market participant rather than waiting for the ETF to sell each portfolio holding. A registered open-end fund calculates NAV daily, while an ETF’s exchange price is set in the market and can differ from NAV. Those are distinct measures: one is the market price of the share, the other is the fund’s calculated value per share.

“Private-market fund” and “ETF” are broad categories, not complete descriptions of an investment’s liquidity or cost. A private-equity fund with investment and realization periods is different from a registered interval fund that offers periodic repurchases. ETFs also differ in their holdings, trading conditions, and fee disclosures. The fund documents—not the category name—tell you what rights and expenses apply.

How do the main differences compare?

Dimension Private-market fund interest ETF share What to check
Investor exit Exit rights depend on the structure and governing documents. Some private strategies have investment and realization periods. Shares generally can be bought and sold on an exchange during trading hours; the market sets the price. Redemption or repurchase rights, transfer restrictions, windows, cutoffs, settlement timing, limits, and fees.
Underlying holdings Private holdings may be difficult to sell and may not have frequent market transactions. Shares can trade even when some portfolio holdings are less liquid; the portfolio’s liquidity still matters to fund operations and risk. Portfolio composition, liquidity-risk disclosures, and how the vehicle handles investor flows.
Valuation Many private assets lack daily market prices, so valuation methods, evidence, and timing matter. Registered open-end funds calculate NAV daily; an ETF’s exchange price can differ from its NAV. NAV frequency and methodology, valuation oversight, and, for ETFs, premium-or-discount disclosures.
Costs Terms vary; relevant disclosures can include fees, expenses, and adviser compensation. The ETF’s prospectus and other fee disclosures govern. Do not assume every ETF is low-cost. Recurring expenses, performance-based compensation where applicable, transaction costs, and intermediary charges.
Cash-flow pattern Some private-equity funds invest capital over an initial period and return cash as holdings are exited. ETF investors usually trade shares with market participants; they need not wait for the ETF to liquidate each holding to sell their shares. Whether you need predictable access to cash and how the fund is structured to meet investor flows.

The table describes common structural distinctions, not a guarantee that every fund in a category follows the same model. For example, an interval fund is a registered closed-end structure, not simply a private fund with a different name or an ETF that trades continuously on an exchange.

How liquid are private-market funds compared with ETFs?

Liquidity depends on the route by which you can turn an investment into cash. For most ETF investors, that route is to place a sell order for the ETF shares on an exchange. The transaction takes place at a market price, which may be above or below NAV. You are not asking the fund to redeem your individual shares each time you trade.

A private-fund investor holds an interest in the fund, and the fund’s documents determine whether, when, and how that interest can be redeemed, transferred, or repurchased. There is no single lockup period, redemption schedule, or secondary market that applies to every private-market fund. Some private strategies invest capital during an initial period and distribute proceeds as investments are realized; that cash-flow pattern is different from selling a traded ETF share.

Some registered closed-end funds, including interval funds, offer periodic repurchases rather than continuous exchange trading. Their specific terms and applicable requirements determine the schedule and conditions. A periodic repurchase offer is not the same as an investor having an unconditional ability to sell on any business day. A tender-offer fund may also provide limited or periodic liquidity, but readers should check its own offering documents rather than infer terms from the label.

The SEC’s liquidity-risk-management materials describe daily redemptions as a fundamental feature of open-end funds and outline liquidity-risk-management requirements for funds, including ETFs, subject to rule provisions and exceptions. That framework concerns the fund’s ability to manage liquidity; it does not mean that every underlying holding can be sold instantly, or that every ETF share trade occurs at NAV.

Map your actual route to cash

  1. Identify the legal structure. Determine whether the investment is an exchange-traded ETF, a private fund interest, an interval fund, or another vehicle. Do not treat a periodic-repurchase structure as continuously exchange-traded.
  2. Find the relevant governing document. For an ETF, review its prospectus and shareholder materials. For a private fund or closed-end structure, read the offering documents and the provisions describing transfers, redemptions, or repurchases.
  3. Write down the exit conditions. Record any applicable dates or windows, notice and cutoff requirements, limits, fees, and settlement timing. If a term is unclear, do not assume that a general description of the fund resolves it.
  4. Check whether the exit depends on a market transaction or a fund process. An exchange sale depends on the market for the ETF share. A redemption or repurchase depends on the fund’s stated procedures and terms.
  5. Match the terms to your cash needs. If you may need the money on a particular date, consider whether the stated route and timing fit that need. The fund’s ability to value holdings or offer an exit is not, by itself, a promise of immediate cash at a particular price.

Why can an ETF share trade while its holdings are hard to sell?

An ETF share and the assets inside the ETF are different things. Investors generally trade shares with other market participants, so trading those shares does not require the fund to sell every underlying holding at that moment. But the liquidity of the portfolio remains relevant to the ETF’s operations and risk, especially when holdings do not trade frequently.

This distinction matters even more when a vehicle offers frequent investor liquidity while holding assets with infrequent transactions. The fund must manage the relationship between investor flows and the liquidity and pricing of its holdings. Daily share trading can coexist with uncertainty about the value or saleability of less-liquid assets; it does not erase that uncertainty.

The SEC Investor Advisory Committee’s September 18, 2025, recommendation on retail access to private-market assets discusses the lack of daily market prices for many private assets and the valuation demands created when funds offer daily liquidity while holding assets that trade infrequently. The recommendation is committee analysis, not a binding rule. It is useful context for understanding why the liquidity promised to an investor and the liquidity of a portfolio asset are not interchangeable concepts.

What does NAV tell you—and what does it not tell you?

NAV is a calculated value for a fund’s assets, less liabilities, expressed per share or unit as applicable. A daily calculation means the fund calculates NAV daily; it does not mean every asset was sold that day or could be liquidated immediately for its calculated value. An ETF’s market price is separately determined in the market and may differ from NAV.

Many private assets do not have daily market prices. Their reported values can therefore depend on the fund’s valuation methods, available market evidence, and the timing of the valuation. That does not establish that a particular reported value is inaccurate or “stale.” It does mean an investor should understand how the value was determined and what evidence supports it.

Valuation is also connected to fees. If a fee or expense calculation depends on asset values, the process used to value less-liquid holdings can affect that calculation. SEC Commissioner Uyeda’s remarks at the SIFMA Private Markets Valuation Roundtable on September 4, 2025, connect valuation of illiquid assets with accurate fee calculations and disclosure. SEC examination priorities for 2025 also included the accuracy of private-fund fee and expense calculations, including issues related to illiquid-asset valuation and disclosures.

Valuation checks for an investor

  • How often is NAV calculated? Distinguish the frequency of a calculation from the frequency of actual transactions in the underlying assets.
  • What method is used? Look for an explanation of the valuation process and the kinds of evidence used when there is no frequent market price.
  • Who oversees the process? Review the fund’s description of valuation oversight rather than assuming that a reported number has one universal method across all vehicles.
  • How does an ETF’s market price compare with NAV? Review premium-or-discount information where provided; a market price and calculated NAV are related but not identical measures.
  • Does the valuation affect expenses? Check whether fees or expenses use asset values and how the fund describes those calculations.

How should you compare fees without relying on labels?

There is no supported category-wide fee average or universal ranking that establishes private-market funds as more expensive than ETFs, or ETFs as cheaper in every case. Terms vary by fund. The meaningful comparison is between the actual investment options and the costs disclosed for the relevant share class or interest.

For certain SEC-registered private-fund advisers, SEC materials describe quarterly statements that detail fees and expenses and certain adviser-related compensation in dollar amounts. That description applies to the specified adviser context; it should not be generalized into a claim that every private fund or adviser has identical disclosure obligations or terms. For an ETF, consult its own prospectus and fee disclosures.

A headline management fee alone may not capture the full investor cost. Separate recurring fund expenses from performance-based compensation, transaction costs, and charges by an intermediary. Where the disclosures provide dollar amounts or explain how a charge is calculated, use those details rather than inferring total cost from a single percentage or label.

Build an apples-to-apples cost comparison

  1. Pin down the exact investment. Record the fund name, share class or interest, and the date of the disclosure you are using. Different share classes or vehicles can have different terms.
  2. List recurring fund expenses. Use the fund’s own current fee disclosures. Do not assume that the broad category tells you the expense level.
  3. Check performance-based compensation. Determine whether it applies, how the documents describe it, and whether it is relevant to the investor or share class being considered.
  4. Add transaction and intermediary charges. Include charges disclosed for purchases, sales, transfers, or services from an intermediary, rather than counting only fund-level expenses.
  5. Read the calculation basis. If a cost depends on NAV or other asset values, understand the valuation process and the disclosed method for calculating the charge.
  6. Compare like with like. Use the same period and a consistent basis for each figure. If a document does not establish a comparable value, treat it as not stated rather than filling the gap with an estimate.

What to read before investing

The most useful comparison is document-based. A general article about ETFs or private funds cannot establish the terms of a particular vehicle. Match each question to the document that governs or explains it, and note any difference between a binding term and a general description.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • ETF prospectus and shareholder materials: review the ETF’s fee disclosures, investment approach, liquidity-risk information, NAV calculation, and information about market-price premiums or discounts.
  • Private-fund offering documents: look for the investor’s rights, transfer restrictions, redemption or repurchase provisions, investment and realization periods, and descriptions of expenses and adviser compensation.
  • Interval- or tender-offer fund documents: find the actual repurchase schedule and conditions. Do not infer continuous liquidity from the fact that the vehicle is registered or offers periodic repurchases.
  • Valuation disclosures: identify how often assets are valued, what methods are used when market prices are unavailable, and how valuation relates to stated fee calculations.
  • Current regulatory materials: distinguish existing descriptions and requirements from proposals. The fund’s own documents remain essential for understanding its investor terms.

What changed in the SEC proposal dated September 30, 2026?

On September 30, 2026, the SEC published a proposed rule titled “Investment Adviser Performance-Based Compensation Modernization.” SEC materials from that date also discuss possible changes affecting interval-fund repurchase arrangements. As of that date, the changes were proposals, not final rules. They should not be described as effective requirements or as terms that automatically alter a fund’s current documents. Investors should distinguish a proposed regulatory change from the terms that currently govern their particular investment.

Which structure fits a particular need?

The relevant question is not whether one category is always better. It is whether a specific vehicle’s exit terms, valuation process, and disclosed costs fit the investor’s time horizon and need for access to cash.

  • If you expect to need to sell on a particular day: focus on whether the investment is exchange-traded or offers only redemption or repurchase windows, and understand that an ETF’s sale price is a market price rather than a guaranteed NAV.
  • If the portfolio contains private or infrequently traded assets: examine the valuation method and how the fund manages investor flows in relation to the holdings’ liquidity.
  • If cost is the deciding factor: compare complete, current disclosures for the exact investment rather than relying on the words “private” or “ETF.”
  • If you are considering a fund with periodic repurchases: assess the written schedule and conditions as they stand in the fund documents, not as if you could sell at any time on an exchange.
