Reports dated October 9–10, 2025 said he and Shehryar Chishti signed a memorandum of understanding (MoU) concerning a majority interest linked to K-Electric. An MoU is not evidence that a definitive sale agreement was signed or that ownership transferred.
What the reported MoU concerns
October 2025 coverage described the proposed transaction in different ways: some reports referred to a majority stake in K-Electric, while others described a majority shareholding in KES Power, K-Electric’s parent holding company. That distinction matters. The reports do not establish the exact stake, consideration, conditions, approvals or final ownership structure. October 9 reporting and October 10 reporting characterize the matter as an MoU, not a completed acquisition.
K-Electric’s 2025 sukuk prospectus stated that KES Power held 66.40% of K-Electric. That figure describes KES Power’s shareholding in the utility; it does not establish that the proposed transaction was a direct purchase of 66.40% of K-Electric shares. Who owns K-Electric, and what does it do?
K-Electric is listed on the Pakistan Stock Exchange. Its prospectus describes it as Pakistan’s only vertically integrated power utility, with generation, transmission and distribution operations. In the prospectus’s reporting context, it had installed generation capacity of 2,817 MW and a distribution network of 2,112 feeders. These operating figures explain the scale of the company; they do not indicate a change in ownership.

The prospectus says KES Power held 66.40% of K-Electric. It traces ownership history through a consortium that included Al Jomaih Group and National Industries Group, Abraaj-related interests, and later changes involving Sage Venture Group and AsiaPak Investments. How the 2025 proposal differs from the Shanghai Electric deal
The reported Saudi-linked MoU followed a separate, earlier proposal by Shanghai Electric to acquire a 66.40% stake. October 2025 reporting said that proposal had been terminated after a prolonged process. It is historical context, not evidence of a competing active offer or part of the new MoU. How to verify whether the transaction has closed
The reports and company and market information reviewed do not establish a closing announcement. For a later status update, look for a definitive agreement or completion notice in K-Electric’s investor information and Pakistan Stock Exchange corporate announcements. NEPRA’s K-Electric decisions and notices can provide regulatory and tariff context, but they do not by themselves confirm a sale or transfer.

A confirmed transaction update should identify what is being transferred—shares in K-Electric or in KES Power—and state the percentage, consideration, conditions and approvals, as well as whether the parties signed a definitive agreement and completed the transfer. Until a primary disclosure confirms those points, describe the matter as a reported MoU or proposed transaction.
