The President’s 12 June 2026 assent completed the legal formalities the government associated with privatizing Pakistan International Airlines (PIA), but it did not itself transfer control. First Completion of the 75% sale followed on 29 June, giving the Arif Habib-led consortium management control. As of the National Assembly committee’s 17 September update, the remaining 25% was still subject to contractual requirements and Second Completion.
Has PIA been fully privatized?
Not yet, based on the latest status reported by the National Assembly on 17 September 2026. The 75% stake sale reached First Completion on 29 June, transferring management control. The committee said the bidder had conveyed its intent to exercise the call option for the remaining 25%, but that transfer remained subject to contractual requirements and Second Completion. What did the “final approval” mean?
President Asif Ali Zardari assented to the PIA Corporation (Conversion) (Repeal) Bill on 12 June 2026, after the National Assembly passed it on 11 June. The government described the assent as completing legal formalities and requirements for privatization. It should not be confused with competition clearance or the contractual steps needed to complete a transfer of shares.
Competition clearance was a separate step
On 29 April, the Competition Commission of Pakistan approved the proposed acquisition after a Phase-I assessment under Section 11 of the Competition Act, 2010. The Commission said its authorization remained subject to applicable laws and other regulatory oversight. It described PIA Equity Limited as the consortium’s special-purpose vehicle and stated: “Accordingly, the transaction has been authorized under the law.” That statement referred to competition authorization, not completion of the sale. Who bought the 75% stake?
An Arif Habib-led consortium won the auction on 23 December 2025. The National Assembly later reported that the consortium bid Rs135 billion against a Rs100 billion reference price; transaction documents were executed on 29 January 2026. First Completion, which transferred management control, took place on 29 June. National Assembly of Pakistan
The Competition Commission identified the consortium members as Arif Habib Corporation Limited, Fatima Fertilizer Company Limited, Lake City Holdings, The City School and AKD Group Holdings. The government’s notice-of-intent release also listed Fauji Fertilizer Company. The available government reporting does not establish each member’s exact shareholding, so membership should not be read as an ownership split. Who receives the Rs135 billion, and how is the investment structured?
The Rs135 billion winning bid is not the same as the government’s cash proceeds or the total capital planned for PIA. Government reporting described about PKR180 billion in total private-sector investment: PKR55 billion as divestment proceeds payable to the government and PKR125 billion as fresh equity for Pakistan International Airlines Corporation Limited (PIACL). What is planned for the airline’s new equity?
The government said the PKR125 billion equity injection was intended to support recapitalization, fleet expansion and modernization, route development, customer-service improvements and operational systems. These are stated purposes for the investment, not evidence that the improvements have already taken place. The government said the consortium had notified the Privatisation Commission on 30 April of its intention to acquire the remaining 25% through the call option, with a standby letter of credit under the share purchase and subscription agreement. What did the competition review consider?
The Competition Commission assessed domestic and international passenger air transport, cargo, postal carriage and aviation technical services. It said the consortium did not operate in the same relevant markets as PIA and found no horizontal or vertical overlaps. On that basis, the regulator concluded that the acquisition would not create or strengthen dominance or substantially lessen competition. What has the government said about employees?
In its account to the National Assembly, the government said employees would receive 12 months of job protection after transition, with service conditions unchanged during that period. It also said pension payments for serving employees and retirees would continue under existing arrangements. These are the safeguards as described by the government and agreement; the stated job-protection period is 12 months after transition. Associated Press of Pakistan
