Pakistan’s 23 December 2025 auction offered 75% of Pakistan International Airlines Corporation Limited (PIACL). The Arif Habib-led consortium won with a reported bid of PKR 135 billion. That bid is distinct from the government’s later estimate of approximately PKR 180 billion in total private-sector investment, which includes PKR 125 billion intended as new equity for the airline.
What happened in the PIA auction?
The Government of Pakistan’s Press Information Department announced that the Privatisation Commission would hold open bidding for a 75% stake in PIACL on 23 December 2025. The announced procedure called for sealed bids to be submitted at 10:30 a.m. and opened at 3:30 p.m.; the government said the event would be televised and streamed. These were the scheduled arrangements, not the result. The notice is available from the Press Information Department.
The Associated Press subsequently reported that the Arif Habib-led consortium won with a PKR 135 billion bid for the 75% stake. The auction result concerns the offered majority stake; it does not by itself establish that every later closing condition was met or that the remaining 25% changed hands.
Who was bidding for PIA, and who won?
The winner was a consortium led by Arif Habib Corporation Limited. The Competition Commission of Pakistan’s 29 April 2026 release identifies the acquiring vehicle as PIA Equity Limited, a special purpose vehicle incorporated on 9 January 2026. It lists Arif Habib Corporation, Fatima Fertilizer, Lake City Holdings, The City School, and AKD Group Holdings as consortium members. See the Commission’s approval announcement.

The Government of Pakistan’s 30 April 2026 release also names Fauji Fertilizer Company (FFC). Because the Commission’s list and the government’s list differ on FFC, the membership should be attributed to the source rather than presented as a reconciled roster. The sources cited here do not establish the full final roster of bidders, so they do not support naming unsuccessful bidders or describing auction-round details.
How much was PIA sold for?
The reported winning bid was PKR 135 billion for 75% of PIACL. A later government release described approximately PKR 180 billion in expected total private-sector investment. These figures measure different things: the first is the reported bid for the stake; the second includes planned capital for the airline.

The government’s 30 April release describes the intended investment structure and its notice of intent concerning the remaining stake. It is the source for the divestment-proceeds and new-equity figures: Government of Pakistan release.
What stage has the privatization reached?
On 29 April 2026, the Competition Commission said it authorized the proposed acquisition after a Phase-I review under Section 11 of the Competition Act, 2010. The review considered domestic and international passenger air transport, cargo, postal carriage, and aviation-related technical services. The Commission said the acquirer did not operate in the same relevant markets as PIA, found no horizontal or vertical overlaps, and concluded that the deal would not create or strengthen a dominant position or likely substantially lessen competition.

That is competition clearance, subject to applicable laws and other regulatory requirements; it is not evidence that all closing conditions were completed. The government’s 30 April release recorded a notice of intent to acquire the remaining 25%, accompanied by a standby letter of credit. It said management control was expected by 25 May, subject to conditions precedent. The sources cited here do not establish whether that option was exercised, whether the first closing occurred, or whether the additional stake transferred. Therefore, the 75% auction result and the later proposed acquisition of the remaining stake should be treated as separate steps.
What does PIA’s privatization mean?
The government presented the fresh equity as support for recapitalization, fleet expansion and modernization, route development, customer-service improvements, and operational systems. These are intended uses of capital, not confirmed completed upgrades or results. The transaction’s stated rationale is to shift management and investment responsibility toward private ownership; whether that produces a turnaround depends on execution and future operating and financial performance.

The Competition Commission said privatization was expected to improve efficiency and service quality and reduce reliance on government support. That is the regulator’s expectation, not a measured post-privatization outcome or a forecast of fares, routes, or service levels.

In its December 2025 reporting, the Associated Press said PIA had resumed direct flights to Europe roughly two months before the auction, after the European Union Aviation Safety Agency lifted a four-year ban imposed over safety concerns. AP also reported approximately 300 workers per aircraft across a 32-aircraft fleet at the time. Those figures describe contemporaneous reporting, not verified fleet or staffing levels as of October 2026.
