CCP reported that NLC would hold 60% of the venture and DWLF 40%. The regulator assessed the deal in the road freight logistics market and concluded it would not substantially lessen competition or create a dominant market position.
What did Pakistan’s competition regulator approve?
CCP approved the pre-merger application to establish an NLC–DWLF joint venture. Its announcement described the transaction as facilitated by Pakistan’s Special Investment Facilitation Council (SIFC) and as a partnership intended to combine NLC’s domestic expertise with DP World’s global supply-chain solutions. CCP’s 16 March 2025 announcement is a summary of the regulator’s determination.
CCP reported an equity split of 60% for NLC and 40% for DWLF. The announcement did not state a transaction-specific investment value.
Why did CCP say the deal could proceed?
The regulator identified the relevant market as “road freight logistics.” It said its review considered horizontal overlaps and potential effects from vertical integration, then concluded that the transaction would neither substantially lessen competition nor create a dominant market position. CCP said multiple market players would sustain competition.

That conclusion is limited to the market and transaction described in CCP’s release. The published announcement does not provide the full decision text or underlying market-share figures, and it is not a guarantee about competition across every logistics market or about future market conditions.
What are the joint ventures expected to do?
In a later account of the partnership, NLC described two companies and their intended focus. These are plans stated by NLC, not confirmation that the services are currently operating or that they have delivered results.

Logistics JVCo
NLC said Logistics JVCo would develop logistics services intended to improve supply-chain efficiency.
Road Freight JVCo
NLC said Road Freight JVCo would focus on road transport operations, domestic connectivity, and regional trade links. NLC’s partnership account also attributes to DP World Group Chairman and CEO Sultan Ahmed bin Sulayem the statement: “At DP World, we are committed to providing unmatched end-to-end supply chain solutions and facilitating the seamless flow of trade worldwide.” This is the executive’s promotional characterization, not independent evidence of performance.

Earlier cooperation context
In an account of a 10 March 2023 memorandum, NLC described an exploratory cooperation framework covering port management, container and bulk terminals, dry ports, inland container depots, and rail and road transport. That earlier framework provides context, but does not establish that every listed activity became part of the approved joint venture. NLC’s memorandum account describes that earlier scope.
Which benefits are projected, and which are demonstrated?
CCP presented improved infrastructure, lower transport costs, and stronger regional trade competitiveness as expected benefits of the transaction. These are projections in the regulator’s announcement, not measured outcomes. The official materials cited here do not establish the venture’s current operating status or quantify post-approval effects.

CCP reported approving 69 mergers and acquisitions transactions in fiscal year 2024–25 and approximately $50 million in aggregate foreign direct investment inflows for that year. Neither figure is the value of the NLC–DWLF joint venture; the FDI figure covers the fiscal-year total across transactions. CCP’s FY2024–25 figures provide that broader context.
