Re:

Oracle appoints two CEOs, but Larry Ellison remains the center of power

Oracle’s co-CEO transition is real, but it is not a founder exit. Clay Magouyrk and Mike Sicilia now lead operations while Larry Ellison remains chairman and CTO, and Safra Catz stays on as executive vice chair.

Oracle formally handed day-to-day CEO responsibility to Clay Magouyrk and Mike Sicilia on September 22, 2025. But this is not a clean founder exit: Larry Ellison remains Oracle’s chairman and chief technology officer, keeping him at the center of the company’s technical direction and long-term strategy.

Safra Catz also remains involved as executive vice chair of Oracle’s board. The result is a genuine leadership transition—but one designed to preserve considerable continuity and Ellison’s influence.

What Oracle changed

Oracle appointed Magouyrk and Sicilia as co-chief executive officers, succeeding Catz. Both joined Oracle’s board. Catz ceased to be CEO and principal financial officer but remained a director and became executive vice chair of the board.

The changes also separated the finance and sales responsibilities previously associated with the CEO transition. Douglas Kehring became executive vice president and principal financial officer, while Mark Hura became president of Global Field Operations. Ellison retained the titles of chairman and chief technology officer.

Oracle’s announcement and its subsequent fiscal 2026 filing confirm the new structure. Oracle’s announcement took effect on September 22, 2025, and the FY2026 Form 10-K continued to list Magouyrk and Sicilia as CEOs, Catz as executive vice chair, and Ellison as chairman and CTO.

Who are Oracle’s two CEOs?

Clay Magouyrk: cloud infrastructure and AI capacity

Magouyrk previously led Oracle Cloud Infrastructure, or OCI. He joined Oracle in 2014 from Amazon Web Services and was closely associated with Oracle’s cloud-engineering operation and Gen2 OCI.

His experience is concentrated in hyperscale computing, cloud infrastructure and the capacity needed for AI training and inference. That background makes him the natural public face of Oracle’s infrastructure growth.

Mike Sicilia: applications and industry software

Sicilia previously led Oracle Industries. His background is more closely tied to vertical applications, enterprise software and applied AI—technology designed around the needs of particular industries and business workflows.

That gives the co-CEO structure a deliberate contrast: Magouyrk brings the infrastructure and compute perspective, while Sicilia brings the applications and industry perspective. Oracle’s executive announcement presents both as internal leaders rather than as an outside replacement for Oracle’s established leadership.

Why would Oracle choose two CEOs?

Oracle did not publish a formal division of authority or assign one CEO exclusive control over a particular set of businesses. It instead emphasized collaboration on AI applications built on Oracle’s database technology and cloud infrastructure.

The business logic is nevertheless clear. Oracle is trying to capture AI spending across several layers of the enterprise technology stack:

  • Infrastructure: computing, storage and networking for AI training and inference.
  • Data and databases: the systems that store and manage enterprise information.
  • Applications: ERP, finance, human resources, supply-chain and other business software.
  • Industry solutions: software tailored to sectors and specialized workflows.

A single successor might have been strongest in one of these areas but weaker in another. A co-CEO model lets Oracle elevate leaders associated with both infrastructure and applications while retaining continuity through internal promotions.

That is an interpretation of the structure, not a detailed rationale Oracle explicitly assigned to each executive. The company’s own framing, however, links the transition to AI training and inference, OCI, AI database technology and industry-specific AI applications.

Are Magouyrk and Sicilia genuinely equal?

Formally, yes: Oracle calls both executives chief executive officers, appointed both to the board and did not identify a lead CEO or a reporting relationship between them. That supports describing them as genuine co-CEOs rather than one CEO and one deputy.

Formal equality does not establish equal practical influence. Oracle has not publicly explained who has final authority when the two executives disagree, how decisions are divided, or whether one controls particular functions such as engineering, sales, finance or acquisitions.

Compensation provides one clue. An SEC Form 8-K disclosed option awards representing:

Executive Underlying Oracle shares Vesting structure
Clay Magouyrk $250 million 80% time-based; 20% performance-based
Mike Sicilia $100 million 80% time-based; 20% performance-based

For both executives, the time-based options vest over four years, while the performance-based portion covers a three-year period ending May 31, 2028 and is tied to revenue metrics.

The much larger grant for Magouyrk may signal that Oracle views him as especially important to its future succession or that his previous responsibilities were larger or faster-growing. It could also reflect different negotiating circumstances. The awards do not prove that he outranks Sicilia, and Oracle has not announced a hierarchy between them.

Why Larry Ellison still matters

Ellison is no longer Oracle’s CEO, but the formal roles he retained are unusually significant. As chairman, he remains central to board-level governance. As CTO, he remains attached to the company’s technical direction. Oracle’s leadership announcement also described Ellison and Catz as continuing to help guide Oracle’s direction, growth and success.

That combination means the transition separates operating leadership from founder influence. Magouyrk and Sicilia are responsible for running the company as CEOs, while Ellison remains a senior technical and strategic constant.

It is therefore reasonable to say that Ellison remains at the center of Oracle’s power structure. It is not precise to say, based on these documents alone, that he runs every day-to-day decision, has a veto over every action or is Oracle’s sole operator. Those are stronger claims than the available evidence supports.

Ellison’s influence can be understood in several ways:

  • Formal authority: chairman and CTO.
  • Strategic influence: continuing involvement in technology and corporate direction.
  • Founder authority: a longstanding role in Oracle’s identity, ambitions and risk appetite.
  • Operational authority: not established by the announcement and should not be assumed.

Oracle’s board materials continue to identify Ellison as a central senior leader. The evidence supports substantial institutional influence, but it does not by itself establish a particular ownership percentage or unrestricted personal control.

Catz has not retired from Oracle

Catz stepped down from the CEO and principal financial officer positions, but she did not leave Oracle. As executive vice chair, she remains a board leader and director. Oracle said she would continue working with Ellison to guide the company.

That role provides continuity during the leadership change, particularly for investors, major customers and strategic partners familiar with Catz’s tenure as CEO since 2014. It is not the same as being executive chair, and Oracle has not said that Catz will succeed Ellison as chair. Any claim that she is being positioned as Ellison’s successor remains speculation.

What the transition means for Oracle’s strategy

The appointments point to an attempt to monetize AI across the full enterprise stack rather than treating it solely as a cloud-infrastructure product or an applications feature.

Magouyrk’s OCI background aligns with demand for AI computing capacity and cloud services. Sicilia’s applications background aligns with using AI inside finance, supply-chain, human-resources and industry workflows. Ellison’s continued CTO role connects those layers to Oracle’s database strategy.

The central strategic thesis is that Oracle can sell more effectively when infrastructure, databases and business applications work together. That could appeal to organizations already committed to Oracle technology, especially those seeking to place AI capabilities close to existing enterprise data and applications.

It also creates execution risk. Oracle must show that the two leadership perspectives produce integrated products and sales motions rather than competing priorities or duplicated mandates.

What customers should—and should not—expect

The leadership announcement does not establish immediate changes to Oracle’s products, contracts, pricing or support arrangements. Existing customers should not assume that a new CEO structure automatically changes licensing terms or account-management contacts.

Customers evaluating Oracle should instead watch for evidence in the areas most closely connected to the transition:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Whether OCI receives continued investment in AI capacity and regional availability.
  • How tightly Oracle integrates its database, cloud and applications offerings.
  • Whether AI features become more useful in specific industry workflows.
  • Whether sales and support organizations present a more unified portfolio.
  • How Oracle communicates product roadmaps, licensing and commercial terms.

For an enterprise buyer, the practical question remains workload-specific. OCI may be a strong fit for organizations already dependent on Oracle databases or applications and for some AI workloads. AWS, Microsoft Azure and Google Cloud remain important alternatives for general-purpose cloud, Microsoft-centric environments or data-and-AI use cases. Managed PostgreSQL services, Snowflake and Databricks may be more relevant when the priority is database portability or a specialized data platform. SAP remains a major comparison point for enterprise applications.

None of these alternatives is a one-for-one replacement for Oracle’s combined database, cloud and ERP portfolio. Buyers should compare migration costs, support, data-transfer charges, regional availability, licensing, committed-use discounts and existing Oracle contract terms rather than relying on headline pricing.

What investors should watch

For investors, the co-CEO appointment creates both a succession signal and an accountability question.

Magouyrk’s larger equity grant may suggest that Oracle sees him as a particularly important long-term leader, but it is not an announced succession plan. The 20% performance-based component of each award also ties part of the incentive structure to revenue performance through May 31, 2028.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The more important tests will be operational:

  • Can Oracle grow OCI and AI infrastructure while expanding applications?
  • Can the CEOs make decisions quickly without unclear jurisdiction?
  • Will the company explain accountability when priorities conflict?
  • Can Oracle reduce founder dependence without losing Ellison’s strategic advantage?
  • Will Catz’s board role provide continuity without blurring operating responsibility?

The unanswered governance questions

Oracle has established the titles, but not every decision rule. The announcement does not answer who has final authority in a dispute, whether the co-CEO model is permanent, how responsibilities are divided, or whether either executive is the designated long-term successor.

Those omissions matter because co-CEO structures work best when decision rights are explicit. Employees need to know who can settle competing priorities. Customers need to know who owns major product and service commitments. Investors need to know how performance will be assessed. The board must also demonstrate that Ellison’s influence complements rather than undermines the authority of the executives formally running Oracle.

For now, the most accurate description is neither “Ellison still runs Oracle” nor “Oracle has fully moved beyond its founder.” Oracle has moved operating authority to two internal CEOs, while keeping Ellison in the chairman and CTO roles that preserve his strategic and technical influence.
